Addendum-UberPOOL

El Cliente celebr un contrato de Servicios con Uber, B.V. para el uso de los Servicios
Uber en relacin con los Servicios de Transporte prestados por el Cliente (el Contrato).
El presente es un addendum al Contrato el cual establece trminos y condiciones
adicionales aplicables a la Ciudad de Mxico. Los trminos en maysculas utilizados en
el presente documento tendrn los significados establecidos en el Contrato. Al pulsar
Acepto el Cliente acepta sujetarse a los trminos adicionales, descritos ms adelante.

(1) UberPOOL. Uber podr ofrecer opciones para compartir viajes en tu regin,
las cuales permitirn a dos (2) o ms Usuarios, que no se conocen entre s,
compartir total o parcialmente cualquier Servicio de Transporte provisto por
el Cliente (UberPOOL). En el supuesto que el Cliente provea Servicios de
Transporte a Usuarios utilizando UberPOOL, el Cliente acepta y reconoce
que: (a) una vez que un Usuario inicia los Servicios de Transporte con el
Cliente, utilizando la opcin de UberPOOL, uno (1) o ms Usuarios
adicionales podrn asimismo iniciar solicitudes de Servicios de Transporte
por separado (p.ej. solicitar ser recogido o dejado), de tal manera que
diferentes Servicios de Transporte se estn prestando de manera simultnea
por el Cliente; (b) la Tarifa para cada instancia de los Servicios de Transporte
es pagada por el Usuario de UberPOOL de cada Servicio de Transporte
prestado por el Cliente y de conformidad con la Seccin Segunda del
presente documento ser calculada con base en datos histricos sobre viajes
similares en UberX (dichos datos tomarn en consideracin varios factores
incluyendo la hora del da, el da de la semana, la poca de los datos
histricos sobre viajes similares completados) y descuentos basados en
factores del mercado local (actualmente equivalente al porcentaje
establecido en la Seccin Segunda del presente documento)(Tarifa de
UberPOOL)(para mayor claridad, Tarifa de UberPOOL tendr el mismo
significado que el de Tarifa en el Contrato, salvo por lo establecido en el
presente Addendum); y, (c) la Tarifa por Servicio que el Cliente paga a Uber
variar de conformidad con el nmero de Usuarios de UberPOOL que
efectivamente utilicen simultneamente los Servicios de Transporte (tal y
como se establece en la Seccin Quinta siguiente), siempre y cuando la Tarifa
por Servicio que el Cliente paga a Uber por un Servicio de Transporte
provisto a un Usuario de UberPOOL, en el cual no se prestaron Servicios de
Transporte simultneos (p.ej: no coincidieron Usuarios), no exceda la Tarifa
por Servicio que el Cliente pagara por la prestacin del mismo Servicio de
Transporte a un Usuario que no se encuentra utilizando UberPOOL.

 (2) En los casos en que, recibida la solicitud del Usuario, la ubicacin real para
dejar al Usuario utilizando UberPOOL se localiza a una distancia de
ochocientos (800) metros o ms, del punto que se estableci al solicitar el
viaje a travs de la aplicacin de Uber, la Tarifa a pagar por el Usuario por el
viaje completo no ser calculada con base en la Tarifa de UberPOOL, dicha
Tarifa ser calculada de conformidad con las tarifas actuales para UberX.
Para mayor claridad, no se aplicar ningn descuento. La Tarifa por Servicio
se mantendr tal y como la descrita en la Seccin Primera anterior.

(3) Las partes aceptan y reconocen que entre el Cliente y Uber, la Tarifa de
UberPOOL es una cantidad recomendada, cuyo propsito principal es hacer
las veces de una tarifa predeterminada para los supuestos en los que el
Cliente no negocie una tarifa diferente. El Cliente siempre tendr el derecho
para: (i) cobrar una tarifa por debajo de la Tarifa de UberPOOL recomendada;
o (ii) negociar, a solicitud del Cliente; una Tarifa de UberPOOL que sea ms
baja que la Tarifa de UberPOOL recomendada, (los incisos (i) y (ii) inmediatos
anteriores, para efectos del Contrato sern la Tarifa Negociada).

CITY ADDENDUM - UberPOOL

Customer entered into a Services Agreement with Uber B.V. for the use of the Uber Services in connection
with Customers Transportation Services (the Agreement). This is an addendum to that Agreement and
sets forth additional terms and conditions that are applicable in Mexico City. Capitalized terms used
herein but not defined shall have the meanings ascribed to them in the Agreement. By clicking I agree,
Customer agrees to be bound by the additional terms below.

1. UberPOOL. Uber may offer a ride pooling option to Users in your region that allows two (2) or more
Users unknown to one another to share in all or a portion of a given instance of Transportation
Services provided by Customer (UberPOOL). In the event that Customer provides Transportation
Services to Users utilizing UberPOOL, Customer acknowledges and agrees that: (a) once a User
initiates Transportation Services with Customer utilizing the UberPOOL option, one (1) or more
additional Users may also initiate separate Transportation Services requests (i.e., request a pick up
and/or drop off), such that multiple instances of Transportation Services are being provided by
Customer simultaneously; (b) the Fare for each such instance of Transportation Services is paid by the
respective UberPOOL User for Customers provision of such Transportation Services and, subject to
Section (2) below, shall be calculated based on historical data for similar uberX trips (taking into
account various factors including time of day, day of week and age of comparable trip data) and
discounted based on local market factors (currently at the percentage set forth in Section (4) below)
(UberPOOL Fare) (for clarity, UberPOOL Fare has the same meaning as Fare in the Agreement
except as specifically set forth in this Addendum)); and (c) the Service Fee that Customer pays to Uber
will vary on a per Transportation Service basis based on the number of UberPOOL Users that actually
use simultaneous Transportation Services (as set forth in Section (5) below), provided that the Service
Fee that Customer pays to Uber for a given instance of Transportation Services provided to an
UberPOOL User where there is no simultaneous Transportation Services provided (i.e., there is no
matched User) shall not exceed the Service Fee that Customer would pay for the same provision of
Transportation Services to a User not utilizing UberPOOL.


2. Where, following a User request, the actual drop off point of a User utilizing UberPOOL is an
additional 800 metres or more from such Users drop off point specified at the time of trip request via
the Uber application, the Fare paid by that User for the entire trip shall not be based on the
UberPOOL Fare and shall instead be calculated based on current uberX fares. For clarity, no discount
will apply. The relevant applicable Service Fee will remain the same as in Section (1) above.


3. The parties acknowledge and agree that as between Customer and Uber, the UberPOOL Fare is a
recommended amount, and the primary purpose of the recommended UberPOOL Fare is to act as the
default amount in the event Customer does not negotiate a different amount. Customer shall always
have the right to: (i) charge a fare that is less than the recommended UberPOOL Fare; or (ii)
negotiate, at Customers request, an UberPOOL Fare that is lower than the recommended UberPOOL
Fare (each of (i) and (ii) herein, also a Negotiated Fare for the purpose of the Agreement).
