UNILATERAL GRANT OF PERTPETUAL

RIGHT OF WAY

WE, XXXXXXX, of legal age, married, and a resident of ________,

President of XXXXXX Corp., AND XXXXXXXXXX, of legal age, married,
and a resident of______________________, Chief Financial Officer of
XXXXXXX Corp., after having been duly sworn in accordance with law
under oath, do hereby depose and say:

1. That WE are the authorized representative of XXXXXX Corp. Copy

of the Secretary Certificate is hereto attached and marked as
Annex A;

2. That by virtue of Board Resolution, as indicated under the above-

mentioned Secretary Certificate, the Board of Directors granted us
the authority to execute a perpetual right of way in favor of lots
under TCT Nos. T-11111, T-222222, and OCT No. O-333 owned
by XXXXXXX Corp.;

3. That the above-mentioned three (3) parcels of land is located at

Barrio of Pagahan, Municipality of Gingoog, Province of Misamis,
having a total land area of thirty four thousand nine hundred
eighteen (34,918) square meters;

4. That the above mentioned properties are not accessible to and

from the public road, it being surrounded by lands also owned by
XXXXXX Corp.;

5. That XXXXXX Corp. grants the above-mentioned property the

perpetual right of way using its road lot under TCT No. 4444444,
so as to have access to the National Road;

6. That XXXXXX Corp. agrees to have this grant annotated on the

road lot title, TCT No. 4444444, as well as to titles, TCT Nos.
111111, T-222222, and OCT No. O-33333;

7. That we are executing this instrument to attest the veracity of the

foregoing statements and for whatever legal purpose it may serve.
