PROMISSORY NOTE

FORTY SEVEN THOUSAND TWO New York, New York


HUNDRED FORTY ONE DOLLARS August 20, 2010
($47,241)

FOR VALUE RECEIVED (See attached Exhibit “A”), the undersigned, TOM SMITH,
an individual having an address at 123 Elm Street, Apt. 2, New York, New York 10001
(“Maker") promises to pay to the order of JACK JONES, an individual, or his assigns, having
an address at 123 Pine Street, Apt. 4, New York, New York 10005 ("Payee"), or such other
place as Payee or any holder hereof may designate, the sum of Eighteen Hundred Dollars
($1,800), in lawful money of the United States, which includes Interest at the per annum rate of
zero percent (0%) compounded annually, to be paid in two monthly payments of Nine Hundred
Dollars ($900) each on August 31, 2010 and September 30, 2010.

The two payments on this note (this "Note") shall be made monthly on or prior to the
dates set forth above.

The Maker hereby waives diligence, presentment for payment, demand for acceptance,
protest and notice of any kind, and assent to extensions of the time of payment, release,
surrender, forbearance or other indulgence, without notice.

This Note may be prepaid, as to principal or interest or both, in whole or in part, at any
time without penalty.

No delay or omission on the part of Payee in exercising any right under this Note shall
operate as a waiver on any one occasion be deemed a bar to or waiver of the same or any other
right on any future occasion.

In addition to and not in limitation of the foregoing, Maker further promises to pay upon
demand to Payee or its order, subject only to any limitation imposed by applicable law, any and
all expenses, including, without limitation, attorney's fees and legal expenses, incurred by Payee
or any holder of this Note in connection with the enforcement of this Note.

Should the Maker fail to make any payment to Payee within seven (7) days after such
payment is due and payable, then upon two (2) days prior written notice to Maker, the payments
due under this Note shall accelerate and the entire amount due hereunder shall be immediately
due and payable by Maker to Payee unless payment is received by Payee within such two (2) day
period. Additionally, should the Maker fail to make any payment to Payee within seven (7) days
after such payment is due and payable, interest shall accrue on the unpaid Principal at the
statutory rate.

Payments and prepayments of principal and interest on this Note shall be made in United
States currency so as to be received by Payee on the due date of each such payment.

This Note may be amended or varied only by a document, in writing, executing by Maker
and Payee.

This Note shall be governed by and interpreted under the laws of the State of New York
applicable to contracts made and to be performed therein without giving effect to the principles
of conflict of laws thereof.

This Note shall be binding upon and inure to the benefit of the parties hereto and their
respective successors and assigns.

The invalidity or unenforceability of any provision of this Note shall not affect the
validity or enforceability of any other provisions.

IN WITNESS WHEREOF, the Maker has executed this instrument as of the day and
year first above written.
