CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This Contract to Sell is entered and executed on _____day of __________, 2017


at ________________, Province of Palawan, Republic of the Philippines by and
between:

CONCEPT WEALTH TECHNOLOGY ENTERPRISES, INC., a domestic


corporation, duly organized and established under the laws of the Philippines, with
principal office at Unit #2 and 3 Level 2, E. Trinidad Building, #37 Carandang St., Puerto
Princesa City, Palawan, herein represented by its President and CEO JEMUEL A. LAZO,
of legal age, Filipino citizen, single, with residence and postal address at Brgy.
Tiniguiban, Puerto Princesa City by virtue of a Board Resolution No. 002, series of 2016
dated April 16, 2016, copy of which is hereto attached as Annex A, hereafter referred
to as the VENDOR;

- AND -

VICTORIANO A. ACOSTA, of legal age, Filipino citizen, married to MARIA


SOCORRO S. ACOSTA, with residence and postal address at Padrones Subsivision,
Libis, Brgy. San Pedro, Puerto Princesa City, Philippines, hereinafter referred to as the
VENDEE;

WHEREAS, the VENDOR is the registered owner of One (1) Parcel of land
situated in Brgy. New Agutaya, San Vicente, Palawan, Philippines which is a portion of
a real property covered by OCT No. E-21953 registered under the name of the LYDIA
ROXAS, containing an area of FOURTEEN THOUSAND FOUR HUNDRED THIRTY
(14,430) square meters, certified true copy of the OCT No. E-21953 is hereto attached
and marked as Annex B.

WITNESSETH that

1. FOR AND IN CONSIDERATION OF THE AGREED SUM OF FIVE MILLION PESOS


(P5,000,000.00) Philippine currency, the VENDOR by these presents agree to
bind itself, its assigns, successors, and transferees, to conditionally SELL, CEDE,
CONVEY AND TRANSFER to the VENDEE, who is willing BUY, PURCHASE and
ACQUIRE the ONE THOUSAND EIGHT HUNDRED (1,800) square meters
portion of OCT No. E-21953, particularly described as follows:

A parcel of land (Lot 1416-A of the subdivision plan Psd-4B-002920 being
a portion of Lot 1416, Cad 860-D, San Vicente Cadastre LRC Rec. No.
______) situated in Barangay New Agutaya, Municipality of San Vicente,
Province of Palawan;

Bounded in the SE., along line by 1-2 by Lot 1416-G (Existing Road) of the
subdivision plan; on the SW., along line 2-3 by Lot 1410, Cad 860-D; on
the NW., along line 3-4 by Lot 1415, Cad 860-D (Municipal Road); and on
the NE., along line 4-1 by Lot 1416-B of the subdivision plan;

Beginning at a point marked 1 on plan, being N. 16 deg. 26E., 3011.70


m. from BLLM No. 1, Cad 860-D San Vicente Cadastre.

Thence S. 57 deg. 52 W., 45.85 m. to point 2;


Thence N. 14 deg. 34 W., 54.41 m. to point 3;
Thence N. 63 deg. 08 E., 24.95 m. to point 4;
Thence S. 37 deg. 25 E., 49.79 m. to the point beginning

Containing an area of ONE THOUSAND EIGHT HUNDRED (1,800) square


meters.

This lot was surveyed in accordance with law and existing rules and
regulations promulgated thereunder by Nonito T. Lachica on June 16,
2012 and was approved on September 7, 2012.

1. That the consideration shall be paid in full by the VENDEE, the receipt of which
is hereby acknowledged by the VENDOR, to its full satisfaction, upon the signing
of this Contract;

2. That the VENDOR shall surrender the Original Owners Duplicate Copy of Transfer
Certificate of Title when the said parcel of land shall be transferred under the
name of the Corporation by virtue of the Deed of Sale of Portion of Real Property
executed on November 9, 2012 between Lydia Roxas and Concept Wealth
Technology Enterprise, Inc., before Notary Public Atty. Rustico P. Cacal, entered
in his notarial book as Doc. No. 701; Page No. 41; Book No. 3; Series of 2013;

3. That the DEED OF ABSOLUTE SALE shall be executed by the VENDOR in favor of
the VENDEE upon the issuance and release of the Transfer Certificate of Title
(TCT) by the Register of Deeds of the Province of Palawan and shall surrender
the same to the VENDEE;

4. That all realty taxes, transfer taxes and special assessments, if any, imposed by
the government on the property, for the purpose of tranferring the title from
Lydia Roxas to the Corporation shall be on the account of the VENDOR, including
Capital Gains Tax and Documentary Stamp Tax.

5. That all transfer taxes, registration fees, other costs and expenses arising from
the transfer of the title over the subject property in the name of the VENDEE,

and all future realty taxes and assessments which shall be imposed by the
government on the said property shall on the account of the VENDEE.

6. That this agreement shall inure to the benefit of and be binding upon the parties
hereto and their respective legal representatives, heirs, assigns, successors, and
transferees.

IN WITNESS WHEREOF, both parties have hereunto set their hands this 9th
day of February 2017, at Puerto Princesa City, Palawan, Philippines.

the foregoing CONTRACT TO SELL and have acknowledged to me that the same is their
free act and voluntary deed.

This instrument consisting of three (3) pages including this page whereon the
acknowledgment is written, has been signed by the parties and witnesses on each and
every page thereof, and relates to an Contract to Sell of a parcel of land.
