below:

DEFINITION
Specification refers the description of the Goods as referred to, set out in or attached to the Order or, if no such description is set out
in or attached to the Order, as set out in or attached to whichever documentation inviting the (side A) to tender for the appointment
to provide the Goods, including whichever documentation issued, or made available, to the (side A) by whichever Beneficiary.

TERMINATION
(side A) shall have offered or given or agreed to give to whichever person whichever gift or consideration of whichever kind as an
inducement or reward for doing or forbearing to do, or for having done or forborne to do, whichever action in relation to the obtaining
or execution of the Contract or whichever other contract with the (side B).

ENVIRONMENTAL CONSIDERATIONS
____ The (side A) shall meet all reasonable requests by the (side B) or whichever Beneficiary for information evidencing the (side
A)'s compliance with the provisions of this Clause.

ELECTRONIC PRODUCT INFORMATION

In the event the Product Information ceases to be complete and accurate, the (side A) shall promptly notify the (side B) or, as the
case may be, whichever Beneficiary in writing of whichever modification or addition to or whichever inaccuracy or omission in the
Product Information.

SALES INFORMATION
The (side A) shall keep at its normal place of business detailed, accurate and up to date records of the quantity and value of the
Goods sold by it to whichever (side B) or, as the case may be, whichever Beneficiary.

AUDITS AND ACCOUNTS

The (side A) acknowledges that it will fully cooperate with whichever counter fraud policy or investigation, whether carried out by the
NHS Counter Fraud and Security Management Service, or whichever equivalent body, successor or function, at whichever time.

CONFIDENTIALITY
The (side B) or the Beneficiary may consult with the (side A) to inform its decision regarding whichever redactions but the (side B) or
the Beneficiary shall have the final decision in its absolute discretion.

THE HUMAN RIGHT ACT ____

The (side A) shall, and shall use reasonable endeavors to guarantee that its employees or agents and/or sub-(side A)s shall, at all
times, act in a way which is compatible with the Convention civil liberties within the meaning of Section ____ of the Human civil
liberties Act ____.

The Concern Parties agree to the abovementioned listed legal conditions. In witness whereof, the concern sides hereto set their
