DEFINITION AND INTERPRETATION

The (side A) agrees that it will not raise as a defense or set off against whichever claim brought against it by whichever Beneficiary
or whichever Third side Beneficiary whichever matter which would have been available to the (side A) by way of defense or set off if
proceedings had been brought against the (side A) by the (side B) or by way of counterclaim against such of the Beneficiaries or
Third side Beneficiaries if such Beneficiary or Third side Beneficiary had been a side to the Contract.

EQUALITY AND NON-DISCRMINATION

The (side A) shall cover the (side B) against all costs, claims, charges, demands, liabilities, damages, losses and expenses incurred
or suffered by the (side B) arising out of or in connection with whichever investigation conducted or whichever proceedings brought
under the ____ Act due directly or indirectly to whichever act or omission by the (side A), its agents, employees or sub (side A)s.

NOTICES
whichever notice to be given under the Contract shall be delivered personally, sent by facsimile or sent by first class recorded
