DEFINITION AND INTERPRETATION

Electronic Trading System refers such electronic INFORMATION interchange system and/or World Wide Web application and/or
other application with such message standards and protocols as the (side B) may specify from time to time.

PERFORMANCE OF SERVICES
The (side A) will immediately notify the Authorized Officer of whichever actual or potential problems relating to the (side A)s own
suppliers that affects or might affect his ability to provide the Services.

PERFORMANCE MEASUREMENT
If the (side A) disputes whichever matter referred to in whichever Performance Notice and/or the proposed rebate of the Contract
Price, the (side A) may raise this objection with the (side B) or the Beneficiary and if this matter is not resolved within ____ days the
matter shall be referred to the Dispute Resolution Procedure.

CONTRACT PRICE AND PAYMENTS

In the event that the Contract is varied under Clauses ____ or ____ in such a way as to affect the Contract Price and if agreement
Involves the concern sides cannot be reached on the adjustment to the Contract Price within ____ months The two concern sides
shall jointly act to resolve the dispute in harmony with Clause ____.

EMPLOYEES
The (side B) reserves the right to reject staff that they consider to be unsuitable for the duties proposed. Where staffs are rejected
the (side A) shall supply alternative staff. In addition, the Authorized Officer may but not unreasonably or vexatious instruct the (side
A) to take disciplinary action against or to remove from work in or about the provision of the Services.

CONTROL AND SUPERVISION OF STAFF

The Contract Manager or his deputy shall consult with the Authorized Officer and such other of the (side B)s or whichever
Beneficiarys own supervisory staff as may from time to time be specified by the Authorized Officer as often as may reasonably be
necessary for the efficient provision of the Services in harmony with the Contract.

HEALTH AND SAFETY

The (side A) will be needed to nominate a Health and Safety Representative to liaise with the Authorized Officer on all Health and
Safety matters.

The Concern Parties agree to the abovementioned listed legal conditions. In witness whereof, the concern sides hereto set their
