DEFINITION AND INTERPRETATION


1.) The exercise of all reasonable care by that side and further provided that such event materially affects the ability of the side
seeking to rely upon it to perform its obligations under the Contract.

GUIDANCE NOTES FOR NHS STAFF


1.) The third side beneficiaries must keep all information about the contract confidential and must not incur liabilities or obligations or
make whichever representations on behalf of the (side B). Goods will be supplied directly to the third side beneficiary by the (side A)
and invoices will be in the name of and paid by the third side beneficiary.

2.) The use of the contract by third side beneficiaries is limited to use as part of their work for the NHS and not to gain preferential
terms or prices for themselves in relation to non-NHS work.

3.) This clause governs use of the contract by third side beneficiaries and is important as it is aimed at protecting the (side B) from
liability for the actions of the third side beneficiaries and misuse of the contract by the third side beneficiaries.

CLAUSES
1.) Clause provides that the (side A), at the request of the (side B), will undertake to do whicheverthing additional which is
reasonably needed to implement the contract.
