Lease Agreement
This agreement is made on January 1st, 2018 by and between:

A. Viraporn Ratanaprasatporn, located at 180 Sukhumvit Rd., Klongtoey, Klongtoey, Bangkok


10110, Thailand, hereinafter referred to as the Lessor of the one part, and

B. Juno International Co.,Ltd. located at 1095 Sukhumvit Rd., (Near Sukhumvit 55), Khlongton Nua,
Wattana, Bangkok 10110, Thailand, hereinafter referred to as the Lessee of the other part,

Wherein the parties mutually agree as follows:

1. Lease
The Lessor agrees to let to the Lessee and the Lessee agrees to lease the furniture, furnishings,
fixtures, fittings and appliances at 1095 Sukhumvit Rd., (Near Sukhumvit 55), Khlongton Nua,
Wattana, Bangkok 10110, (hereinafter referred to as Furniture, which are detailed in the
Addendum to this Agreement.

2. Term of Lease
The term of this agreement shall be a period of 3 (three) years, commencing from January 1st,
2018 and ending on the date December 31st, 2020

3. Furniture Fee
The Furniture rental fee shall be payable mo
nthly and in advance, in the amount of Baht 15,000.- (Baht Fifteen Thousand Only) per month,
payable on the 1st day of each month. Rental fee will be increased 10% yearly.

The first payment of 3 (three) months rent shall be paid on the execution of this agreement and
before the date on which the Lessee takes possession of the Furniture.

In the event that the Lessee desires to make the payment via bank transfer, the Lessee agrees to
transfer the payments to the Landlords bank account with the details as follows:

If the rent or any sums payable by the Lessee under this Agreement remain unpaid by the
Lessee, the penalty of Baht 500.- (Baht Five Hundred Only) per day, calculated on a
daily basis from the date when the unpaid sums became due until the
date of payment thereof, will be charged to the Lessee.
4. Security Deposit
Upon the execution of this agreement, the Lessee shall also deposit with the Lessor the sum of
Baht 165,000.- (Baht One Hundred and Sixty Five Thousand Only) as security against non-
compliance with the terms and conditions of this Agreement, as well as against any damage
which may be caused by the Lessee. The deposit shall not, in any case, be substituted as
advance payment of the monthly rental fee and other charges.

The Security Deposit shall be refunded without interest to the Lessee within 60 (sixty) days from
the termination of the lease provided that the Lessee has cleared in fully any outstanding
charges regarding damage to the Furniture.

The Lessee allows the Lessor to confiscate the deposit immediately if the Lessee has defaulted
on or is in breach of any terms and conditions of the Agreement. The confiscation of the deposit
shall not deprive the right of the Lessor to claim for the outstanding rental and/or damages if the
cost of which exceeds the amount of security deposit.

5. The Lessee agrees as follows:


5.1 To pay the furniture rent within the dates stipulated in this Agreement.
If the Lessee fails to make any payment within 14 (fourteen) days of such due date or commits
any acts prohibited by this Agreement, this shall be considered an incidence of default. The
Lessor shall have the right to terminate this Agreement immediately without written notice and to
take back possession of the Premises without criminal or civil liability.

5.2 To keep all furniture and appliances in good order and condition. Fair wear and tear caused
by normal usage, or damage resulting from acts of God or war is accepted.

5.3 That all built-in furniture brought into the Premises by the Lessee and/or his family shall at all
times be the property of the Lessor.

5.4 To permit the Lessor or his representative to enter the Premises in order to inspect the
Furniture at all reasonable times during the term of this Agreement.

5.5 Not to assign or sublet the Furniture.

5.6 To be responsible for any loss or damage to the furniture.

6. The Lessor Agrees:


6.1 To grant the Lessee the right to peacefully occupy and enjoy the Premises throughout the
term of this Agreement and any extension thereof, without any interruption or impairment
whatsoever by the Lessor or his agent as long as the covenants are not breached.

6.2 To keep the building and the Premises in good repair, such case where the Lessee causes
damage.

7. Insurance

Lessor is not required to insure moveable property of the Lessee located in the Premises during
the term of this Agreement. The Lessee shall be allowed to insure its moveable property located
at the Premises and shall not hold the Lessor liable for any failure to do so on the part of the
Lessee.

8. Termination
Both parties agree that any breach or termination of this agreement shall also be taken as breach
or termination of Lease Agreement No. L1095/2015 dated September 1st, 2015, entered into
between the Lessor and the Lessee.

Upon termination of the lease, for whatever cause, the Lessee shall be bound by this lease to
remove his/her furniture, his/her family members, and his/her servants, from the Premises, and
shall deliver the Furniture, in good condition, promptly to the Lessor.

9. Governing Law
Any disputes or controversies arising out of or in connection with this Agreement which cannot be
amicably settled between the parties shall be interpreted by Thai laws and referred to the Court
of Thailand.

10. Supplement
If Lease Agreement No. L1095/2015 is terminated for any reason, the Furniture Agreement will
be automatically terminated.

This Agreement is made in duplicate with identical wording. Both parties have read and fully
understood the contents and agree to comply with all terms and conditions. Therefore, in
WITNESS HEREOF, both parties have hereunder affixed their signatures in the presence of
witnesses on the date and at the place first written above.
