MEMORANDUM OF AGREEMENT
(USE OF MOTOR VEHICLE)

KNOW ALL MEN BY THESE PRESENTS:

I. PARTIES

This Memorandum of Agreement (Use of Motor Vehicle), executed this ___

day October, 2017 in Quezon City, Philippines, by and among:

MR. VACLAV HABAN, of legal age, with postal address at _______________

hereinafter referred to as the OWNER;

-and-

_____________________, of legal age, with postal address at

___________________________ and ______________________, of legal age, witgh
postal address at ____________________________ hereinafter referred to as the
HOLDERS;

WITNESSETH THAT:

WHEREAS, the OWNER is the _______________ of _________________

Corporation, hereinafter referred to as CORPORATION registered under the
laws of ______________;

WHEREAS, the HOLDERS are employees of above mentioned corporation;

WHEREAS, the vehicle subject to this Memorandum of Agreement (Use of

Motor Vehicle) is a ___________ (Model and Year), covered by OR/CR Number,
hereinafter referred to as VEHICLE;

II. UNDERTAKINGS

A. That the OWNER hereby allows the HOLDER to the use of the VEHICLE for
any lawful purpose, during reasonable hours and within reasonable locations,
for the service and benefit of the CORPORATION;

B. That the HOLDERS shall inspect and provide the necessary information
regarding the condition of the VEHICLE especially if there are defects noted, to
the management of the CORPORATION before he shall use the same;

C. That the HOLDERS bind themselves to return the above-mentioned VEHICLE

in the same condition prior to its use or to pay the necessary dues to restore the
same to the said condition;

D. That the OWNER, under this instrument, hereby allows any other person as
determined by the management of the CORPORATION, aside from above-
mentioned HOLDERS, to the use of the VEHICLE covered by this Memorandum
of Agreement;

E. Should the HOLDER of the VEHICLE commit palpable violations of traffic
rules and regulation, or the conditions set by the OWNER and the management
of the CORPORATION, this Memorandum of Agreement as to the said HOLDER
shall be deemed revoked and all the benefits of use of the VEHICLE shall be
cancelled.

III. CONTRA-PROFERENTEM

Both the OWNER and the HOLDERS have actively participated in the
drafting of this instrument and that no provision in this MEMORANDUM OF
AGREEMENT shall be construed against any party.

IV. SEPARABILITY CLAUSE

In case any provision in this Agreement shall be declared invalid, illegal or

unenforceable, the validity, legality and enforceability of the remaining
provisions shall not in any way be affected or impaired thereby.

IN WITNESS WHEREOF, the parties have hereunto set their hands this
