ENGINEER/DESIGNPROFESSIONALSERVICESAGREEMENT

ThisAgreementdatedthis__________dayof________________________,2013,byandbetweenthe
JohnsonCountyEconomicDevelopmentCorporation,(hereinJCEDC)and_______________________
__________________________________(hereinEngineer/DesignProfessional).

InconsiderationoftheperformanceoftheservicesrenderedunderthisAgreementandpaymentfor
suchservices,thepartiesagreetothefollowing:

1. Services:
AsauthorizedbyJCEDCinwriting,theEngineer/DesignProfessionalshallprovideJCEDCwiththe
professionalservicesontheJohnsonCountyMo.InnovationDistrictStudyforthebenefitofJCEDC
asmorefullysetforthintheProposalandScopeofServicessubmittedbyEngineer/Design
ProfessionalandasoutlinedinJCEDC'sRequestforProposals,whichareallfullyincorporatedherein
bythisreference.TheEngineer/DesignProfessionalshallprovideJCEDC,asapplicable,withthe
services,reports,studies,surveys,plans,specifications,andotherworkoutlined.Engineer/Design
ProfessionalagreestoprovideallsuchservicesinatimelymannerasestablishedbyJCEDCinwriting
fortheproject,theEngineer/DesignProfessional'sProposalorintheabsenceofthedesignation,
withinareasonabletimeafterreceiptofJCEDCdirectives.
ProvisionofServices:
Engineer/DesignProfessionalagreestoprovideservicesbyandthroughqualified
personnelunderstandardsandconditionsgenerallyacceptedbyprofessionalsinthefieldor
occupationsforwhichservicesareprovided.Servicesshallbeprovidedbasedonlyuponthe
ScopeofServicesdescribedorbyanyadditionalproposalsprovidedtotheEngineer/Design
ProfessionalbyJCEDCorJCEDC'srepresentativeawrittenproposalforserviceswhichis
approvedbyJCEDCinwriting.Noservicesshallbeperformednorshallcompensationbepaid
forEngineer/DesignProfessionalservicesperformedwithoutaJCEDCapprovedwritten
proposalfor.Professionalservices.Proposalsforadditionalservicesshallbeinwrittenformand
shallbespecificallyresponsivetothecriteriaprovidedbyJCEDC.Allservicesperformedbythe
Engineer/DesignProfessional,baseduponJCEDCapprovedproposalssubmittedbythe
Engineer/DesignProfessional,shallbesubjecttothetermsandconditionsofthisagreement
unlessotherwisespecificallyagreeduponbyJCEDCandEngineer/DesignProfessionalin
writing.TheapprovedScopeofServicesisattachedasanexhibit.
CreationofContractDocuments:
Engineer/DesignProfessionalshallnotwithouttheexpresswrittenpermissionofJCEDCdraft
and/orcreateanycontractdocuments,exceptfortechnicalspecificationsandplans,
associatedwiththisprojectEngineer/DesignProfessionalshallnotbecompensatedforany
contractdocumentsdraftedorcreatedwhichareinviolationofthisprovision.Intheeventthat
Engineer/DesignProfessionalisaskedtodraftand/orcreatecontractdocumentsbyJCEDC,
thensaidcontractdocumentsmustbeincompliancewithJCEDC'sthenexistingcontract
standardsforpublicprojectsandnocompensationshallbeprovidedtoEngineer/Design
ProfessionalforcontractdocumentswhichfailtomeetJCEDC'sstandards.

2. Compensation:
InconsiderationfortheEngineer/DesignProfessional'sprovisionofservicesunderthisagreement,
JCEDCagreestocompensatetheEngineer/DesignProfessionalforservicesrenderedinaccordance
withthehourlyrates,unitpricesandreimbursementratesforexpensessetforthintheproposalfor
theprojectforwhichcompensationissoughtasattachedhereto.Noincreasesintheratesand
chargessetforthintheproposalshallbepermittedwithoutthewrittenauthorizationofJCEDC.
Paymentsshallbemadewithinthirty(30)daysofreceiptofinvoicebyJCEDC.Invoicesshallbe
submittedperiodicallyasmutuallyagreeduponbyJCEDCandEngineer/DesignProfessional,orin
theabsenceofsuchagreement,uponcompletionoftheworkconstitutingthetaskorprojectfor
whichservicesareprovided.Invoicesforservicesonanhourlyfeeplusexpensebasisshall
individuallydescribethetaskorprojectbyname,showhoursexpendedbyclassesofpersonnelin
incrementsofnotlessthanonehalfhourandratesapplied,aswellasdescribeworkperformed
duringtheinvoiceperiod;reimbursableexpensesshallbeitemized.Invoicesforservicesperformed
onaunitpricebasisshallidentifythetaskorprojectbyname,identifyandquantifyunitscharged
forservicesduringtheinvoiceperiod.Invoicesforservicesonalumpsumbasisshallidentifythe
taskorprojectbynameandtheinvoicedamount.Periodicinvoicesshallnotexceedtheamounts
permittedintheEngineer/DesignProfessional'sproposalapprovedbyJCEDC.Whenperiodic
requestsforpaymentaremade,theyshallonlyreflectchargesforworkalreadycomplete.JCEDC
mayretaintenpercent(10%)ofanypartialpaymentpendingfinalcompletionofthecontract
servicestocorrectanydeficienciesinperformance.JCEDCreservestherighttowithholdpayment
forinadequatelydocumentedinvoicesuntildocumentedasrequiredherein.JCEDCfurtherreserves
therighttowithholdpaymentsforunperformedworkorworknotperformedonatimelybasisin
accordancewiththeEngineer/DesignProfessional'sproposalwhendelaysinperformanceof
servicesarenotattributabletoJCEDC,orasaresultofabillingdisputebetweenJCEDCand
Engineer/DesignProfessional.NopenaltyshallbeassessedtoJCEDCforsuchamountswithheld
untilafteranydisputeisresolvedinEngineer/DesignProfessional1sfavor.Invoicesshallbe
submittedinduplicateandinsuchformatastheEconomicDevelopmentAdministration(EDA)may
requireforJCEDC'scompliancewithitsgrantobligations.
3. JCEDCResponsibilities:
JCEDCagreestofurnishEngineer/DesignProfessionalwithallcurrentandavailableinformationfor
eachtaskorprojectassignedtotheEngineer/DesignProfessional,alongwithanyinformation
necessitatedbychangesinworkorservicesinitiatedbyJCEDCwhichmayaffectservicesrendered
hereunder.Engineer/DesignProfessionalshallnotifyJCEDCofallinformationitmayrequirefrom
JCEDCorotherEngineer/DesignProfessionalsandContractorsofJCEDCsufficientlyinadvancesoas
toavoiddelayoftheworktobecompletedbyEngineer/DesignProfessional.
4. CoordinationofWorkandWorkProduct:
Engineer/DesignProfessionalshallcoordinateallworkwithJCEDC'sdesignatedrepresentativefor
eachtaskorprojectassignedtoEngineer/DesignProfessionalandsubmitstoJCEDC'srepresentative
allworkproductsinwrittenorgraphicformandinelectronicform,ifrequested,asapplicableor
required.UponpaymentoffeesandreimbursableexpensesdueandowingEngineer/Design
ProfessionalinaccordancewiththisAgreement,allreports,surveys,testdata,memoranda,
samples,plans,specifications,andotherdocumentsormaterialssubmittedbyortoJCEDCshallbe

consideredthepropertyofJCEDC.WhenavailableandrequestedbyJCEDC,workproductshallbe
providedinelectronicformatactualcostinmediacompatibleforusewithJCEDCsoftwareand
equipment,andAdobe(.pdf)formatshallbeacceptable.JCEDCshallassumeallliabilityforreuseof
Engineer/DesignProfessional'sdocumentsotherthanbyEngineer/DesignProfessional,orexceptas
specificallyauthorizedbyEngineer/DesignProfessional.
5. ProtectionofWork,PropertyandPersons:
TotheextentEngineer/DesignProfessional'sworkwillrequireanyfieldwork,testing,samplingor
otherwise,therequirementsofthisSectionshallapply.TheEngineer/DesignProfessionalwillbe
responsibleforinitiating,maintainingandsupervisingallsafetyprecautionsandprogramsin
connectionwith,andonlyinconnectionwith,Engineer/DesignProfessional'sservicesprovided
underthisAgreement.TheEngineer/DesignProfessionalwilltakeallnecessaryprecautionsforthe
safetyof,andwillprovidethenecessaryprotectiontopreventdamage,injuryorlosstoallofits
employeesprovidingworkunderthisAgreementandotherpersonswhomaybeaffectedthereby,
andotherpropertyincludedwithareawheretheservicesarebeingprovidedundertheproject,
includingtrees,shrubs,lawns,walks,pavements,roadways,structuresandutilities.The
Engineer/DesignProfessionalshallcomplywithallpertinentprovisionsoftheOccupationalSafety
andHealthAdministration(OSHA),anyStateSafetyandHealthagencyrequirements.
TheEngineer/DesignProfessionalwillcomplywithallapplicablelaws,ordinances,rules,
regulationsandordersofanypublicbodyhavingjurisdiction.TheEngineer/DesignProfessional
willerectandmaintain,asrequiredbytheconditionsandprogressoftheservices,allnecessary
safeguardsforsafetyandprotectionofitsemployeeswhilesaidemployeesareproviding
servicesunderthisAgreement.TheEngineer/DesignProfessionalwillnotifyJCEDCofadjacent
utilitieswhenprosecutionoftherequestforproposalmayaffectthem.TheEngineer/Design
Professionalwillremedyalldamage,injuryorlosstoanypropertycaused,directlyorindirectly,
inwholeorpart,bytheEngineer/DesignProfessional,anySubcontractororanypersondirectly
orindirectlyemployedbyanyofthemoranyoneforwhoseactstheymaybeliable.
Inemergenciesaffectingthesafetyofpersonsorthescopeofworkorpropertywithinthe
projectarea,theEngineer/DesignProfessional,withoutspecialinstructionsorauthorization
fromJCEDC,shallacttopreventthreateneddamage,injuryorloss.TheEngineer/Design
ProfessionalwillgiveJCEDCpromptwrittennoticeofanysignificantchangesinthescopeof
workcausedtherebyandachangeordershallthereuponbeissuedcoveringthechangesand
deviationsinvolved.
AllEngineer/DesignProfessionalsenteringintocontractsforpublicworksshallrequireall
employeeswhowillconductfieldwork,testingorsamplingunderthisAgreementtocomplete
tenhoursoftrainingpursuanttoSection292.675RSMowithinsixtydaysofbeginningworkon
theproject.
AnyEngineer/DesignProfessionalviolatingthetrainingrequirementsofSection292.675RSMo
shallforfeitasapenaltytothepublicbodyonwhosebhalfthecontractismadethesumof
$2,500.00plus$100.00foreachviolatingemployee,perday.Thesespenaltiesshallaccrueon
expirationofthetimelimitssetforthinSections292.675.2and292.675.3RSMo.

Allsumsdueforsuchforfeitureandpenaltyshallbewithheldfrompaymentsowedunderthe
Contract.Nopaymentotherwisedueshallbemadeduringanytermofuncorrectedviolations
ofSection292.675RSMoandnointerestorpenaltiesshallaccrueonanysuchunmade
payment.
TheEngineer/DesignProfessionalisawareoftheprovisionsoftheOverheadPowerLine
SafetyAct,319.075to319.090RSMo,andagreestocomplywiththeprovisionsthereofto
theextentincludedinactivitiesconductedunderthisAgreement.Engineer/Design
Professionalunderstandsthatitistheirdutytonotifyanyutilityoperatinghighvoltage
overheadlinesandmakeappropriatearrangementswithsaidutilityiftheperformanceof
contractwouldcauseanyactivitybyEngineer/DesignProfessionaloranyotherpartywithinten
feetofanyhighvoltageoverheadline.Tothefullestextentpermittedbylaw,Engineer/Design
Professionalshallindemnify,holdharmlessanddefendJCEDC,itsofficers,agents,and
employeesfromandagainstallclaims,drainages,lossesandexpenses(includingbutnot
limitedtoattorney'sfees)arisingbyreasonofanyactorfailuretoact,negligentorotherwise,
ofEngineer/DesignProfessional,ofanySubcontractor(meaninganyone,includingbutnot
limitedtoEngineer/DesignProfessionalshavingacontractwithEngineer/DesignProfessionalor
asubcontractforpartoftheservices),ofanyonedirectlyorindirectlyemployedby
Engineer/DesignProfessionalorbyanySubcontractor,orofanyoneforwhoseactsthe
Engineer/DesignProfessionaloritsSubcontractormaybeliable,inconnectionwithanyclaims
arisingundertheOverheadPowerLineSafetyAct.
6. GeneralInsuranceRequirements:
Engineer/DesignProfessionalshallpurchaseandmaintainsuchinsuranceaswillprotectiffrom
claimssetforthbelowwhichmayariseoutof,orresultfromtheEngineer/DesignProfessional's
work,whethersuchexecutionbebytheEngineer/DesignProfessional,anysubcontractor,orby
anyonedirectlyorindirectlyemployedbyanyofthem,orbyanyonewhoseactsanyofthemmaybe
liable:
WorkersCompensation:
Claimsunderworkmen'scompensation,disabilitybenefitandothersimilaremployeebenefit
actsinamountsrequiredbylaw.Incaseanyclassofemployeesengagedinhazardouswork
underthisAgreementisnotprotectedundertheworkmen'scompensationstatute,the
Engineer/DesignProfessionalshallprovideadequateandsuitableinsurancefortheprotection
ofitsemployeesnototherwiseprotected.
BodilyInjury:
Claimsfordamagesbecauseofbodilyinjury,occupationalsicknessordisease,ordeathof
employeesintheamountsrequiredbylaw.
PersonalInjury:
Claimsfordamagesinsuredbyusualpersonalinjuryliabilitycoveragewhicharesustained(1)
byanypersonasaresultofanoffensedirectlyorindirectlyrelatedtotheemploymentofsuch
personbytheEngineer/DesignProfessional,or(2)byanyotherperson.
ThirdPersonBodilyInjury:
Claimsfordamagesbecauseofbodilyinjury,sicknessordisease,ordeathofanypersonother

thanemployeesintheamountofatleast$376,378.00perpersonand$2,509,186.00per
occurrence,orsuchamountsasareannuallylistedasthegovernmentalsovereignimmunity
waiverinsection537.610RSMo,asannuallyadjusted.
AutomobileCoverage:
Claimsfordamagesbecauseofinjuriestopersonsandpropertyarisingoutoftheoperationof
thefollowingintheexecutionofprojects:
Engineer/DesignProfessional'sownautomobilesandtrucks,
Hiredautomobilesandtrucks,and
AutomobilesandtrucksnowownedbytheEngineer/DesignProfessional.
Theinsuranceshallcovertheuseoftheabovementionedautomobilesandtrucksduringthe
termofthisAgreement.Theminimumamountsofsuchinsuranceshallbethesameasrequired
forPublicLiabilityandPropertyDamageInsurance.
ProfessionalLiability:
ClaimsfordamagesresultingfromerrorsoromissionsoftheEngineer/DesignProfessionalor
itsemployeesintheamountofatleasttwomilliondollars($2,000,000.00).
7. Indemnification:
FailureofEngineer/DesignProfessionaltoobtainormaintainsuchinsuranceduringthiscontract,or
toprovideproperproofsthereofuponrequestofJCEDC,shallnotdiminish,waiveorotherwise
reducetheEngineer/DesignProfessional'sobligationstomaintainsuchinsurancecoverageand
Engineer/DesignProfessionalshallindemnifyandholdJCEDCandallitspersonnelharmlessfrom
andagainstanyandallclaims,damages,lossesandexpenses,includingreasonableattorney'sfees
andlitigationcosts,arisingoutoforresultingfromtheperformanceofservices,providedthatany
suchclaim,damage,lossorexpenses,iscausedinwholeorinpartbythenegligentact,omission
and/orliabilityoftheEngineer/DesignProfessional,itsagentsoremployees.Further,
Engineer/DesignProfessionalshallholdJCEDCharmlessfromanyfailurebyEngineer/Design
Professionaltocompletetheirworkincompliancewithallapplicablelocal,stateandfederal
regulations.
8. DelegationandSubcontracting:
UnlessotherwiseproposedandapprovedintheEngineer/DesignProfessional'sproposalfor
services,theEngineer/DesignProfessionalshallnotdelegateorsubcontractanyworktobe
performedbytheEngineer/DesignProfessionalunderthisagreementtoanyotherperson,business
orentitywithouttheexpressadvancewrittenapprovalofJCEDCforsuchdelegationorsubcontract
work.
9. RecordsandSamples:
TotheextentnototherwisetransferredtoJCEDC'spossession,Engineer/DesignProfessionalagrees
toretainandprovideJCEDCwithreasonableaccesstoallworkproduct,records,papersandother
documentsinvolvingtransactionsandworkrelatedtoorperformedunderthisagreementfora
periodofthree(3)yearsafterfinalpaymentismadetoEngineer/DesignProfessionalunderthis
agreement.Whenservicesinvolvetestingorsampling,Engineer/DesignProfessionalagreesto
eitherretainalltestproductsorsamplescollectedbyorsubmittedtoEngineer/DesignProfessional,
orreturnsametoJCEDCasmutuallyagreedupon.Inabsenceofagreement,Engineer/Design

ProfessionalshallnotdisposeoftestsamplesorproductswithoutnoticetoorconsentbyJCEDCor
JCEDC'srepresentative.
10. AdditionalServices:
NocompensationshallbepaidforanyservicerenderedbytheEngineer/DesignProfessional
consideredanadditionalservicebeyondthescopeofservicesapprovedbyJCEDCunlessrenditionof
thatserviceandexpensethereofhasbeenauthorizedinwritingbyJCEDCinadvanceof
performanceofsuchservice.AnyadditionalservicesperformedbytheEngineer/DesignProfessional
priortosuchauthorizationbyJCEDCshallbedeemedapartofbasicservicesforworkperformed
underaJCEDCapprovedproposalforservicesgovernedbythisagreement,whetherenumeratedin
thisagreementornot,forwhichtheEngineer/DesignProfessionalshallbeentitledtonoadditional
compensation.
11. Authorization:
WhenthetermJCEDCisusedinthisagreement,itshallmeantheBoardofDirectorsoftheJohnson
CountyEconomicDevelopmentCorporation.AuthorizationbyJCEDCshallmeanwritteninstruction
fromtheBoardofDirectorsorBoardPresident,ordesignee.Itisfurtherunderstoodandagreed
thatnopersonorpartyisauthorizedtobindJCEDCtoanyproposedagreementforservicesunder
theauspicesofthisagreementwithouthavingobtainedthepriorapprovaloftheJCEDCBoardof
Directors,BoardPresident,ordesignee.Inthisregard,itisunderstoodandagreedthatthe
Engineer/DesignProfessionalshallnotbeentitledtorelyuponverbalrepresentationsbyanyagent
oremployeeofJCEDCindeviationtothetermsandconditionsofthisagreement,oras
authorizationforcompensationforservicesexceptasmaybeapprovedbytheJCEDCBoardof
DirectorsorBoardPresidentinwriting.WhenthetermJCEDCrepresentativeisused,itshallmean
theExecutiveDirectorordesigneeasspecifiedinwriting.
12. PeriodofServicesandTermination:
Theperiodofperformanceunderthisagreementshallbeasspecifiedintheprojectschedule
attachedhereto.JCEDCmayandreservestherighttoterminatethisagreementatanytimewithor
withoutcausebygivingtheEngineer/DesignProfessionalwrittennoticeoftermination.Upon
receiptofsuchnotice,Engineer/DesignProfessionalshalldiscontinueallservicesinconnectionwith
theperformanceofservicesauthorizedunderthisagreementorJCEDCapprovedproposalfor
servicesandJCEDCshalluponinvoiceremitpaymentforallauthorizedservicescompleteduptothe
dateofterminationnotice.Uponpaymentofthisinvoice,theEngineer/DesignProfessionalshall
deliveranyandallworkproductincludingdrawings,plans,andspecifications,orotherdocuments,
preparedasinstrumentsofservice,whethercompleteorinprogress.Itisfurtheragreedthatif
servicesareterminatedtheEngineer/DesignProfessionalshallbecompensatedforallservices
renderedthroughthedateofterminationnottoexceedtheamountauthorizedforservicesthrough
thedateoftermination.IfJCEDCquestionstheextentofworkonafinalinvoice,the
Engineer/DesignProfessionalshallgiveJCEDCtheopportunitytoreviewandevaluateallworkupon
whichtheinvoiceisbasedintheofficesoftheEngineer/DesignProfessionalpriortopayment.This
agreementorworkperformedundertheprovisionsofthisagreementmayalsobeterminatedby
theEngineer/DesignProfessionaluponnotlessthansevendayswrittennoticeintheeventJCEDC
shallsubstantiallyfailtoperforminaccordancewiththetermsandconditionsofthisagreement,
throughnofaultoftheEngineer/DesignProfessional.Intheeventofterminationbythe

Engineer/DesignProfessional,theotherprovisionsconcerningterminationcontainedinthis
paragraphshallbeapplicable.
13. GoverningLaw:
ThisagreementshallbegovernedbythelawsoftheUnitedStatesandtheStateofMissouri.Itis
agreedthatthisagreementismadeinJohnsonCounty,MissouriandthatJohnsonCounty,Missouri
ispropervenueforanyactionpertainingtotheinterpretationorenforcementofanyprovision
withinorservicesperformedunderthisagreement.
14. CertificationofLawfulPresence/WorkAuthorization:
Engineer/DesignProfessionalwillcompletetherequiredcertificationsoflawfulpresenceand,ifthe
contractistoexceed$5,000.00,shallcompleteandreturntheWorkAuthorizationCertification
attachedhereto. Engineer/DesignProfessionalshallindemnifyandholdharmlessJCEDCandits
officials,agentsandemployeesfromallcostsandliabilitiesincurredasaresultofEngineer/Design
Professional'sfailure,orfailureofitsemployees,agentsorSubcontractors,tocomplywithSection
285.530RSMoregardingunauthorizedalienstotheextentthesameareapplicableduringtheterm
ofthisAgreement.Attachedheretoarecertificationsofcompliancerequired.
15. NatureofRelationship:
Engineer/DesignProfessionalhereinisanindependentEngineer/DesignProfessionalandshallnot
actasanagentforJCEDC,norshallEngineer/DesignProfessionalbedeemedtobeanemployeeof
JCEDCforanypurposeswhatsoever.TheEngineer/DesignProfessionalshallnotenterintoany
agreementorincuranyobligationsonJCEDC'sbehalforcommitJCEDCinanymanner.
16. Miscellaneous:
Thisagreementconstitutestheentireagreementofthepartiessupersedingallpriornegotiations,
writtenorverbal,andmayonlybeamendedbysignedwritingexecutedbythepartiesthroughtheir
authorizedrepresentativeshereunder.
17. OwnershipofPlans,DocumentsandRecords:
Thefieldnotes,designnotes,originaldrawingsoftheconstructionplans,andlogsofanywells
drilled,asinstrumentsofservice,areandshallremain,thepropertyoftheEngineer/Design
Professional.TheEngineer/DesignProfessionalshallalsodeliverallelectronicinformationonCDin
Adobe".pdf'format.AnydocumentssubmittedinAutoCADformatshallhaveEngineer/Design
Professional'ssealremoved.JCEDCshallassumeallliabilityforreuseofAutoCADdocumentsother
thanbyEngineer/DesignProfessional,orexceptasspecificallyauthorizedbyEngineer/Design
Professional.

JCEDCshallmakecopies,fortheuseoftheEngineer/DesignProfessional,ofallofitsmaps,records,
laboratorytests,orotherdatapertinenttotheworktobeperformedbytheEngineer/Design
ProfessionalpursuanttothisAgreement,andalsomakeavailableanyothermaps,records,orother
materialsavailabletoJCEDCfromanyothermaps,records,orothermaterialsavailabletoJCEDC
fromanyotherpublicagencyorbody.TheEngineer/DesignProfessionalshallhavenoliabilityfor
defectsintheservicesattributabletotheEngineer/DesignProfessional'srelianceuponoruseof
data,designcriteria,asbuiltdrawings,orotherinformationfurnishedbyJCEDCorthirdparties
retainedbyJCEDC.

TheEngineer/DesignProfessionalshallfurnishtoJCEDC,copiesofallmaps,records,fieldnotes,and
soiltestswhichweredevelopedinthecourseofworkforJCEDCand,forwhichcompensationhas
beenreceivedbytheEngineer/DesignProfessional.TheEngineer/DesignProfessionalunderstands
thattheaportionofthefundstopayfortheservicesprovidedhereinarethroughagrantfromthe
EconomicDevelopmentAdministration(herein"EDA")andthatpursuanttothetermsofJCEDC's
grantwiththeEconomicDevelopmentAdministration(EDA)thatEDAreservesaroyaltyfree,
nonexclusive,andirrevocablelicensetoreproduce,publish,orotherwiseuse,andtoauthorize
otherstouseforFederalgovernmentpurposes:(a)thecopyrightinanyworkdevelopedunderthis
award,subaward,orcontractawardedunderthisgrant;and(b)anyrightsofcopyrighttowhicha
Granteeorsubgranteeoracontractorpurchasesownershipwithawardfunds.
18. CompliancewithFederalRegulations,PoliciesandGrantRequirements:
TheEngineer/DesignProfessionalagreestofullycooperatewithrepresentativesfromtheEconomic
DevelopmentAdministration(EDA)andJCEDCtoenablecompliancewithallfederalregulations,
policiesandgrantrequirementsassociatedwiththisProject.Thefollowingdocumentsmakeupa
partofthisContract,andareincorporatedhereinfullybyreferenceunderthe:

CooperativeAgreementbetweenEconomicDevelopmentAdministration(EDA)and
JCEDCTechnicalAssistanceGrantAwardNo._______________________,effective

TheEngineer/DesignProfessionalshallcomplywithalloftheterms,conditionsandrequirements
containedwithinthosesaiddocuments.Engineer/DesignProfessionalshallberesponsiblefor
identifyingallcompliancesteps,andrequirementsimposeduponEngineer/DesignProfessionaland
JCEDC.IntheeventthatthetermsofsaidattacheddocumentsconflictwiththisAgreement,the
RequestforProposalsortheEngineer/DesignProfessional'sProposal,theEngineer/Design
ProfessionalshallimmediatelycontactJCEDC'srepresentativeforclarification.

INWITNESSWHEREOF,thepartieshaveexecutedthisagreementbytheirdulyauthorized
signatorieseffectivethedateandyearfirstabovewritten.
