DEED OF SALE OF SHARES OF STOCK

KNOW ALL MEN BY THESE PRESENT:

This AGREEMENT made and entered unto by the parties on this _____ day of ___________,
2017 at Zamboanga City, Philippines by and between:

EL VERANO PROPERTIES, INC., a domestic corporation with principal business address at

10th Floor Country space 1 Bldg., Sen. Gil Puyat Avenue, Makati City, as represented by
____________________ and herein referred to as the SELLER;

and

ANTONIO O. OLBES, of legal age, Filipino, with office address at

______________________________ and herein referred to as the BUYER.

WITNESSETH :That

WHEREAS, the SELLER is the registered and subscribed owner of ______________ common
shares of EL VERANO PROPERTIES, INC. a domestic corporation with business address at the 10th Floor,
Country Space 1 Building, Sen. Gil Puyat Avenue, Salcedo Village, Makati City;

WHEREAS, the SELLER desires and intends to sell said _________ common shares to the BUYER
at a price of __________ per share and said BUYER has agreed to the said proposal;

NOW, THEREFORE, for and in consideration of the foregoing, the parties herein have agreed to
the following terms and conditions, to wit:

MISCELLANEOUS : All expenses, fees and charges, EXCEPT the applicable tax on the sale of
