QUALIFICATION CRITERIA 44 General (1) Evaluation of the Bidders’ qualifications will be based on compliance with all the following minimum pass-fail criteria listed in the following sections, considering relevant information as demonstrated by the Bidders’ responses in the Information Forms that they submit as per the attached Bid Forms. Additional requirements for joint ventures are given in Section 2, (2) Bidders may submit the Bid either as, (a) A stand-alone firm, company, legal entity formed as per the applicable law; or (b) A joint venture, provided that they meet the requirements of the Bidding Documents. For the purpose of assessing some qualification criteria, the qualifications and experience of subcontractors may be included and the specifi provisions in this regard are set out in Section 1.5. 4.2. Subcontracting (1) Bidders will be evaluated based on the qualifications of, (a) the Bidder; and (b) nominated subcontractors and sub-consultants only with respect to the experience evaluation as set out in Section 1.5, and only ifthe subcontractors and sub-consultants are nominated for the purpose of this bid. For the purposes of Section 1.7, Bidders may nominate personnel of subcontractors and sub-consultants to fill the key positions listed in the BDS - ITB 3.3(0. Q) The Bidder shall provide a detailed list of all nominated subcontractors and sub-consultants and a record of their experience and qualifications in the applicable Information Forms, ‘The Operator under the Contract shall be prohibited from entering into a contract or contracts that will result in the Operator exceeding the maximum percentage of subcontracting and sub-consulting permitted by the Owner, as set out in the BDS - ITB 3.3(g). (3) Bidders will not be permitted (o change the subcontractors and sub-consultants nominated in their Bid. 1.3 Operator’s Respons y ‘After award of the Contract, the subcontracting of any part of the work, except for those subcontractors and sub consultants nominated in the Bid, shall require the prior written consent of the Owner. Notwithstanding such consent, the Operator shall remain responsible for the acts, defaults, and neglects of all subcontractors and sub consultants during Contract implementation. 1.4 General Design, Build, Operations & Maintenance Experience ‘The Bidder shall provide evidence that, Page 18 (a) __ithas been actively engaged in designing, building, operating, managing and maintaining civil works, including measurement, billing and revenue collection in respect of those facilities, for at least the period as stated in the table below. (b) thas generated an average annual turnover, in respect of designing, building, operating, ‘managing and maintaining civil works facilities during the period as stated in the table below. Last Eight (8) Financial Years i.e 2008-09 to 2075-16 The Bidder must have been actively engaged as prime Operator, management Operator, partner in joint venture, or sub-contractor or sub-consultant, in the execution of a minimum of two Contracts of a similar civil works nature and complexity comparable (o this project within the last FAR Scars immediately prior tothe submission of the Bid. 14 (b) | Required Annual Turnover: The average annual turnover is defined as the total of certified payment certificates for works in progress or completed by the firm or firms comprising the Bidder over the previous five financial years divided by five, T4 ta) | Time Period: (a) the Bidder should have generated a minimum average annual turnover during the above period greater than the equivalent of Rs, 5000.00 Lakhs (Rupees Five Thousand Lakhs Only). (b) the bidder should have generated a minimum turnover in at least one year of the five year of not less than the equivalent of Rs. 1000.00 Lakhs (Rupees Ten Thousand Lakhs Only) The average annual turnover is defined as the total payment received for general design and construction work and work related to designing, building, operating, managing and maintaining civil works facilities by the firm or firms comprising the Bidder, divide by the number of yeas urnover of previous years shallbe given weighlage of 10% per year based on rupee value to bring them 41927518 ‘Gla Wister Supply Experience ‘The Bidder shall provide evidence that during the period as stated in table below (1) The Bidder shall provide evidence (certified by the relevant and respective Employer/Owner) that it has successfully carried out or substantially carried out at least the number and type of water supply projects or assignments within the period as stated in table below. ‘The projects or assignments may have been executed by the Bidder as prime Contractor, or proportionately as a member of a joint venture, or as a sub-contractor or sub-consultant, with references being submitted to confirm satisfactory performance. Last Eight (8) Financial Years i.e 2008-09 to 2015-16 ‘The Bidder must have been actively engaged as prime contractor, management Operator, partner in a joint venture, or sub-contractor or sub-consultant [Design and construction of Intake structure like Intake well/Jack Well, Water Treatment Plant, Pumping station, Elevated & Jand/or underground reservoirs, distribution and rising pipe lines, SCADAV PLC for Reservoirs and Water Works and O&M experience of water supply system] in the successful execution of a Page 19 ‘one oF maximum three contracts of a nature and complexity comparable to this project within the last care immediately prior to the submission of the Bid of not less than the equivalent of Rs, 18100,00 Lakhs (Rupees Eighteen Thousand One Hundred Lakhs Only) at 3643-H price level 2015-16 (2) For the purpose of demonstrating its experience in accordance with 1.4 & 1.5, the Bidder, including a joint venture partner, may include the experience of the sub-contractors and sub-consultants also, 4.6 Financial Capabi (1) ‘The Bidder shall demonstrate that it has access to, or has available, liquid assets, unencumbered real assets, lines of credit, and other means, independent of any contractual advance payment, sufficient to meet the cash flow requirements for the Contract in the event of stoppage, start-up, or other delays in payment, of the minimum estimated amount as stated in the table below, net of the Bidders’ commitments for other contracts. (2) ‘The Bidder shall also demonstrate, to the satisfaction of the Owner, that it has adequate sources of finance to meet the cash flow requirements on works currently in progress and for future contract commitments. (3) _ The Bidder’s audited balance sheets or, if not required by the laws of the Bidder’s country, other financial statements acceptable to the Owner, for the last five years shall be submitted and must demonstrate the current soundness of the Bidder’s financial position and indicate its prospective long- term profitability. If deemed necessary by the Owner, the Owner shall have the authority to make inquiries with the Bidder’s bankers. 1.6(1) | Liquid assets and/or availability of credit facilities of no less than amount Rs. 3200.00 Lakhs & (2) | (Rupees Three Thousand Two Hundred Lakhs Only). (Credit lines/letter of credit/certificates from Banks for meeting the funds requirement ete.) Minimum required Cash Flow amount in Rs. 1200.00 Lakhs (Rupees One Thousand Two Hundred Lakhs Only). 1.7 Personnel Capal ‘The Bidder shall supply general information on the management structure of the firm, and shall make provision for suitably qualified personnel to fill the key positions listed in the BDS ~ ITB 3.3(f), as required during Contract implementation. ‘The Bidder shall supply information on a candidate for each key position, who shall meet the experience requirements specified. The Bidder may nominate personnel of subcontractors and sub consultants to fill key positions listed in the BDS. 1.8 Litigation History and Legal Matters ‘The Bidder shall provide accurate information on the “Historical Contract Non- Performance Form” about contract non-performance and pending litigation with respect to contracts Page 20 completed or ongoing under its execution over the last five years. A consistent history of awards against the Bidder or any Partner of a joint venture may result in rejection of the Bid. 1.9 Right to Waive ‘The Owner reserves the right to waive minor deviations in the qualification criteria if they do not materially affect the capability of a Bidder to perform the Contract, 2. (3) For the purpose of satisfying the qualification criteria set out in Section 1, Joint Venture {all partners combined) must satisfy the qualification criteria set out in (a) & (b) and individually as set ‘out in (c) below: (a) adequate sources to meet requirements of cash credit facility as set out in Section 1.6 (1); and (b) Audited balance sheets of all partners as stated in section 1.6 (3) (©) legal disclosure as stated in Section 1.8, Page 2 (4) The Bidder shall include all information in respect of joint venture Partners that is required to meet the qualification criteria in Section 1, in accordance with Section 2.2, in the Bid. 2.3 Lead Partner One of the joint venture Partners who is responsible for performing a key function in contract, ‘management or in executing a major component of the proposed Contract shall be nominated as being in charge during the bidding process and, in the event of a successful bid, during Contract execution (the ‘Lead Partner”). The Lead Partner shall meet 50% of the qualification criteria as defined in ITB 1.6. The Lead Partner shall be authorized to incur liabilities and receive instructions for and on behalf of any and all partners of the joint venture. This authorization shall be evidenced by the submission of a power of attorney signed by legally authorized signatories of each of the joint venture Partners as part of the Bid. 24 Credentials of Associate The Particular Water Supply Experience (section 1.5), Financial Capabilities (Section 1.6), Required Annual Tumover (section 1.4(b) of single Bidder or Joint Ventures may include the Technical experience and Financial Capability of their relevant Associates. For purposes of this Bid Document, Associate means, in relation to the Bidder / Consortium Member, a person who controls, is controlled by, or is under the common control with such Applicant/ Consortium Member (the “Associate"). As used in this definition, the expression “contro!” means, with respect to a person which is a company or corporation, the ownership, directly or indirectly, of more than 50% (fifty per cent) of the voting shares of such person, or being the largest shareholder, directly or indirectly, and with respect to a person which is not ‘a company or corporation, the power to direct the management and policies of such person by ‘operation of law. “Relevant Associate” means an Associate whose capacity or net worth has. been taken into account for the purpose of this application. For these purpose, its clarified that a Relevant Associate need not be a member of the JV @F SPM for its Experience to be taken into account
