CONTRACT OF PIECE OF WORK

This CONTRACT is made and entered into this

_________________________ at Antipolo City, by and between:

JAKE BRYSON R. DANCEL, of legal age, Filipino, and a

resident of Brgy. 50 Buttong, Laoag City, Ilocos Norte, and hereinafter
referred to as “DANCEL”;

CUTTON GARMENTS, a duly registered business entity under

the laws of the Republic of the Philippines, with principal office at
#152 Marcos Highway, Brgy. Mayamot, Masinag, Antipolo City,
represented by one of its account representatives, Arnel Baldo, and
hereinafter referred to as “CUTTON”;

Whereas, DANCEL is an administrator of a de facto organization

and that such organization is in need of a company who is engaged
in the garments industry to produce the uniform of the organization;

Whereas, CUTTON is engaged in the aforementioned business

and that it is willing to enter into this agreement with DANCEL;

NOW THEREFORE, for and in consideration of the foregoing,

DANCEL and CUTTON hereby enter into this CONTRACT subject to
the following terms and conditions:

TERMS AND CONDITIONS

1. Design. The designs for the polo shirt and jacket are attached
herewith as Annex “A” and Annex “B” respectively.

2. Materials. The following materials shall be used for the production

of the final product:

Polo Shirt – Lacoste fabric; embroidered design

Jacket A – Fleece with embroidered design
Jacket B – Microfiber with embroidered design

3. Size Chart. The size chart that will be used by both parties in
connection with this agreement is labeled as Annex “C”
2. Price. The price of each item will be as follows:

a. Polo Shirt P _____.00

b. Jacket with hood P _____.00
c. Jacket (waterproof) P _____.00

3. Earnest Money. DANCEL shall pay the amount equal to or more

than seventy percent (70%) of the total price of the items before the
production is to be considered commenced. The remaining balance
must be paid before the items are release.

4. Time frame. For a period not exceeding twenty (20) working days
after the payment of the earnest money, CUTTON guarantees that
the project will be completed.
DANCEL may defer the payment of the remaining balance in the
event of delay in the production of the items and shall not be held
liable for the same, unless CUTTON substantially proves that the
project has been completed within the period aforementioned.

5. Mode of payment. The earnest money may be deposited on the

back account of CUTTON or be paid in person. DANCEL shall bear
the burden of proof that the payment has been made.

6. Delivery of items. Upon completion of the project and the

payment of the balance, CUTTON agrees to have the items shipped
to DANCEL via any of the couriers which the former may deem
favorable to both of the parties. In this regard, DANCEL agrees to pay
Five Hundred Pesos (P500) on top of the total contract price.

7. Penalty for delay. In case of delay in the delivery of the items or

payment of the remaining balance after the timeframe provided in
article 4, there shall be a reduction or increase of Five Hundred Pesos
(P500) in the total agreed price for each week of delay, to accrue
starting from the first day that the delay was incurred and from the
first day of every week thereafter, without prejudice to the exclusion
of liability in the second paragraph of article 4.

8. Arbitration. The parties hereby agree to submit themselves to

arbitration should there be any breach in the provisions of this
contract or any dispute that arise hereof.
9. Venue. Should the arbitration fail as provided for in the next
preceding article, the party seeking relief may file an action in any
court of appropriate jurisdiction at his election.

10. Entire Agreement. Any agreement not specifically mentioned

herein shall be inefficacious and shall be deemed never to have
existed.

11. This CONTRACT OF PIECE OF WORK shall be valid and binding

between the parties, their successors-in-interest and assigns.
