MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENT:

This Memorandum of Agreement is made and entered into this ________ day of
_____________, 2017 by and between:

The CUTUD BAGONG SILANG NORTHVILLE OPERATORS AND DRIVERS

ASSOCIATION (CBSNVTODA), an entity duly organized and existing under the laws
of the Republic of the Philippines with principal office at the Barangay Cutud, Angeles
City, represented by its President, __________________________ hereinafter referred
to as “CBSNVTODA”

- and -

NORTHVILLE 15 TODA, an entity duly organized and existing under the laws of the
Republic of the Philippines with principal office at the Barangay Cutud, Angeles City,
represented by its President, __________________________ hereinafter referred to as
“NV 15 TODA”

CBSNVTODA and NV 15 TODA shall be jointly referred to as Parties and individually

as Party/Parties.

WITNESSETH:

WHEREAS, CBSNVTODA is the main and primary terminal duly existing and operating at
Barangay Cutud, Angeles City, Pampanga,

WHEREAS, the NV 15 TODA has requested to be adopted by CBSNVTODA in order to operate

and earn as legitimate tricycle drivers within the vicinity of Northville;

WHEREAS, CBSNVTODA has agreed to the request of the NV 15 TODA to adopt the latter
under agreeable terms and conditions for the fair and equitable rights on the operation of the TODA;

NOW, THEREFORE, for and in consideration of the foregoing premises, the Parties
herein do hereby accept and agree to undertake and adopt the following covenants:
I. Term of Agreement:

This Agreement shall have a term of ______ to commence from ________ to ________. Term maybe
cancelled by both Parties to be effective upon thirty (30) days notice to the other Party.

II. Rights and Obligations of CBSNVTODA and NV 15 TODA:

1. The monthly dues for Cutud Main and Northville shall be given directly to the respective
affiliations despite the adoption of Northville by Cutud Main;

2. There shall be a contribution of 60% from Cutud Main and 40% from Northville on the TODA
activities;

2 There shall be a maximum of three (3) Cutud main slots in front of the school at the NorthVille
TODA and up to two (2) slots on the other sub terminals;

3. The abovementioned slot agreements shall be sequential in form. Unless the driver in Northville,
occupied by Cutud main, leaves the premises, there shall be no driver from Cutud main to enter
and fall in the operations;

4. CBSNVTODA have the right to deny Northville TODA driver access to the operation who will
be violating or about to violate rules and regulations and terms and conditions as agreed upon
this memorandum.

III. Final Provisions

1. Any amendment alteration, or modification of this Memorandum of Agreement shall not be

valid and binding unless and until made in writing and signed by both Parties hereto;

2. All questions, issues and disputes between and among the Parties hereto shall be discussed and
settled amicably by the Parties among themselves under the spirit of good faith and openness;

3. In the event of failure to resolve the aforementioned issues and disputes, Parties agree that the
Angeles City Council shall be the arbitrator to resolve and shall interpret the questions or
violations raised by the parties.
