CONTRACT FOR CONSIGNMENT

This agreement is made between JusEats (Hola! GRANOLA) (the “Consignor”) and
PLANA FORMA (the “Consignee”).

1. The Consignor and Consignee acknowledge and agree that the Consignor has
provided the goods described below to the Consignee for sale on a consignment
basis, for the prices indicated, under the terms and conditions of this agreement:
2. The Consignee agrees to use its best efforts to sell the goods at the agreed upon
sale price.
3. Following a sale, Consignee will retain from the sale proceeds a commission of
25% from the SRP. In computing the comission, its SRP-25%. Consignee will
send the balance proceeds to the Consignor within 45 days upon the receipt of
Sales Invoice from the Consignor.
4. The Consignor will retain ownership of the goods until they are sold.
5. Any goods the Consignee is unable to sell from the delivery date may be returned
and replaced by the Consignor. The Consignor may reclaim unsold goods after
the duration of this contract.
6. At the request of the Consignor, the Consignee agrees to execute financing
statements perfecting the consignor’s claim of ownership of goods. The
Consignor can also perform a spot check of the remaining inventory at the
Consignee’s outlets/warehouse.
7. While the goods are in Consignee’s possession, Consignee will bear the risk of
damage to or loss of the goods. If the goods are damaged or lost, Consignee will
pay the Consignor the selling price listed less the stated commission.
8. Notices. All notices must be in writing. A notice maybe delivered in person, by
mail and/or email.
9. Termination of Contract. Consignor or Consignee may terminate this contract at
any time. If either party terminates the agreement, Consignee will return the
goods to the Consignor as soon as practicable.

11. If any part of this agreement is adjusted invalid or unenforceable, the remaining
part shall not be affected and shall remain in full force and effect.
12. If any part of this agreement is adjudged invalid, illegal or unenforceable, the
remaining parts shall not be affected and shall remain in full force and effect.
13. This agreement shall be binding upon the parties, and or their heirs, executors,
personal representatives, administrators and assigns. No person has a right or
cause of action arising out of or resulting from this agreement except those who
are parties to it and their successors in interest.
14. This agreement, including any attached exhibits and agenda, constitutes the entire
agreement of the parties. No representations or promises have been made except
those that are set out in this agreement. This agreement may not be modified
except in writing signed by all of the parties.
