MINUTES

WILLOW FORK DRAINAGE DISTRICT

December 3, 2009

The Board of Directors (the "Board") of Willow Fork Drainage District (the
"District"), met in special session, open to the public, on December 3, 2009, at 23501
Westheimer Parkway, Katy, Texas, inside the boundaries of the District, and the roll
was called of the members of the Board:

Richard Ward President

Scott Lyons Vice President
Joe Robinson Secretary
Darrell Kainer Assistant Vice President
April Renberg Assistant Secretary

and all of the above were present, except Richard Ward, thus constituting a quorum.

Also present at the meeting were Bill OdIe and Drew Mengwasser of TBG
Partners; Melinda Garza of AECOM, Inc.; and Stephen M. Robinson and Annette
Stephens of Allen Boone Humphries Robinson LLP.

TOUR OF LOCAL PARK AND RECREATIONAL FACILITIES.

Mr. OdIe distributed a handout for the Board that described the park and
recreational facilities that the Board planned to tour. The Board first toured a twelve
acre site adjacent to the Cinco Ranch High School that could be a potential site for a
community park. The Board also inspected an alternate site adjacent to the Cinco
Ranch High School and Falcon Landing subdivision. Discussion ensued concerning
difficulty of access to this alternate site.

The Board continued its tour with an inspection of the District's diversion
channel and diversion channels in the area. Discussion ensued regarding landscaping
and recreational projects to enhance the diversion channel in the District.

The Board then toured Discovery Green Downtown Park in downtown Houston.
Guy Hagstette, park director, gave the Board a guided walking tour of Discovery Green
including the lawns, ice rink, lake, and promenades.

The Board concluded its tour with several stops along the Terry Hershey Park
and Hike and Bike Trail. Discussion ensured concerning the construction of trails along
drainage channels.

Mr. OdIe provided the Board with a map of Arthur Storey Park and Stormwater
Detention Basin for the Board to visit independently if it wished.
