Subject: Limited Partnership Agreement

Mabuhay!

Thank you for your interest to become one of the “rainmakers”

and “pleaders” of the Office. This Agreement contains the following
terms and conditions, to wit:

I. SCOPE AND NATURE OF THE AGREEMENT

 You will become the “pleader” or “rainmaker” of DC

Law Office. You will be in-charge of gathering clients for
the Office subject to the conditions provided for under
this Agreement.

 In case of heavy workload of the Office, you will in-

charge of the preparation and drafting of pleadings,
affidavits, position papers, memorandum, letters, and
other documents for the Firm subject to payment of
reasonable professional fees under this Agreement.

II. RULES IN ACCEPTING CLIENTS, COMMISSION FEES and

PLEADING FEES
 The following are the rules in accepting clients of DC
Law:

a) FOR CIVIL CASES

 Acceptance Fees – PHP 50,000.00 (regular);

PHP 30,000.00 (discounted)

b) FOR CRIMINAL CASES

 Acceptance Fees – PHP 30,000.00 – (regular); PHP

20,000.00 (discounted)

c) FOR ADMINISTRATIVE CASES

 Acceptance Fees – PHP 20,000 – (regular); PHP

10,000.00 (discounted)

d) FOR LABOR CASES

 Acceptance Fees (EMPLOYEES) – No acceptance,

only contingent fees (60-40% rule, 60% to the client,
40% to the Firm)
 Acceptance Fees (COMPANY or AGENCY) – PHP
50,000.00 (regular); PHP 30,000.00 (discounted)

e) FOR TAX CASES

 Acceptance Fees – PHP 50,000.00 (regular); PHP

30,000.00 (discounted)

1. You are entitled to 40% commission or rainmaker’s fee ONLY

IN ACCEPTANCE FEES on all cases that you will refer in the
Firm;
2. The said acceptance fees may be paid by the potential client in
two monthly installments (FIRST INSTALLMENT – upon
 signing of the Contract for Legal Services between the client
and the Firm, and SECOND INSTALLMENT – one month after
the signing)
3. The other fees will be provided for under the Contract for Legal
Services.
4. All potential clients that you preliminarily screened as clients of
the Firm will be subject to approval of the Managing Partner.
The Managing Partner will be the one who will explain to the
client the terms and conditions of the Contract for Legal
Services.
5. All consultations will be forwarded to the Managing Partner.
The Managing Partner will be the one who will provide legal
advice to the clients.
6. Considering that you are all in the government service, you are
prohibited to engage in private practice of law.
7. You are entitled to PHP 2,500.00 as pleading fee (standard) for
any pleading, document, letter, position paper, affidavit or any
other legal documents that you will draft for the Firm.

III. EFFECTIVITY

Unless otherwise agreed upon, this engagement shall

commence upon signing of this agreement and shall take effect
for a period of ONE (1) year from the signing, and shall be
renewed subject to the agreement of the parties.

IV. REVIEW AND TERMINATION

This Agreement shall be subject to periodic review and

adjustment upon such terms and conditions to be mutually
agreed upon. It may be terminated by either party upon prior
written notice to the other at least thirty (30) days prior to the
intended date.
