STATEMENT OF WORKS

TSF ORE REHANDLING PROJECT.

1. Introduction.
This statement of works presents the works requirement for the re-handling of low grade ore (C-low) material from TSF dump
to Makerero low Grade stockpile dump. The project’s constraints on Scope, budget, Schedule and Safety shall be considered
in the entire statement and during execution.

2. Health, Safety and Environmental compliance.

The Contractor is to familiarize himself /herself with the contents of client’s Health, Safety and Environmental policies prior to
the commencement of works on Site.

The Contractor, his personnel and any sub-contractors must adhere to the Client’s Safety Policy, of which a copy is available
from the Client. The Contractor shall comply with all the provisions in it, including any appointments that may be required.
The Contractor shall at all times and at his cost comply with all rules and regulations, statutory or domestic, regarding the
safety of its Personnel including the provision of all protective clothing and/or safety equipment called for in such rules and
regulations. The Contractor shall at all times conform to any reasonable instruction given by a safety officer having
jurisdiction in or about the Site.

The Contractor shall:

i. Supply all necessary health and safety equipment to each of his/her personnel, the equipment shall comply with the
country’s OHS act and Client’s OHS standards as they are revised from time to time.
ii. To the extent that it is reasonably practicable, maintain that Contractor’s Equipment in a serviceable and hygienic
condition;
iii. Ensure that sufficient quantities of all necessary personal protective equipment are available so that every one of its
Personnel who is required to use that equipment is able to do so;
iv. Ensure that all its Personnel who are required to use personal protective equipment are instructed in the proper use,
the limitations and the appropriate maintenance of that equipment.
v. Have in place a safety and Occupational health policy and procedures.

To the extent that it is reasonable practicable, Contractor must:

i. Consider its Personnel’s training and capabilities in respect of health and safety before assigning a task to them; and
ii. Ensure that work is performed under the general supervision of a person trained to understand the hazards
associated with the work and to have the authority to ensure that the precautionary measures laid down by the
manager are implemented.

iii. Ensure that all Personnel employed by it are properly trained;

3. Mobilization and Demobilization for the Works

Contractor shall mobilize labor and equipment enough to support the project activities. All equipment and labor mobilized
shall be in conformity with the Acacia latest policies on health, safety and environment.

3.1 Medical Check Up

All mobilized contractor’s personnel shall undergo medical checkup in accordance with the latest’s SOP on health and safety.
Contractor shall at all times during project’s execution, not allow workers who have not undergone medical check up to work
in the project.

3.2 Equipment Condition

All items of equipment supplied for the works shall be in good working condition, fit for the purpose for which they are
required, and shall be maintained in good repair and working order by the Contractor. All Contractor’s equipment must
undergo vehicle condition inspection which shall be done by Client’s Engineering department prior to their usage on site.

The Client’s Safety and Engineering department shall carry out routine vehicle inspections. The Contractor shall ensure that
any faults identified during these checks shall be rectified at the earliest opportunity. The Client reserves the right to stand
down any piece of equipment which is unsafe for operation or unable to carry out its designated duties and the Contractor
shall immediately take action to replace any equipment so stood down.

Vehicles will be fully equipped to a standard approved by the Client, and the following will be supplied by the Contractor as a
minimum:

i. Fire extinguishers.
ii. First aid kit.
iii. Two way radios.
iv. The mobile equipment should have roll over protection structures (ROPS).

4. Contractor’s Supply
Contractor shall supply, operate and maintain the following:
i. Loading equipment.
ii. Haul equipment.
iii. Bull Dozer
iv. Workshop, amenities and office facilities (including communications).
v. Security required for his/her equipment and personnel. However, at working site contractor should strictly adhere to
the Client’s security requirements and guidance.
vi. Site offices for managerial personnel with appropriate ablutions etc.
vii. All other items found necessary but not specifically listed as being provided by the Contractor to achieve the
satisfactory and timely execution of the work.
viii. Power and potable water requirements. (Supply may be negotiated with the Client).

5. Client’s Supply
The following specified facilities and services will be furnished by the Client;
i. Regular survey measurements for the works executed.
ii. Fuel for the equipment which its monetary value will be deducted in the contractor’s regular invoices.
iii. Dust Suppression water from the Mine Stand pipes.

6. Project location
The stockpiles for the low grade (C-low) are located 4 kilometers from Makerero Low Grade Stockpile.

7. The Works
The activities for the project shall include load, haul and stockpiling close to Makerero Low Grade Stockpile. The contractor
shall also deploy equipment for cleaning, gravelling and water spraying at the loading floors as per operational requirement.

The Contractor shall, unless otherwise agreed by the Client, carry out project activities during the day hours only. Shift
arrangements shall be such as to minimize personnel numbers wherever possible.

The project activities for the TSF Ore re-handling shall require appropriate equipment and labor. The minimum equipment
requirement shall be Bull dozer, water cart, loading equipment, dump trucks and motor grader. The free haul distance of not
more than 4 Kilometers shall be applicable when sourcing for contractor services. Any travelling distance in excess of free
haul shall be treated as overhaul.

The Load and haul equipment will not be overloaded so as to cause any spillage and it will be the Contractor’s responsibility
to clean up and retrieve any spillage from his trucks.

The rates for the ore re-handling activity shall cover contractor’s direct/variable cost for equipment, labor, Supervision and
material plus desired profit margin. The Contractor shall be fully responsible for the supply of equipment, labor and material
for the works execution. The Client shall allow contractor to draw fuel from Oryx fuel bay, and later recover his cost in the
contractor’s periodic invoices.

The works measurements shall be in bank volumes (BCM) of the loaded, hauled and stockpiled materials. Site measurement
shall be done by either GPS or Automatic Total station and later volume shall be calculated by either Autocad, Surpac or any
other approved software. This work will be done by the Client’s surveyors, though the contractor is allowed to have his own
measurement arrangement.

8. Works Schedule
The contractor shall submit a detailed work schedule, which shall include but not limited to the following information,

i. The estimated activity/project duration.

ii. The type and number of equipment to be deployed.
iii. The expected outputs for each mobilized equipment.
iv. A total shift production.
v. Safety Management Systems (toolbox meeting, safety inspection, fatigue management etc)

9. Key Performance Indicators.

The key performance indicators are depicted in the table below

The scheduled KPI shall be a binding agreement between the Client and contractor. If the Contractor fails to meet scheduled
productivities on two consecutive months for the reasons within the Contractor’s control and not resulting from inclement weather,
the Client reserves the right to request mobilization of additional equipment to clear the backlog. Such mobilization/demobilization
shall be to the Contractor’s cost.

10. Project’s Meeting and Reporting

Contractor shall attend and report the activities progress in the Client’s daily production meeting. Besides reporting in the
production meeting, contractor shall as reasonably as possible supply daily report by e-mail or any other approved means to
the Client’s representative.

Contractor shall attend a client’s weekly project management meeting, which will be conducted for the reviewing purposes.

11. Bill of Quantities

The Bill of quantities for the ore haulage is displayed in the table 1.2

12. Remunerations
In addition to the terms specified in the conditions of contract, Contractor shall submit regular tax invoices backed up with
interim payment certificates. The quantities measurement as they are determined by methods mentioned in section 7, will be
used in conjunction with the contractor’s rate in bill of quantities.

13. Project Completion Certificate

The Contractor shall fill in the Client’s Completion Certificate after works Completion. Completion certificate shall form a basis
for the payments of contractor’s final invoice in the project.
