FIDUCIARY ADVISER DISCLOSURE

This disclosure applies only to recommendations of model portfolios, managed accounts, target
date funds, and target allocation funds made via Fidelity’s Planning & Guidance Center (the
“Tool”) with respect to workplace savings plan accounts, IRAs, and Fidelity Retirement Plan
(“Keogh”) accounts. This disclosure does not apply to any investment information or suggestions
identified as educational information. Where you see the educational information icon, ,
Fidelity has not been selected to provide, and is not providing, investment advice services.
This disclosure contains important information about Fidelity Brokerage Services LLC (“Fidelity”),
a member of the group of financial services companies known as “Fidelity Investments,” and
how Fidelity is compensated in connection with the investment advice provided to you via the
Tool. You should carefully consider this information in your evaluation of that advice.
For plan participants and beneficiaries, if Fidelity has been selected to provide investment
advice services for your plan by the plan sponsor or other fiduciary, Fidelity will be providing
these services as a fiduciary under the Employee Retirement Income Security Act (ERISA).
Fidelity, therefore, must act prudently and with only your interest in mind when providing
you recommendations on how to invest your retirement assets. With respect to an individual
retirement account (“IRA”) or Keogh plan account for which you are the account owner, you
hereby authorize Fidelity to provide such investment advice as a fiduciary under the Internal
Revenue Code for purposes of advice provided via the Tool.

Fidelity is not compensated separately by the plan, IRA, or Keogh plan for the nondiscretionary
investment advice it provides. However, Fidelity is compensated on the basis of the investment(s)
selected by you, as described in more detail below.
Fidelity, its affiliates, and parties with whom Fidelity Investments has a material financial
relationship will be providing services for which they will be compensated. These services include:
investment management, transfer agent, brokerage, custodial, recordkeeping, and shareholder
services for some or all the investment funds available under the plan, IRA, or Keogh plan account.
When Fidelity recommends that you invest your assets in an investment fund or managed
account of its own or one of its affiliates and you follow that advice, Fidelity or that affiliate will
receive compensation from the investment fund or managed account based on the amount you
invest. The amounts that will be paid by you will vary depending on the particular fund
or managed account in which you invest. For plan participants and beneficiaries, specific
information concerning the fees and other charges of each investment fund or managed account
is available on NetBenefits.com and is also included in the Participant Disclosure Notice that has
been provided to you on behalf of the plan administrator and that may also be available
to you on NetBenefits.com. You can also obtain information by calling 800-420-2363. For IRA and
Keogh account owners, specific information concerning the fees and other charges of each
investment fund or managed account is available from Fidelity.com or by calling 800-343-3548.
This information should be reviewed carefully before you make an investment decision.
Fidelity or its affiliates also receive compensation from nonaffiliated investment funds and exchange-
traded funds (ETFs) as a result of investments you make as a result of recommendations by Fidelity.
The amount of this compensation varies depending on the particular fund or ETF in which you invest.
This compensation ranges from 0 to 50 basis points based on the average daily balance. For more
information for IRA and Keogh accounts, call 800-343-3548; for plan accounts, call 800-420-2363. This
information should be reviewed carefully before you make an investment decision.
In addition to the above, Fidelity or its affiliates also receive other fees or compensation, such as
commissions, in connection with the sale, acquisition, or holding of investments selected by you as a
result of recommendations of Fidelity. For more information on fees and compensation related to
plan accounts, see the Participant Disclosure Notice; for IRA and Keogh accounts, see the
Brokerage Commission and Fee Schedule; for managed account fees, see the applicable managed
account fee schedule; or call 800-343-3548 for IRA and Keogh accounts or 800-420-2363 for plan
accounts. This information should be reviewed carefully before you make an investment decision.

The fees and other compensation that Fidelity and its affiliates receive on account of assets
invested in Fidelity and non-Fidelity investment funds and managed accounts are a significant
source of revenue for Fidelity and its affiliates. You should carefully consider the impact of any
such fees and compensation in your evaluation of the information that Fidelity provides to you.
In this regard, you may arrange for the provision of advice by another adviser that may have no
material affiliation with or receive no compensation in connection with the investment funds
or products offered under the plan, IRA, or Keogh plan account.

INVESTMENT RETURNS
While understanding investment-related fees and expenses is important in making informed
investment decisions, it is also important to consider additional information about your investment
options, such as performance, investment strategies, and risks.
For plan participants and beneficiaries, specific information related to the past performance and
historical rates of return of any designated investment options available under the plan is available
on NetBenefits.com and is also included in the Participant Disclosure Notice. You can also obtain
information by calling 800-420-2363. For IRA and Keogh account owners, specific information
concerning past performance and historical rates of return of investment funds is available from
Fidelity.com.
For options with returns that vary over time, past performance does not guarantee how your
investment in the option will perform in the future; your investment in these options could lose money.
