1. The information contained in this Tender is being provided by IRCTC for the limited
purposes of enabling the Bidders to participate and submit a Bid in response to this Tender for
undertaking the Project for Development of Short Term / Long Term Business Plans of
IRCTC for all Business Segments of IRCTC along with their respective Marketing Strategies.
In no circumstances shall IRCTC, or its respective advisors, consultants, contractors, servants
and/or agents incur any liability arising out of or in respect of the issue of this Tender, or the
Bidding Process.

2. The objective of the Bid document is to provide the prospective Bidder(s) with all relevant
information to assist the formulation of proposals or bids.

3. This Tender may not be appropriate for all persons, and it is not possible for the IRCTC, its
employees or advisors to consider the investment objectives, financial situation and
particular needs of each party who reads or uses this Tender. The assumptions,
assessments, statements and information contained in this Tender may not be complete,
accurate, adequate or correct. Each Bidder should therefore, conduct its own due-
diligence, investigations and analysis and should check the accuracy, adequacy,
correctness, reliability and completeness of the assumptions, assessments, statements
and information contained in this Tender and obtain independent advice from appropriate
sources.

4. Nothing in this Tender shall be construed as legal, financial or tax advice. IRCTC will not be
liable for any costs, expenses, however so incurred by the Bidders in connection with the
preparation or submission of their Bid. IRCTC reserves the right to amend this Tender or its
terms and any information contained herein or to cancel the Bidding Process or altogether
abandon the Project at any time by notice, in writing, to the Bidders. Further, it may in no
event be assumed that there shall be no deviation or change in any of the herein-mentioned
information.

5. IRCTC may, in its absolute discretion but without being under any obligation to do so,
update, amend or supplement the information, assessment or assumptions contained in this
Tender.

6. Laws of the Republic of India are applicable to this Tender.

7. Each Bidder’s acceptance of delivery of this Tender constitutes its agreement to, and
acceptance of the terms set forth in this Disclaimer. By acceptance of this Tender, the
recipient agrees that this Tender and any information herewith supersedes document(s) or
earlier information, if any, in relation to the subject matter hereof.

1. Notice Inviting Open tender

Sub:- Tender for Engagement of consultant for Development of Short Term / Long Term
Marketing Strategies of IRCTC for all Business Segments based on Business plan of IRCTC.

1. Indian Railway Catering and Tourism Corporation Limited (IRCTC), invites sealed tenders
for the "Engagement of consultant for Development of Short Term / Long Term
Marketing Strategies of IRCTC for all Business Segments based on Business plan of
IRCTC”.

2. Sealed tenders with requisite Earnest Money Deposit (EMD) for Rs. Rs. 35,000/- (Rupees
Thirty Five Thousand only) drawn on any scheduled commercial bank payable at New
Delhi in favour of IRCTC Ltd. shall be received at the office of Group General Manager –
Services, IRCTC, Corporate Office, 11th Floor, Statesman House, B-148, Barakhamba Road,
New Delhi – 110001 on or before 15.07.2015, and the same will be opened in the presence of
the representatives of Tenderer who choose to witness the opening on the same day at
1515Hrs. at the same address. Any tender received after the closing time for submission of
tender shall not be entertained and IRCTC shall not be responsible for postal delays/ loss.

3. Tenders should be filled with neat, legible and correct entries, indistinct figures should be
avoided. The amount/rates should be filled in figures as well as in words.
Correction/omissions/overwriting/cutting should be dated and initialled. In case of difference
between words and figures, the amount written in words shall be taken as the price bid.

4. The tender should be signed at all places provided therein, also each page of the tender
document is required to be signed along with the seal by the authorized person submitting the
tender in token of his having acquainted himself with the invitation to tenderers, Notice
Inviting Open tender, Introduction, General instructions to consultants, Terms and conditions,
Scope of work, Covering Letter, Price Bid form, List of Documents to be submitted along
with the Bid, Annexure F - Agreement Format of the tender document. Any tender document
not so signed is likely to be rejected. The tender should be submitted in original. Photocopy
of tender will be summarily rejected.

5. The successful Tenderer shall be intimated about the award of work and the EMD of
unsuccessful bidders would be returned back within one month from date of opening of
tender. EMD will be returned to the successful firm on issue of work order and receipt of
performance security deposit equivalent to 5 % of the quoted bid value. No interest shall be
paid on EMD.

6. Period of validity of the Tender is 120 days from the opening day of the tenders.

7. IRCTC reserves the right to reject any/all tenders without assigning any reason and shall not
be bound to accept lowest offer.

8. The Notice Inviting Open tender is enclosed with Introduction, Scope of work, General
instructions to consultants, Terms and conditions, Covering Letter, Price Bid form, List of
Documents to be submitted along with the Bid, Annexure F – Draft Agreement Format of the
tender document shall form part of the tender document. This document consists of 31 Pages.

9. Interested applicants can down load the tender documents from our website
www.irctc.com from 10.06.2015 to 15.07.2015 and submit the completed documents and
a separate demand draft of Rs 525/-towards the cost of tender document on or before
15.07.2015 by 15:00 hrs.

2- Introduction

2.1.1 About IRCTC:


The Indian Railway Catering & Tourism Corporation Limited (IRCTC) – a public sector undertaking
under Ministry of Railways, Government of India was established on 27th September, 1999 with the
aim of upgrading, modernizing and professionalizing the catering services at stations, on trains and
other locations and promote rail-based tourism across the country. Since the year of its inception,
IRCTC has progressively moved towards achieving its vision of becoming a leading provider of high
quality travel, tourism and hospitality related services in the country. It has been awarded status of a
MINIRATNA PSU in May 2008 in recognition of its performance and capabilities.

Today it is known for its professional catering services, various popular tourism packages and mostly
for its e-ticketing services on the Indian Railways network. Moving out of its core business of
catering, it has now diversified into areas like – Air Ticketing, Corporate Travel Services and Facility
Management amongst various other ventures.

3. Scope of Work

The scope of work is as follows:

1. Analysis of all the activities being undertaken by the Corporation with a specific objective of
understanding the available resources, analyzing current marketing strategy and marketing
organization for all business segments, assessing the future potential and framing a
comprehensive marketing and branding strategy, which is resource based and embedded with
an effective implementation plan. The proposed strategy and implementation plan should be
growth oriented along with being practical and sustainable as well.

2. Review of Business Plan of the Corporation with a view to find out and plug gaps/ anomalies,
if any, in the existing Business Plan and suggest improvements in the business plan so as to
increase revenue generation.

3. Formulate a comprehensive marketing strategy and implementation plan which should cover
(but not limited to) the following:

a. Customer and market segmentation.


b. Pricing mechanism and Pricing strategy.
c. Sales and channel effectiveness.
d. Effective framework for harnessing the potential of new age marketing mediums i.e.
internet and Social Media and latest ITES marketing tools.
e. Marketing and implementation plan on a short/medium and long term time horizon.
f. Detailed Goals and objectives of the proposed Marketing Strategy with quantitative and
qualitative milestones in the implementation plan.
g. Optimum Organizational structure along with detailed job descriptions and power
delegation matrix, essential for successful implementation of the proposed marketing and
branding strategy.
h. Financial implications of the proposed marketing and branding strategy coinciding with
proposed implementation plan.
i. Interaction with IRCTC officials, Officers of Ministry of Railways and travel agents.

4. The proposed strategy and implementation plan must contain an effective mechanism for
measuring the efficacy and efficiency of the proposed implementation plan during the
implementation period and thereafter.

4 – General Terms and Conditions

4.1. The bidder are required to submit the bids completed in all respect in terms of the
instructions specified in the tender document along with all annexure before the specified
bid due date.

4.2. If a bid is not substantially responsive, it will be rejected by IRCTC and may not
subsequently be made responsive by the bidder by correction of the nonconformity.
IRCTC’s determination of bid responsiveness will be based on the contents of bid itself
and any written clarifications sought by IRCTC in writing the response to which shall
also be in writing and no change in rates shall be permitted in response.

4.3. Offers shall be deemed to be under consideration immediately after they are opened and
until such time the official intimation of award of contracts is made by IRCTC to the
consultant. While the offers are under such consideration, consultant and or their
representatives other interested parties are advised to refrain from contacting IRCTC by
any means. If necessary, IRCTC will obtain clarifications on the offers by requesting for
such information from any or all the consultant, in writing, as may be considered
necessary. Consultant will not be permitted to change the substance of their offers after
the offers have been opened.

4.4. Tenders are not transferrable. IRCTC reserves the right to reject or accept any tender. The
decision of IRCTC in this regard will be final and IRCTC is not liable to assign any
reasons for the decision.

4.5. Late Bids: Any Bid received by IRCTC after the Bid due date and time, shall not be
considered under any circumstances. IRCTC shall not be responsible for postal delays /
loss.

4.6. During evaluation, IRCTC may, at its discretion, ask the consultant for a clarification of
its bid. The request for clarification and response shall be in writing, and no change in the
price or substance of the tender shall be permitted in response.

4.7. Wrong information by Tenderer: If the Tenderer/s deliberately give/s wrong


information in their tender, create/s circumstances for the acceptance of their tender,
IRCTC reserves the right to reject such tender at any stage and in the eventuality EMD /
Security Deposit lying with IRCTC shall stand forfeited and the bidder shall be debarred
from taking part in future project for a period of two years.

4.8. Confidentiality of Bid Evaluation: Any information regarding the examination and
evaluation of bid, clarifications sought thereof and recommendation of the short-listed
bidder shall not in any case be disclosed to any person or employee not officially
concerned with the process of bidding.

4.9. Compliance of Instructions: The consultant shall comply with any other instructions
issued by IRCTC from time to time within a reasonable time, as may be necessary to
ensure better services. IRCTC reserves the right to amend any of the clauses of the
agreement and also to add fresh clauses from time to time. The rider agreement in this
regard shall be executed between the parties within 15 days of amendment / changes.

4.10. Labour Law and other regulations: It is distinctly understood by the bidder that the
employees engaged by it will be deemed to be its employees and the bidder will be
entirely responsible for compliance of all laws and rules governing employment of such
employees. It shall also be responsibility of the bidder to comply with all laws,
ordinances, rules, bye-laws, regulations, notifications, guidelines, policies, directions,
directives and order of any governmental authority including municipal authorities.
4.11. Any notice to be served on Bidder shall be deemed to be sufficiently served if
delivered at or sent by registered post addressed to the bidder at their registered office or

last known place of business. Any notice to be served by the bidder on the contract shall
be deemed to be sufficiently served if, left at the office / sent by registered post / courier
addressed to Group General Manager – Services, IRCTC, Corporate Office, 11th Floor,
Statesman House, B-148, Barakhamba Road, New Delhi – 110001.

4.12. All notices to be given on behalf of IRCTC and all other actions to be taken by
IRCTC may be given or taken on behalf of IRCTC by Group General Manager –
Services, IRCTC, Corporate Office or any other officer s for the time being entrusted with
such functions, duties and powers by IRCTC.

4.13. Force Majeure Clause: If at any time, during the contingence of the tender, the
performance in whole or in part by either party of the obligation under the tender is
prevented or delayed by reason which are beyond its control such as but not limited to
any war, or hostility, acts of the public enemy, civil commotion, sabotage, accidents,
fires, floods, explosions, epidemic, quarantine restrictions, strikes, lockouts, or acts of
God or such eventualities which are beyond the control of the party, herein.

4.14. Neither party shall by reason of such event shall be liable to any claim for damages
against the other in respect of such non performance or delay in performance.

4.15. Jurisdiction: The court in New Delhi only shall have jurisdiction.

5 - General instructions to consultants

IRCTC proposes to obtain sealed quotations from consultancy firms for Tender for Engagement of
consultant for Development of Short Term / Long Term Marketing Strategies of IRCTC for all
Business Segments based on Business plan of IRCTC to advise IRCTC on various aspects relating
to the enhancement of brand IRCTC in accordance with the instructions following hereafter.

5.1 General:

5.1. Definitions and Interpretations: In the tender document, unless the context otherwise
requires:

a) “Firm” means consultancy firm / company empanelled with MOT. The term “Tenderer” and
“Firm” has been used interchangeably. “Work” means Engagement of consultant for
Development of Short Term / Long Term Marketing Strategies of IRCTC for all
Business Segments based on Business plan of IRCTC.
b) "Project" and "Work" has been used interchangeably.
c) “Fraudulent Practice” means a misrepresentation of facts or fabrication of data in order to
influence a process or a decision. “Corrupt Practices” means the offering, giving, receiving or
soliciting of anything of value to influence the decision making process.
d) The terms “Contract” and “Tender” have been used interchangeably.

5.1.1. The entire tender should be submitted in a sealed packet. The packet containing the
tender should be clearly marked “Tender for Engagement of consultant for Development
of Short Term / Long Term Marketing Strategies of IRCTC for all Business Segments
based on Business plan of IRCTC" in bold capital letters and “To be opened on
15.07.2015, at 15:15 Hrs” should be written boldly below it. The packet should be marked
with the Tender No. and Address of the IRCTC as given in the Instructions to Tenderers. The
tender duly sealed as mentioned above should be dropped in the Tender Box kept at the
reception of the venue. The tender box will be sealed on 15.07.2015, at 1515 hrs. Tenders
received after the due date and time of submission shall not be accepted under any
circumstances.

5.1.2. The consultants are required to submit an Earnest Money Deposit (EMD) in the form
of Demand Draft from a scheduled Bank for Rs. Rs. 35,000/- (Rupees Thirty Five
Thousand only) drawn in favour of IRCTC payable at New Delhi. The EMD is liable
to be forfeited if the bidder withdraws or amends impairs or derogates from the tender
in any respect within the period of validity of his offer or fails to execute the contract
agreement within the specified time laid down in the tender.

5.1.3. Proposals not accompanied by EMD shall be summarily rejected as non -responsive.
No interest shall be payable by IRCTC on the sum deposited as EMD. The EMD of
unsuccessful bidders would be returned back within one month from date of opening
of tender. EMD will be returned to the successful firm on issue of work order and
receipt of performance security deposit equivalent to 5 % of the contract value.

5.1.4. The renderers’ are expected not to propose any alteration/s to any of the conditions in
the tender. The stipulated conditions embodied in the Tender shall be binding on the
tenderers. Any conditional tender shall be rejected.

5.1.5. Tenderer must use their own envelope, suitably marked and sealed for submission, in order to
avoid tender being misplaced/opened before due time and date of receipt. Unsealed tenders
shall be summarily rejected.

5.1.6. The submission of any offer connected with these specifications and documents shall constitute
an undertaking that the Tenderer shall have no cause/right for any claim against IRCTC for
rejection of the offer. IRCTC shall always be at liberty to reject or accept any offer at its sole
discretion and any such action will not be called into question and the Tenderer shall have no
claim in that regard against IRCTC.

5.1.7. Validity: The offer shall be kept valid for acceptance for a minimum period of 120 (One
Hundred & Twenty days) calendar days from the date set for opening of tenders. If any
Tenderer withdraws before the said period or makes any modifications in the terms &
conditions of the Tender, then IRCTC shall without prejudice to any other right or remedy, be at
liberty to forfeit the earnest money as aforesaid.

5.1.8. Offers shall be deemed to be under consideration immediately after they are opened and until
such time the official intimation of award of contract is made by IRCTC to the representatives
of the firms. The interested parties are advised to refrain from contacting IRCTC by any means.
If necessary, IRCTC will obtain clarifications on the offers by requesting for such information
from any or all the tenderers, in writing, as may be considered necessary. Tenderers will not be
permitted to change the substance of their offers after the offers have been opened.

5.1.9. Each Tenderer should be a Registered Consultancy Firm and also have Service Tax
Registration.

5.1.10. Each Tenderer shall be deemed to have acquainted himself of the scope of work before quoting
his price bid. No claim on any grounds for want of such knowledge shall be entertained at any
stage.

5.1.11. The work has to be completed as per terms and conditions given on page nos. 14-19.

5.1.12. The payment shall be made stage wise as laid down in the milestone chart Table - A included in
the terms and conditions.

5.1.13. Time is the essence of the contract and the project is to be completed as per the schedule time of
completion, mentioned in milestone chart (Table-A) failing which would attract penalty as
stipulated in clause 4.1.26.

5.1.14. No additional amount shall be paid by IRCTC on account of any escalation in costs during the
contract period or any further period duly extended by IRCTC.

5.1.15. Submission of tender implies that he/they has/have made himself/themselves aware of scope of
work to be done, and generally all necessary information as to the risks/contingencies and other
circumstances which may influence their costs and no extra charges consequent on any
misunderstanding/misconception shall be allowed.

5.1.16. Time and Extension for delay: The time allowed for execution of the consultancy work as
specified in the tender or the extended time in accordance with the conditions laid down in this
tender, shall be the essence of the contract. The consultancy work shall commence from the date
of issue of letter of award for Consultancy Work. Request for extension of time, to be eligible
for consideration, shall be made by the firm in writing within seven days of the happening of the

event causing delay. The firm may also, if practicable, indicate in such a request the period for
which extension is desired.

In any such case, IRCTC may give a fair and reasonable extension of time for completion of the
work. Such extension shall be communicated to the firm by IRCTC in writing. Such extension
will not be ground for revision of fee. The “time” mentioned herein refers to the time given to
the firm to complete the respective tasks as given in the milestone chart and excludes the time
taken by IRCTC to grant or obtain approvals and conduct the tendering process. If the firm
commits default in commencing the work or complete the respective task as aforesaid, IRCTC
shall without prejudice to any other right (s) or remedy is at liberty to withdraw the award and
forfeit the Earnest Money/Security Deposit absolutely.

5.1.17. Custody of reports and confidentiality: During the execution of consultancy work, the firm
shall observe strict confidentiality regarding the documents handed over to them for reference
and shall not retain any copy nor part with any information to any other party or persons other
than that those directly connected with the study. The reports/ documents generated by the firm
on the subject shall be the property of IRCTC and any misuse of the information so generated
shall attract penal provision as outlined but not limited to in (clause 4.1.26).

5.1.18. Conflict of interests: The firm or its subsidiary shall not participate in any process initiated by
IRCTC for the implementation of the marketing strategy/branding project of IRCTC or assist or
advice any firm participating in the tender/offer process for the aforesaid project. The Firm shall
ensure that there is no conflict of interest in undertaking the assignment. A conflict of interest
arises if the firm or its parent company or its affiliates, is advising potential bidder for the
implementation of the projects associated with the marketing strategy/branding of IRCTC or if
the firm or its parent company or its affiliates is considering a debt or equity involvement in the
project.

5.1.19. The Tenderers/s shall submit an analysis of rates if called upon to do so to ascertain the
reasonableness of fee amount.

5.1.20. Canvassing in connection with tender is strictly prohibited and the tenders submitted by the
Tenderers who resort to canvassing will be liable to rejection.

5.1.21. The Consultancy Team shall consist of a team leader, team members as per clause
6.1.16(A)(1)(i, ii & iii). List of the team members will be provided in the bid. The Consultancy
firm shall ensure that the above personnel required for the assignment are available and not
changed during the duration of the work. Only in cases beyond control of the firm (such as

resignation, ill health etc.) or own request can the team members be changed with prior approval
of IRCTC.

5.1.22. Under Section 194-C of the Income Tax Act, 1961, a deduction for income tax along with
surcharge as applicable will be made from sums paid for carrying out the work under this
tender.

5.1.23. Tender should be signed only by the person authorized by the firm to sign the tender
documents. The firm should be able to produce legally tenable documentary evidence of such
authorization if called for by IRCTC.

5.1.24. In case of any doubt/ambiguity, the decision of IRCTC will be final and binding on the
Tenderer.

5.1.25. No office space/office equipments shall be made available by IRCTC to the firm. The firm is
expected to carry out all the work in its own premises/offices.

5.1.26. Penalty: The timeframe stipulated in the milestone chart. The consultancy work throughout the
stipulated period of contract shall be carried out with all diligence. If the firm fails to complete
the work to the satisfaction of IRCTC within the time prescribed or within the extended time
under the contract, the firm shall, without prejudice to any other rights to remedy of IRCTC on
account of such breach, pay-a penalty amount of 0.5 percent of total fee per week or part thereof
subject to a maximum of 20% of the Total Fee. IRCTC, without prejudice to any other method
of recovery shall be at liberty to deduct the amount of such damages from any money due or
which become due to the firm. The recovery or deduction of such damages shall not relieve the
firm from any obligations and liabilities under the contract. IRCTC reserves the right to forfeit
the Performance Security Deposit and terminate the contract in case of failure in completion of
work as per the terms and conditions of the contract. The maximum penalty provision (i.e.
forfeiting of Security Deposit and termination of Contract) shall be evoked under following
circumstances as well:

 Breach of confidentiality as laid down.


 Fraudulent or corrupt practice.
 Conflict of Interest as stipulated.

IRCTC reserves the right to terminate the contract by serving ten (10) days notice on the firm if
the lapses mentioned above are found to be of serious nature. In the event of termination, in
addition to the Security Deposit other sums that are due or are likely to be due to the firm shall
also be forfeited.

5.1.27. The tender document and offer shall be signed by the person/s on behalf of the organization
having necessary authorization / power of attorney to do so. Each page of the application shall be
signed (copy of power of attorney shall be furnished along with the application).

5.1.28. Covering letter as per format, and the list of documents as mentioned, is required to be submitted
along with the documents.

5.1.29. Applicant should go through all the details and in case of any query this office may be
contacted.

5.1.30. IRCTC reserves the right to reject any application at any point of time without assigning any
reason.

5.1.31. After fulfillment of all due requirements, the successful bidder shall be issued a letter of award,
and shall have to sign an agreement with IRCTC within two weeks of the issue of LOA.

5.1.32. The selected consultant will be required to submit an amount equivalent to 5 % of the final value
of the contract as Performance Security Deposit (refundable without interest) to IRCTC. The
Performance Security Deposit will be refunded on the completion of the validity period of the
contract, provided the appointed firm did not cause any breach of the terms and conditions of this
tender and successfully completes the assignment.

5.1.33. The firm should have a valid service tax registration number. The selected firm shall provide copy
of the service tax registration number to IRCTC.

5.2. Submission, receipt, and opening of proposals.

5.2.1. The Financial Proposal shall contain the following documents to be submitted in the standard
formats given in "7 - Price Bid form" of this tender document :
(i) Earnest Money Deposit (EMD) for Rs. Rs. 35,000/- (Rupees Thirty Five Thousand only)
and Rs. 525/- (Rs. Five hundred twenty five only) against the cost of tender document
where tender document is downloaded from the website through Demand Draft/Pay
order drawn on any scheduled commercial bank payable at New Delhi in favour of IRCTC
Ltd.
(ii) Covering Letter for Proposal Submission.`
(iii) Fixed Fee, to be quoted. This Fee will cover all costs / expenses of the Consultant for
undertaking work as detailed in the Scope of Work. Taxes / VAT as applicable in India will
be paid as per actual and the same should be indicated in the financial bid.
(iv) The cost quoted will be firm and fixed for the duration of performance of the contract. At no
point of time will any deviation from the quoted rate be entertained by IRCTC.
(v) The Financial Bid shall not include any conditions attached to it and any such conditional
financial proposal shall be rejected summarily.
(vi) The documents (Technical and Financial offer) shall be prepared in indelible ink. It shall
contain no alterations or overwriting, except as necessary to correct errors made by the firm
itself. Any such corrections must be authenticated by the persons or person who sign(s) the
proposals along with dates.
(vii) An authorized representative of the firm should authenticate all pages of the proposal.
(viii) The documents (Technical and Financial offer) shall be placed in a sealed envelope clearly
marked " Tender for Engagement of consultant for Development of Short Term / Long
Term Marketing Strategies of IRCTC for all Business Segments based on Business plan
of IRCTC".

5.2.2. The completed documents including the financial offer must be delivered not later than
15.07.2015, at 1500 hrs. Any proposal received after the closing time for submission of
proposals shall not be entertained and shall be returned unopened. the offers would be opened on
15.07.2015, at 1515 hrs in IRCTC Corporate Office, 11th Floor, Statesman House, B-148,
Barakhamba Road, New Delhi – 110 001 in the presence of representatives of applicant firms.

6. Terms and conditions

6.1. Performance Security deposit

6.1.1. The Firm, whose tender is accepted, shall have to deposit the Performance Security
Deposit (refundable without interest) amount equal to 5% (five percent) of the Total
final value of the contract in the form of Demand draft in favour “IRCTC Ltd” on any
scheduled commercial bank payable at ‘New Delhi’. No interest shall be admissible
on Performance Security Deposit. The Performance Security Deposit which will be
refunded after successful completion of the work awarded as per the terms and
conditions and milestone chart without any interest.

6.1.2. The Performance Security Deposit amount shall be forfeited in the following cases: -
a) If the Bidder withdraws or modifies its proposal in the interval between the contract
period.
b) If the Bidder fails to provide the satisfactory services within the stipulated time or any
extension thereof provided by IRCTC. The decision as to what constitutes “satisfactory
services” shall be solely with IRCTC, whose decision in this regard shall be final and
binding.
c) If at any point of time it is found that the bidder has submitted any incorrect or forged
information / document.

6.1.3. The selected firm will not be permitted by IRCTC to opt out before the completion of
the Contract period. In the event of failure of consultant, the performance security
deposit as indicated in para 6.1.2(a, b, c) shall stand forfeited.

6.1.4. In case of acceptance of offer by IRCTC, the consultant shall be required to execute
the Contract Agreement on Non-Judicial stamp paper of Rs. 100 /- between IRCTC
and consultant within 2 weeks from the date of receipt of LOA. Failure to do so shall
lead to forfeiture of full EMD, deposited by consultant.

6.1.5. This contract shall become effective upon signing and shall be continued in full force
and effect till the completion of assignment. The terms of this contract may be
extended by IRCTC if required.

6.1.6. The firm shall commence work within a week from date of award of work.

6.1.7. The full copyright of all the material produced would rest with IRCTC Ltd for all
time use. This would include full copyright of text and images used in the strategy
paper.

6.1.8. All payments shall be made by cheques / drafts/ NEFT, within a month of billing. No
interest shall be payable / admissible for delay in payment.

6.1.9. IRCTC is however not bound to accept any tender or to assign any reason for non-
acceptance. IRCTC reserves its right to accept the tender either in full or in part.
Conditional, erroneous and incomplete Bids will be rejected outright.

6.1.10. Standard of Performance: The firm shall perform the Services and carry out their
obligations hereunder with all due diligence, efficiency and economy, in accordance
with generally accepted professional standards and practices, and shall observe sound
management practices, and employ appropriate technology and safe and effective
equipment, machinery, materials and methods. The Consultant shall always act, in
respect of any matter relating to this Contract or to the Services, as faithful adviser to
IRCTC, and shall at all times support and safeguard IRCTC's legitimate interests in
any dealings with Third Parties.

6.1.11. Arbitration: - In the event of any dispute or difference arising under these conditions
of the contract or in connection with this contract (except as to any matters, the
decision of which is specifically provided for by these conditions) the same will be
resolved by Arbitration, as per the provisions of ‘The Arbitration and Conciliation
Act – 1996.’ The venue of the Arbitration shall be Delhi. All questions, disputes and
or differences arising under or in connection with this agreement or in touching or
relating to or concerning the consultancy, shall be referred to the sole arbitration of
the officer/officers or persons nominated by the Chairman and Managing
Director/IRCTC, whose decision in this regard shall be final and binding. The fee of
the arbitration shall be shared equally by the parties.

6.1.12. Exclusion of liability: - IRCTC shall not be liable to the firm for any loss or liability
arising out of or in connection with the performance of the above services for loss,
revenues, business, anticipatory savings or profits or any indirect or consequential
loss howsoever arising.

6.1.13. Force Majeure: - IRCTC shall not be liable to the consultant in respect of any breach
of the terms and conditions due to any event or circumstances beyond its reasonable
control.

6.1.14. Liability and Indemnity of firm:- The firm agrees to defend, indemnify and hold
harmless IRCTC and their respective officers, directors, employees and agents
(collectively the “Indemnified persons”) and its associated companies from and
against any and all claims, actions, damages, expenses, costs (including legal costs)
and other liabilities actually incurred by the indemnified parties arising as a result of
any negligence, breach of contract or warranty, or any other wrongful act or default

on the part of the consultant, its employees, agents, representatives or contractors,
including prosecution under any legislation.

6.1.15. Termination:
IRCTC may terminate the Contract of the firm in case of the occurrence of any of the events
specified below:
1. If the Firm becomes insolvent or goes into compulsory liquidation.
2. If the Firm, in the judgment of IRCTC, has engaged in corrupt or fraudulent practices in
competing for or in executing this Contract.
3. If the Firm submits to IRCTC a false statement which has a material effect on the rights,
obligations or interests of IRCTC.
4. If the Firm places itself in position of conflict of interest or fails to disclose promptly any
conflict of interest to IRCTC.
5. If the Firm fails to provide the quality services as envisaged under this Contract. Reasons for
the same would be recorded in writing.

6.1.16. Consultancy Firm’s Eligibility Criteria:

The Evaluation of bids will be as follows:

The evaluation of the Bid offer by the consultancy firm shall be on Quality cum Cost based method
where 70 % will be given to Technical Criteria and 30 % of Financial Criteria.
Further, Technical Evaluation Criteria will give 30 % weightage to firm’s experience and 70 % to
Personnel experience.

claim. IRCTC will verify the evaluation and arrive at the correct evaluation for the purpose of

i. Fees: The Tenderer shall quote consolidated fee excluding taxes (at prevailing rates) for the
work mentioned in the Milestone chart, TABLE-A.

ii. Payment Terms: The payment shall be made stage wise as mentioned in the Milestone
Chart, TABLE-A. The firm shall submit a running bill after completion of each task to the
satisfaction of IRCTC, as measured by the output specified in the chart, for an amount
calculated as per the percentage mentioned in the chart.

iv. Meetings & visits: Between IRCTC and the firm (consultant’s team) meetings are expected during

firm/tenderer. No additional charges other than the consolidated fee quoted by the tenderer/firm

v. Data and Methodology: The firm shall share all the data collected during the study and
methodology used to collect the data and arrive at the alternate solutions and submit the same in the
form of appendices to the Final Feasibility Report.

vi. Reports: All the reports and documents shall be submitted in 3 hard copies in original and 3 soft
copies on CD. The firm shall bear the cost of printing such reports and documents.

vii. All reports, documents and the business model suggested by preferred consultant will be property of
IRCTC and the same can be adopted for some other projects without any cost.

viii. IRCTC reserves the right to reject/withdraw any / all bids including the lowest bid or withdraw
from the tender at any stage without assigning any reasons whatsoever. Nothing contained herein
shall confer right upon a bidder or any obligation upon IRCTC.

Companies Act. 1956 and working under the Ministry of Railway, Government of India (herein after called as
“IRCTC”) having its registered office at 11th Floor, Statesman House, B-148, Barakhamba Road, New Delhi –
110001, represented by Group General Manager - Services which expression shall where the context so admits
include its successor and assigns of the first part.

And

M/s -----------------------------, having its registered office at -----------------------------------------------herein after


called “consultant” which term shall mean and include their successors, legal representatives & assigns of the
second part.

Whereas IRCTC has appointed M/s -----------------------, a consultant for the “Development of Short Term
/ Long Term Marketing Strategies of IRCTC for all Business Segments based on Business plan of
IRCTC” in pursuance to financial bid dated -------------- submitted by the said consultant

And

Whereas the said consultant has accepted the award of the said contact vide their acceptance letter dated ----------
------

Now this agreement witnesses as follows:

1. This agreement comes into force from ……………………………..and shall subject to the provision for
earlier termination herein provided, remain in force for the period -------------------and may further extended
at sole discretion of IRCTC on mutually acceptable terms & conditions.
2. The words and expressions shall have the same meaning as are respectively assigned to them in the
conditions of contract hereinafter referred to.
3. The following documents shall be deemed to form and be read and construed as part of this agreement,
namely:

a) Bid Document including financial bid of the consultant dated ------------- along with all schedules
and annexure attached thereto.
b) Letter of award No. 2014/IRCTC/CO/Tourism/Marketing Consultant Engagement dated ------------.
c) Letter of acceptance of award of contract by the consultant dated --------------.
d) The mutual right and obligation between the parties shall to as continued in the bid document.
e) This agreement is governed by Indian Law and subject to the exclusive jurisdiction of the
appropriate courts of New Delhi, India.

In the event of any dispute or difference arising under these conditions of the contract or in connection with
this contract (except as to any matters, the decision of which is specifically provided for by these
conditions) the same will be resolved by Arbitration, as per arbitration clause enshrined in bid document.
