MEMORANDUM OF UNDERSTANDING
THIS MEMORANDUM OF UNDERSTANDING is made this
2018 by and between FRANK MAURIELLO and ANDREW JOYC!
day of January,
WHEREAS. the patties to this Memorandum are both duly elected Albany County Legislators
in the County of Albany, New York. and
WHEREAS, Frank Mauriello and Andrew Joyce, and the legislative constituencies they each
represent, seek to change the structure of the Albany County Legislature and its day-to-day
operations, and
WHEREAS, Frank Mauriello. Andrew Joyce and members of their respective legislative
constituencies have met to discuss changes to the legislative operations and desire to formalize
their mutual understanding of the proposal.
NOW, THEREFORE. in consideration of the mutual covenants and promises hereinafter
provided and of the actions taken pursuant thereto. the parties agree as follows:
FIRST ~ The parties will work to elect a new Chairman or Chairwoman of the legislature who
agrees with the concepts contained herein and will work within the parameters described below.
SECOND — There shall be two Vice/Deputy Chairmen/women of the Legislature appointed.
One shall be a Republican or Conservative. whose name shall be submitted to the Chair by Frank
Mauriello and the second shall be a Democrat or Conservative whose name shall be submitted to
the Chair by Andrew Joyce.
THIRD — The Republican/Conservative Conference of Legislators, and/or any other minority
conference in the Legislature shall remain independent from the Majority Conference and/or
Majority Caucus (as described below) in voice and policy. except to the extent this document
indicates otherwise
FOURTH ~ The new informal coalition electing the Chair shall have two leaders: 1 ~ the
Republican Minority Leader and 1 Democrat or Conservative Leader or Majority Leader (to be
chosen by those Democrats who voted for the new Chair).
a) A Leadership Council shall be created. Its members shall consist of the Leader or
Majority Leader chosen by those Democrats or Conservatives who voted for the
Chair: the Minority Leader; 2 Republicans or Conservatives appointed by Frank
Mauriello: and 2 Democrats or Conservatives appointed by Andrew Joyce. The
Leadership Council shall advise the Chair on all aspects of the staffing, organization
and operation of the legislature. Decisions shall be made on a cooperative basis.FIFTH — Committee membership appointments for each of the Committees shall be made by the
new Chair, upon the recommendation of the Minority Leader and the Democrat/Conservative
Leader or Majority Leader who is chosen from among those Democrats or Conservatives who
voted for the Chair. At least two members of each committee (inclusive of Chair or Vice-Chair
appointments) shall be from the legislative constituency represented by Frank Mauriello.
SIXTH ~ Chairs of the various committees shall be appointed by the Chair of the Legislature, as
per custom. However. the parties hereto agree that one-half of the chair positions shall be filled
with legislators from the legislative constituency represented by Frank Mauriello and one-half
from the legislative constituency represented by Andrew Joyce. As various committees are of
more importance, while others may be less significant, it is also agreed that there shall be balance
between the two constituencies in that regard with each group chairing committees of relative
parity in county government.
SEVENTH -— The parties agree that if the Chair for a committee is, for instance, a Democrat or
Conservative represented by Andrew Joyce, then the Vice-Chair shall be a Republican or
Conservative represented by Frank Mauriello, and vice-versa.
EIGHTH ~ It is the intention of the parties, using existing appropriations for the legislature, to
create a central staff in the Chair's office to run the day-to-day activities of the Albany County
Legislature.
NINTH — The Chair and the Leadership Council will determine the new structure of the
legislature and would be responsible for hiring for any new positions, or transferring the
individuals needed to run the re-structured day-to-day operations.
‘TENTH ~ Appointments to boards, committees, outside agencies. etc... will be shared. A list of
all appointments will be created, separated in two groups, A&B depending upon importance of
outside Board/Committee. and selection of appointments would be done on an alternating basis
(for instance, Democrat then Republican, and vice-versa) going through both lists. If there is a
Majority Caucus created (as described in paragraph 4 above) the selections would be made by
Frank Mauriello and Andrew Joyce.
ELEVENTH - Memorandum is intended to be the complete and exclusive statement of the
understanding between the parties except as it may be subsequently modified in writing by the
parties,
TWELFTH - The parties agree that one or more of the parties may transmit his signature via
telecopy, facsimile, or other form of electronic transmission, and that such signature shall be
binding and have the same effect as if the individuals had all signed one original document
hereof.‘THIRTEENTH - In construing this Agreement, feminine or neuter pronouns shall be
substituted for those masculine in form, and vice versa, and plural terms shall be substituted for
singular and singular for plural. in any place in which the context so requires.
IN WITNESS WHEREOF. the undersigned parties have hereunder executed this Memorandum.
