MEMORANDUM DE ENTENDIMIENTO ENTRE LA COMISION NACIONAL DE DESARROLLO Y REFORMA DE LA REPUBLICA POPULAR CHINA. Y LA SECRETARIA DE HACIENDA Y CREDITO PUBLICO DE LOS ESTADOS UNIDOS MEXICANOS SOBRE LA PROMOCION DE LA INVERSION CON LA CREACION DEL GRUPO DE TRABAJO DE ALTO NIVEL EN MATERIA DE INVERSION ENTRE LOS GOBIERNOS DE CHINA Y MEXICO. La Secretaria de Hacienda y Crédito Puiblico de los Estados Unidos Mexicanos y la Comisién Nacional de Desarrollo y Reforma de la Repiiblica Popular China, denominadas en adelante “las Partes”, TENIENDO presente la Asociacion Estratégica Integral entre la Republica Popular China y los Estados Unidos Mexicanos establecida en junio de 2013; RECONOCIENDO el potencial de cooperacién que existe entre la Republica Popular China y los Estados Unidos Mexicanos en los sectores de energia, mineria, industria manufacturera, alta y nueva tecnologia infraestructura RECONOCIENDO asimismo el impacto de una mayor cooperacién en m: inversin y desarrollo conjunto de ambos. Han acordado lo siguiente: culo | El presente Memorandum de Entendimiento tiene como objetivo crear el Grupo de ‘Trabajo de Alto Nivel en Materia de Inversién entre los Gobiernos de China y México, (en adelante denominado et “Grupo de Trabajo de Inversién’), p: a fortalecer la cooperacién de inversién ent en mat ambos paises y para facilitar la inversi Articulo Il “Las Partes" promoveran la cooperacién en materia de inversion entre los Estados Unidos Mexi nos y la Reptiblica Popular China, con base en los principios de confianza estratégica, cooperacién integral, beneficio mutuo y desarrollo conjunto, en estricto cumplimiento de sus respectivas legislaciones, politicas y prioridades nacionales. Articulo Ill “Las Partes” acuerdan intensificar la cooperacién en materia de inversion en los siguientes sectores, en los términos de la legislacién en la materia aplicable de sus respectivos paises Energia, incluyendo los sectores de hidrocarburos, eléctrico y energias renovables; Mineria, incluyendo fa exploracién y extraccion eficiente, a través de tecnologias sustentables, de minerales como cobre, hierro, carbén, plomo, zinc, oro y plata y su transformacién; Infraestructs . incluyendo la construccién de carreteras, ferrocarriles, aeropuertos, puertas, puertos secos, centros de almacenale, gasoductos, presas y puentes; Industria manufacturera, incluyendo la fabricacin de automéviles, astilleros, productos de industria ligera y textil, maquinaria, electrodomésticos y materiales de construcci6n; Ata tecnologia, incluyendo tanto la Investigacion y el Desarrollo, como la produccién en dreas de medicina, tecnologias de Ia informacién, medio ambiente, biotecnologia, comunicacionas y ahorro de energia, Finanzas, incluyendo el desarrollo de opci nes de financiamiento, co-fir fanciamionto, garantias y seguros de largo plazo, para apoyar proyectos ubicados tanto en México como en China, con participacié in de empresas mexicanas y china’ 7. Turismo; 8. Cualquier otro sector que las partes convengan. Las empresas de ambos paises formalizaran los proyectos de inversién correspondientes, de conformidad con la legislacién nacional y los procedimientos legales aplicables en el pais en donde se realice la misma. Articulo IV Las Partes acuerdan realizar las acciones necesarias para establecer, de conformidad con Ia legislacién nacional de cada pais y con las practicas internacionales, fondos binacionales para apoyar proyectos especificos de inversién u otros instrumentos que estimen pertinentes. Asimismo, las partes podran promover el establecimiento de lineas de crédito con sus respectivos Bancos de Desarrollo para impulsar proyectos relevantes. Los fonds binacionales e instrumentos podran ser destinados al financiamiento de los sectores a quo se refiere el Articulo II! del presente Memorandum de Entendimiento y, en especifico, a proyectos de infraestructura, de inversién en diversos sectores de capital de riesgo, de innovacién tecnoldgica € Investigacion y Desarrollo, entre otros. “Las Partes’ facilitaran el dialogo entre las empresas de ambos paises que permita identificar oportunidades de inversién. Articulo V Ei "Grupo de Trabajo de Inversion" sera co-presidido, por la parte mexicana, por el Secretario de Hacienda y Crédito Pt ico de los Estados Unidos Mexicanos, y por la parte china, por el Presidente de ia Comisién Nacicnal de Desarrolle y Reforma de la Republica Popular China. También podian formar parte dei "Grupo de Trabajo de Inversion" altos funcionarios de otras dependencias y entidades de México y China, que las Partes estimen pertinente. Articulo VI El"Grupo de Trabajo de Inversin” tendra a su cargo las funciones que’a continuacién se detallan, de manera enunciativa mas no limitativa: | 1 Intercambio de informacién relacionada con el marco juridico, politicas, | planificacién, situacién sectorial ¢ informacion de proyectos que se relacionen con la inversién; 2, Estudio y elaboracién de propuestas para que las politicas y los programas piiblicos promuevan la inversién mutua que genere valor agregado para ambos paises, como podrian ser la generacién de empleos, el desarrollo regional, los beneficios sociales, entre otsos bilateral 4, Orientacién y promocién de ios esfuerzos de las instituciones financieras de ambos paises, para ofrecer apoyo financiero a la cooperacién de inversion entre sus respectivas empresas; 5. _ Facilitacién de las actividades de inversién y financiamiento a las empresas instituclones financieras de ambos paises, mediante orientacién y apoyo; Realizacion conlunta de foros, seminatios y ferias de proyectos, y Seguimiento a ios proyectos de inversion que se deriven de los esquemas de colaboracion previstos en el presente Memorandum de Enfendimiento; Coordinacié vportuna de las eventuaies dificultades que pudieran surgir en fa = proyectos de couperacion bilateral en materia de inversién. Articulo VIL El “Grupo de Trabajo de Inversién” se reuniré por lo menos una vez al afio, de manera altemada, en México y China, salvo que se acuerde otra sede. En ocasién de las reuniones, el “Grupo de Trabajo de Inversién’ revisard y analizara el avance de los trabajos realizados y los resultados obtenidos desde la tiltima reunién celebrada, y fijaré la nueva agenda de trabajo, cuyos resultados sordn revisados en la siguiente reunion. iculo VEIL “El Grupo de Trabajo de Inversién” contara con los Subgrupos Especializados que sean necesarios para la ejecucién de tas tareas prioritarias que acuerde dicho Grupo en la agenda dé trabajo a realizar en el periodo correspondiente. El Subgrupo Especializado correspondiente se reunira cuando sea necesario, de manera alternada en México y China, salvo pacto en contrario, y estara integrado por funcionarios que tengan como minimo nivel el de Director General o equivalente en el Gobierno mexicano y en el Gobierno chino. En el Subgrupo Especializado podrén participar, por acuerdo de “las Partes’, funcionarios. de otras dependencias y entidades puiblicas que tengan, por fo menos, el mismo nivel jerérquicp de fos funcionarios anteriormente citados y podra invilarse a otras personas cuando Jos asuntos asi lo ameriten, Articulo IX El Grupo de Trabajo de inversién contaré con e! apoyo de una Secretarfa Técnics encargada de la comuricacién y coordinacién, asi como de dar seguimiento a los proyectos de cooperacién bilateral a ser desarrollados durante el periodo correspondiente. La Secretaria Técnica, por la Parte mexicana, estar a cargo de la Unidad de Productividad Econémica de la Seoretaria de Hacienda y Crédite Pablico, y por la Parte china, por el Departamento del Aprovechamiento de Capital Extranjero y la Inversion en el Ultramar de la Comisién Nacional de Desarrollo y Reforma. La Secretaria Técnica se reuniré en el lugar y fecha que convengan las Partes, en funcién de las necesidades de trabajo, con objeto de efectuar intercambios de informacién y sostener conversaciones sobre el avance de las tareas relevantes del “Grupo de Trabajo de Inversién’, debiendo mantener oportunamente informado a éste del resultado de sus gestiones, Articulo X Cada Parte sufragara los gastos derivados de su participacién on las actividades de cooperacién al amparo del presen e Memorandum de Entendimiento, a menos que se convenga de otra forma. Articulo XI ‘Las Partes” se apoyaran ante las autoridades competentes de sus respectivos paises, a fin de que se otorguen las facilidades necesarias para la tramitacién de la visa, el ingreso y salida de fos participante que en forma oficial intervengan en las actividades de sooperacién ai amparo del presente Memorandum de Entendimiento, en plena conformidad son fas leyes y disposiciones vigentes on el pais receptor, Articuto Xii Cualquier diferencia derivada de ia interpretacién ¢ aplicacion del presente Memorandum de Entendimiento, serd resuelta por las Partes de comuin acuerdo. El presente Memorandum de Entendimiento no afectard ni ta interpretacién ni la aplicacién de cualquier otro instrumento celebrado entre los Estados Unidos Mexicanos y la Republica Popular China. Articulo XIN El presente Memorandum de Entendimiente entrard en vigor a partir de la fecha de su firma y continuara vigente por un periodo de cinco (5) afios, prorrogable por un periodo adicional, a menos que cualquiera de “las Parles” decica darlo por terminado mediante notificacion escrita dirigida a Ia otra Parte con tres (3) meses de antelacion El presente Memorandum de Entendimiento pedra modificarse por mutuo consentimiento de las Partes. Las modificaciones deberan formalizarse por ‘escrito, especificando la fecha de su entrada en vigor. La terminaci6n del presente Memor4ndum de Entendimiento no afectaré los proyectos de inversion que se encuentren en ejecucién hasta su total conclusion. Firmado en San Petersburgo, Federacién de Rusia el dia 4 del mes de septiembre del aflo 2013, en dos ojemplares originales, en idioma chino, espafiol e inglés, siendo todos los textos igualmente validos. AHL 4 AR ae SGTSRH HARRRPRHEASKR MPAL ERR MEMORANDUM OF UNDERSTANDING BETWEEN THE NATIONAL DEVELOPMENT AND REFORM COMMISSION OF THE PEOPLE'S REPUBLIC OF CHINA AND THEMINISTRY OF FINANCE AND PUBLIC CREDIT OF THE UNITED MEXICAN STATES ON THE PROMOTION OF INVESTMENT WITHTHE CREATION OF THE HIGH- LEVEL WORKING GROUP FOR INVESTMENT BETWEEN THE GOVERNMENTS OF CHINA AND MEXICO The Ministry of Finance and Public Credit of the United Mexican States and the National Development and Reform Commission of the People’s Republic of China (hereinafter referred to as "the Parties BEARING IN MIND the Comprehensive Strategic Partnership established between the People’s Republic of China and the United Mexican States in June 2013; RECOGNIZING the potential and the United Mexican States in the sectors of energy, mining, manufacturing, high and cooperation between the People’s Republic of China new technology and infrastructure; AND ACKNOWLEDGING the significance of increased cooperation in investment for the common development of both countrié Have agreed the following Article | The objective of this Memorandum of Understanding is to create the High-Level Working Group for Invest ent between the Governments of China and Mexico (hereinafter called the "Working Group for Investment”) to strengthen cooperation in investment between the two countries and facilitate im stment in specific projects. Article Il "The Parties" shall promote cooperation in investment between the People’s Republic of China and the United Mexican States, based on the principles of strategic trust, comprehensive cooperation, mutual benefit and common development, in strict compliance with their respective national legislation, policies and priorities, Article tl "The Parties" agree to strengthen cooperation for investment in the following sectors, in compliance with the legislation in the matter of their respective countries: 1. Energy, including hydrocarbons, electricity and renewable energies; 2. Mining, including exploration and efficient extraction and processing, through technologies that support sustainable development, of minerals such as copper, iron, coal, lead, zinc, gold, and silver; ~ 3. Infrastructure, including the construction of roads, railways, airports, piers, dry ports, storage facilities, pipelines, reservoirs and bridges; 4, Manufacturing industry, including automobile manufacturing, shipbuilding, light and textile industry products, machinery, home appliances, and construction materials; High technology, including Research and Development, as well as production in the areas of medicine, information technologies, environment protection, biotechnology, communications, and energy efficiency ; 6. Finance, including the development of financing options, co-financing, guarantees and long-term’ insurance, to support projects located in both Mexico and China, with the involvement of Mexican and Chinese companies, Nn Tourism; 8. Any other sectors agreed by “the Parties” The companies of both countries will carry out investment projects in compliance with the national legislation and legal procedures applicable in the country where the investment is made. Article IV “The Parties’ agree to take necessary actions to establish, in accordance with each country’s national legislation and international practices, bi-national funds to support specific investment projects or other instruments they deemed appropriate. “The Parties” may also promote the establishment of credit lines with their respective development banks for relevant projects. The bi-national funds and instruments may be used to finance the sectors referred to in Article Ill of this Memorandum of Understanding, and in particular, infrastructure, venture capital investment, technological innovation and Research and Development projects, among others. “The Parties" will facilitate dialogue between companies of-both countries to identify investment opportunities. Article V The "Working Group for Investment” will be co-chaired by the Minister of Finance and Public Credit of the United Mexican States, for the Mexican Part, and by the Minister of the National Development and Reform Commission of the People's Republic of China, for the Chinese Part, High-level officials from other relevant agencies and entities from Mexico and China, which “The Parties" deem appropriate, may also take part in the "Working Group for Investment." Article Vi The “Working Group for Investment" will be responsible for the functions listed below, in an expository but not limitative manner: 1 8, Exchange of information relating to the legal framework, policies, planning, sectorial circumstances and project information that is relevant to the investment; ‘Study and preparation of proposals for policies and public programs to Promote mutual investment that generates added value for both countries, Such as jcb opportunities, regional development, social benefits, among others; Identification and promotion of major sues. in bilateral cooperation in investment; Guidance and promotion of the efforts of financial institutions in both countries, to provide financial support to their respective businesses carrying out cooperation in investment; Facilitation, through guidance and support, of investment activities and financing for businesses and financial institutions in both countries; Joint forums, seminars and project promotion events and cooperation in specific thematic studies and planning; ‘Tracking of the investment projects undertaken within the framework of this Memorandum of Understanding: Coordination for the timely resolution of difficulties inat may arise in the implementation of p jects of bilateral cooperation in investment. Article Vii The "Working Group for investment” wilt mest at least once a year, alternating venues between Mexico and China, uniess the parties agree on an alternate venue, On the occasion of the meetings, the "Working Group for Investment" will review and analyze the progress of the work performed and the results achieved since the last meeting and will sel a new agenda, the results of which will be reviewed at the next meeting. Article Vili The “Working Group for Investment’ will sot up Specialized Subgroups necessary for the implementation of the priority tasks agreed by the Group in the work agenda for the corresponding period. The relevant Specialized Subgroup will meet when necessary, alternating venues between Mexico and China. unless otherwise agreed, and will be comprised by officials of at least Director General level or its equivalent in the Mexican and Chinese Governments. I(agreed by ‘the Parties’, officials from other agencies and entities that have, at least, the same hierarchical level of the aforementioned officials may participate in the Specialized Subgroups, and may invite other relevant people whenever it is required Articte IX ‘The "Working Group for Investment” will be supported by a Technical Secretariat, in charge of communication and coordination, as well ag follow up on the bilateral cooperation projects developed during the corresponding period. The Technical Secretariat on the Mexican side is within the 1omic Productivity Unit of the Ministry of Finance and Public Credit, while the secretariat on the Chinese side is within the Department of Foreign Capital and Overseas investment of National Development and Reform Commission. The Technical Secretariat will meet at the time and place agreed by the Parties, depending on the work demands, in order to carry out exchanges of information and hold discussions on the progress of relevant tasks of the “Working Group for Investment’, and update the “Working Group for Investment” on the outcome of its efforts in a timely manner. Article X Each Party shall bear the costs of their participation in cooperative activities under this Memorandum of Understanding, unless otherwise agreed. Article XI "The Parties" will support each other when dealing with the relevant authorities of their respective country in order to give necessary facilitation to visa issuance, entry and Geparture of participants who are officially involved in cooperation activities under this Memorandum of Understanding, in full accordance with the laws and regulations in force in the host country. Article XIl Any dispute arising from interpretation or application of this Memorandum of Understanding shall be resolved by mutual agreement between the “Parties.” This Memorandum of Understanding shall not affect interpretation or application of any other instrument between the United Mexican States and the People’s Repubiic of China Article Xitt This Memorandum of Understanding will enter into force on the date it is signed and shall be valid for a period of five (5) years, renewable for a further period unless either of "the Parties” decides to terminate it by written notice to the other Party, three (3) months in advance. This Memorandum of Understanding may be amended by mutual consent of “the Parties". The amendments shall be in writing, specifying the date of its entry into force The termination of this Memorandum of Understanding will nol affect investment projects that are currently in progress until its final conclusion, Signed in St. Petersburg, Russian Federation, on the 4th day of September 2013, in two original copies in Chinese, Spanish and English languages, all texts being equally valid.
