“Company”), a corporation duly organized and existing under and by virtue of the

2. That in a special meeting of the Board of Directors of the Corporation
held on November 14, 1989 at which a quorum was present and acting throughout,
the following resolution was passed, adopted and approved, to wit:

“RESOLVED, That PPP REAL ESTATE LESSOR (“LEASSEE”)

be, as it is hereby, authorized to lease an office space at 3rd Flr
Builders Center Building, 170 Salcedo St, Legaspi Village, Makati
City;

“RESOLVED, that the Property Management Head, OLIVER

PLATON, be as he is hereby authorized to issue, sign, transact the
necessary documents in behalf and for the Company in connection with
the said transaction.”

3. The foregoing is in accordance with the records of the Corporation.
