WEST SHORE SCHOOL DISTRICT CONTRACT FOR EMPLOYMENT OF DISTRICT SUPERINTENDENT THIS CONTRACT is made and entered this 21% day of September, 2017, by and between the Board of School Directors of the West Shore School District with ofiees located in Pennsylvania (hereinafter referred to as “District” or "Board" of "Board of School Directors") and Todd B. Stoltz, Ed.D. (hereinaffer referred to as “District Superintendent” of "Stoltz" WHEREAS, the Board of School Directors of the Distic, at a regularly Scheduled meeting, duly and properly called on the 21* day of September, 2017, dig reappoint Stoltz o the office of District Superintendent in accordance withthe provisions gf Sections 608, 1071, 1073 and 1073.1 of the Commonwealth of Pennsylvania's Public School Code of 1949, as amended (hereinafter referred to a8 "Publle School Code") and WHEREAS, the parties have agreed upon certain terms and conditions of employment and desire to reduce said terms and conditions to writing: NOW, THEREFORE, tho parties, intending to be legally bound hereby, and in Consideration of the mutual covenants contained herein, agree as follows: 1 Tom. ‘The Board, in consideration of the promises herein contained, hereby employs, and Stoltz hereby accepts said employment, as District Superintendent of the Woe Shore School District, for @ five-year term commencing on July 1, 2018 and ending on June 30, 2023. ("Term") This Contract shall terminate immediately upon the expiration of the aforesaid em unless the Contract is sooner modified or terminated in accordance with this Contract or allowed to renew automatically in accordance with Section 1073(b) of the Public School Code or Paragraph 9 of this Contract. 2. Professional Qualifications. ‘The District Superintendent covenants that he possesses all of the qualifications that are required by law to serve as the District Superintendent in the Commonwealth of Pennsylvania and that he will maintain the same throughout the Term of this Contract, [The District Superintendent further agrees to subscribe to and take the oath of office before entering upon his duties, in accordance with Section 1004 of the Public School Code. oss Page 1 of 7 three professional associations, to be directly related to the District Superintendent's duties and such expenses shall be paid or relmbursed by the District in accordance with District policy and procedures, 4. Compensation and Benefits ‘A. The Board agrees to compensate the District Superintendent for the 2018- 2019 school year in the amount of $160,000. Thereafter, the District Superintendent's salary shall be increased for each subsequent year of this contract in accordance with the percentages associated with the rating categories identified in the Superintendent Performance Evaluation Document attached hereto as Exhibit B. Each increase shall be added to and become part of the District Superintendent's annual base salary. At the Board's discretion, there may be additional increases. The compensation of the District Superintendent, including salary and benefits, shall not be decreased during the: term of this contract, or through any amendment of this contract, without the writen approval of the District Superintendent, B, The District Superintendent shall be entitled to all the fringe benefits set {orth in Exhibit C, whichis attached hereto and incorporated by reference herein. ©. So long as such benefits and incentives are not duplicative of those ‘specifically set forth in this Contract, the District Superintendent shall also be entitled to juny ‘and all benefits and incentives provided to any other District administrative employee, including all benefits and incentives specified in the District's Program for ‘Administrators’ Compensation adopted pursuant to Section 1164 of the Public School Code (24 P.S. 11-1164), even though such benefits are not enumerated in this Contract. Any increase or improvement in benefits and incentives extended to District employees during the Term of this Contract will also be extended to the District ‘Superintendent and become part of this Contract. Any decrease or reduction in benefits (or incentives to District employees that affect this Contract wil not reduce the benefits ‘and incentives provided to the District Superintendent during the term of this Contract but may be discussed upon any Contract renewal. Nothing contained herein shall preclude the District from providing additional benefits and incentives to the ‘Superintendent as may be agreed to by the parties. 5. Assessment of Performance, A. The Board shall evaluate, in writing, the performance of District ‘Superintendent at least once a year during the term of this Contract, no later than June 30 of each year, unless the parties mutually agree in writing on another date for the ‘annual evaluation. An evaluation instrument and method mutuslly agreed upon in wrting by the Board and the District Superintendent is attached as Exhibit B — Performance Evaluation Document ~ and shail be utilized for the annual performance assessment. A summary of the writen evaluation by each individual Board member ‘hall be delivered to the District Superintendent. The District Superintendent shall have the right to make a writen response to the evaluation. ‘The Board's evaluations and the sess Page 3of 7 the Board or the District Superintendent of the commencement or progress of the same, except as may be required to comply with law. 7. Professional Liability. ‘The Board agrees that it will defend, hold harmless and indemnity the District Superintendent from any and all demands, claims, sults, actions and legal proceedings brought against the District Superintendent in his individual capacity or In his official Capacity a8 agent and employee of the Board, provided that the District Superintendent ‘was acting, or reasonably believed he was acting, within the scope of his employment ‘and the defense of the action and indemnification costs are authorized under the Political Subdivision Tort Claims Act. This obligation shall survive the termination of this Contract. Rei tment. ‘The Board shell provide the District Superintendent with periodle opportunities to discuss the District Superintendent-Board relationship and shall inform him in writing at least annually of any inadequacies perceived by the Board. fat any time, the Board decides that it does not desire to renew the contract of the District Superintendent for another term, the Board shall notify the District Superintendent in writing, by certified ‘mall, no later than one hundred fifty (150) days prior to the expiration date of the Term of thio Contract, of the Board's Intent not to reappoint him. Should the District ‘Superintendent not be so notified, pursuant to Section 1073(b) of the Public School Code, he shall be reappointed for a term of five (5) years. Additionally, the terms and conditions of this Contract shall be incorporated into a successor Contract unless ‘mutually agreed otherwise by the Board and the District Superintendent. 8. Termination, ‘This Contract may be terminated prior to the end of the Term of this Contract as follows: ‘A. The District Superintendent shall be subject to discharge and termination ‘of this Contract for valid and just cause for the reasons specified in Section 1080 of the Public School Code. However, the Board shall not arbitrarily or capriciously call for the District Superintendent's dismissal and the District Superintendent shall in any event have the right to written charges, notice of heering, fair and impartial hearing, all ‘elements of due process, and the right to appeal to a court of competent jurisdiction. At ‘any such hearing before the Board, the District Superintendent shall have the right to be present and to be heard, to be represented by counsel at his sole expense, and 10 resent evidence, through witnesses, testimony, and documentation relevant 10 the Issue. A transcript of the record of proceedings before the Board shall be made available without charge to the District Superintendent. Statutory Reference, All references to the Public School Code contained herein shall also refer to and Incorporate any amendment or recodification ofthe Public School Code. 14, Applicable Law. In addition, District Superintendent shall be entitled to accumulate vacation days in the manner set forth inthe Distric’s Act 93 Plan applicable fo other administrators. Unless terminated for cause pursuant to Section 1080 of the Public Schoo! Code, at the conclusion of this contract, the District Superintendent shall be entitled to receive payment representing the per diem salary for each of accumulated vacation days remaining. The per diem rato is Calculated by dividing the District Superintendent's gross annuel salary by 248, ‘The District Superintendent shall also receive full credit forall vacation days through the effective date of this contract. Sick Leave, The District Superintendent shall receive 15 days of sick leave each year. The District Superintendent shall accumulate unused sick days in the manner set {orth in Board Policy $34 applicable to other administrators. Unless terminated for cause pursuant to Section 1080 of the Public School Code, at the conclusion ‘of this contract, the Diotrict Superintendent shill be entitled to receive, ‘compensation for accrued sick days at half per diem rate. ‘The District Superintendent shall also receive full credit forall sick leave accrued in his position as Assistant Superintendent through the effective date ofthis contract, nal Leave, The District Superintendent shall receive three (3) days of personal leave with full pay each year ofthis Agreement, which shall be credited in full on July 1, 2018 land on July ‘st of each subsequent year of this contract. Personal leave daye ‘re not accumulated for future use, and shall not be reimbursed, du ‘and Court Appearances ‘The District Superintendent shall be permitted to attend, without loss of pay or benefits, jury duty, court and other judicial and administrative appearances for ‘any proceeding in which he is subpoenaed to appear.
