EMPLOYMENT AGREEMENT THIS AGREEMENT, made October 24,2016, by and betwen the BOARD OF SCHOOL DIRECTORS (bervinfter referred o as "Boaed") OF THE MIDDLETOWN AREA SCHOOL DISTRICT (hereinafter refered to as "Distit), with ts principal office located at 55 ‘West Water Street, Middletown, Pennsyvania, 17057-1467, and LORI A. hereinafter seferred tos "Superintendent", ie, In consideration ofthe mutual covenants and condition hereinafter contained, and intending tobe legally bound hereby, the parties hereto agree as follows: 1, Employment and Contract Tem. Distt does hereby employ Superintendent in ‘he capacity of Superintendent, to serve a term of five (5) years, commencing on July 1, 2017, and ending on th June 30, 2022, and Superintendent agrees to accept this postion forthe specified term, 2, Legal Qualifications, Superintendent covenants that she posteses al ofthe ‘qualifications thi are required by lw to serve as Dstt Superintendent. Superintendent agrees ‘to maintain throughout the tem ofthis Agroement a valid and eurent commission or oer logal credontials as may be required bylaw and to present the same tothe Board. She further agrees to subscribe to and take the proper oath of office ‘The Superintendent expressly warrants and represens tha she doesnot snd vill, not have, during the ttm ofthis Agreement, any financial interes, direct or indirect, nthe sale ‘or adoption of any book or book, or the sleto a lease bythe School District of any supplies, services or equipment, She further warrants that she has nat violated the provisions ofthe Pennsylvania School Code as they apply to the qualifications for or election of a Supevintendent, 3. The annual salary shall be paid in equal instalments in accordance with ‘he policy ofthe Distit governing salary payments othe majority of regularly employed profesional employees of the District, ota otherwise agroed between te partes hereto; subject, however, tothe following: 4. The Boatd shall evaluate the performance of Superintendent no les than sally, nd shall share and discus with Superintendent each evaluation. (See paragraph 5, heteo, the terms of which are incorporated herein.) Increment increases tothe annual slay of Superintendent shall be based primarily upon the satisfactory progress which Superintendent has made toward the atsinment of the goals end objectives furnished to Superintendent as set forth in Paragraph S. Increment increases to the annual slay of the Superintendent for each School year under this Agreement shall be no less than the School District's Act 1 adjusted index for the correlating school year, ifthe Superintendent's performance review for the receding school year is deemed satisfactory for purposes of Section 1073.1 of the Public School Code. For purposes of ealculating the annual salar increment inreas, the parties farther agree that the ‘Act | adjusted inde shall be no les thn one-and-one half percent (1.5%) and no move than three-and-one half percent 3.5%), ‘4. The Board, in its sole disereton, shall be authorized to pay the Superintendent an annual bonus during the couse of this Agreement based upon the Superintendents progress towards the attainment of goals and objective furnished tothe Superintendent a set forth in Paragraph 5. Any such bonus shall be approved by the Board at public meeting in compliance withthe Sunshine Act, s amended, © Nolinorement in slary during the term ofthis Agreement shall be considered tobe a new agreement between the parties, nor shall tbe deemed to constitute an ‘extension ofthe termination dae of this Agreement. 5, Performance Evaluation. The Board shall conduet a regular annul evaluation of ‘Superintendents performance by no later than Jue 30" each year for the preceding fiscal yea. ‘The evaluation shall be conducted in private sesion limited tothe Board and Superintendent. ‘Tho Superintendent shall be evaluate based upon objective performance standard, which may include the following: student achievement on Pennsylvania System of School Assessment (CPSSA") tests and Keystone Exams; student growth as measured by Pennsylvania Value-Added ‘Assessment System; student attrition and graduation rates; financial management ofthe District; ‘overall jb performance; sucessful completion or implementation of the Superintendent's ‘professional goal jointly established by the Board and the Superintendent; and other additional sxiteria regarding District operations that may jointly be agreed pon by the Superintendent and the Board, The Board and Superintendent shal agre in writing by no ltr than June 308 of teach fiscal year which objetive performance standards wil be wed fr his evalation forthe next scl year. ‘The following provision shall apply tothe Superintendents annual evaluation process: 2, The mutually agreed-upon objective performance standards forthe assessment ofthe Superintendents performance foreach school yar shall be pulily posted on the District's oficial website as required by law; The Board reserves the right to exerise maximum flexibility in {determining the mechanis ofthe Superintendent evalustion, so long as the evaluation model ‘satisfies the requirements ofthe lw and the terms ofthis Agreement; © _Bvaluation procedures may be developed and contained informs prepared by the Board in eccordance with Board police, District procedures, the Pulie School Code and Slate Board of Education regulations; 4 _Acopy ofthe written evaluation shall be delivered to the Superintendent by the President ofthe Board; ©, The Superintendent shall have the right to sespond in ring to the valuation and request an opportunity to appear before the Board ina closed executive session; The written evaluation and any response shall beheld i trict confidence ‘perwoon the Board andthe Superintendent and in no mane shall be pemitted tobe disseminated ta the general public by any member of the Board or by any District employee; and After the completion ofthe Superintendents evaluation fora particular school year, the Boatd of School Directors shall poston the District's offical website the date on ‘Which the evaluation was completed and whether the Superintendent satisfied the agreed-upon objective performance standards as required by law. 6. Vacation Days. In her capacity as Superintendent, Superintendent shal receive ‘sent (20) working days of vacation annually during the tem of this Agreement, Such ‘vacation shall be taken within twelve (12) months of the year in which tis eared unless otherwise approved by the Board. Vacation ime may be accumulated wp fa total of tity (30) days. To the extent that there shall be accumulated Ieave time, defined a vacation leave earned ‘while employed by th District, atthe time of termination of Superintendent's employment with the District, Superintendent shall be reiminused for wich time ta daily rate equal to her annual lary at termination divided by 240, In feu of accumulating vacation leave time, Superintendent ‘may elect, atthe ond ofeach fiscal year ofthis contact, o surrender he vacation leeve and be Feimbursed for such tie at a daily rate equal oer anual salary forthe previous fiscal year divided by 240. 7. Sick Days. Superintendent shall be entitled to twelve (12) days sick lave snually, Unused sick lave days shall be cumulative, and may be supplemented a the discretion of Board, For purposes of this paragrph, the days of unused sick leave heretofore sccumuisted by Superintendent during her prior employment as Assistant Superintendent shall and are hereby recognized and sccopted as acoumulted and unssed days of sick leave to which Superintendent is entitled hereunder If the Superintendent retizes either during or upon the termination ofthis Agreement, District shall reimburse Superintendent for unused and accumulated sek leave beginning with the ily fs (51°) day at arate of fity (50%) percent ofthe per diem salary that is in effect at the Superintendents retirement, 8, Personal and Bereavement Lew. Superintendent shall be entitled to eam three (6) pessoal leave days annually, Unused personel lave days shall be cumulative upto a ‘maximum of sx (6) days, Bereavement leave may be taken fr death of a member ofthe immediate family to a maximum of five (5) days and death ofa near relative, to maximum of ‘one (1) day. 9. Disability ofthe Superintendent. Should Superintendent be unable to perform het
