CONTRACT OF EMPLOYMENT FOR FIELD WORKER

This contract of employment is between ADS IN MOTION EVENTS


MANAGEMENT INC. and/or OVAL AIM ADS INC., a corporation duly
recognized by the Republic of the Philippines, with office address at 5 Concord
St, Vermont Park Executive Village, Brgy. Mayamot Antipolo City 1870
hereinafter referred to as the "COMPANY", represented herein by its Chief
Executive Officer/President MR. OSCAR A. VALERA JR., hereinafter called to
as the "FIRST PARTY",
and
______________________________,single/married, of legal age, with
residential address at___________________________ , hereinafter referred
to as the "SECOND PARTY/FIELD WORKER";
The Regulations and Conditions of Employment as set out herein will be
deemed to constitute a "Contract of Employment". All field workers will be
required to volutanrily sign at the space provided at the end of these
conditions, agreeing to adhere to the Company's Conditions of Employment.

A. GENERAL PROVISIONS
1. That the FIRST PARTY hires the SECOND PARTY as ___________;
2. That the SECOND PARTY will report for work on a one store visit per week
and shall complete a total of _______ of stores per month;
3. That the SECOND PARTY will perform its duties and responsibilities to the
expectation of the company and the principal;
4. That the FIRST PARTY will conduct training and briefing to the SECOND
PARTY to be properly equipped during deployment;
5. That the FIRST PARTY will provide necessary merchandising tool (handy
terminal) and any other collaterals and equipment for its marketing and
merchandising purposes;
6. That the SECOND PARTY will be responsible in any damage or loss to any
merchandising tool, and any other collaterals and equipment issued by the
FIRST PARTY for its marketing and merchandising purposes as well as
materials and collaterals issued by the company for the performance of the
SECOND PARTY’S duties and responsibilities;
7. That the SECOND PARTY will receive from the company a total of Php
512.00 per day payable 15th and 30th of the month. The following SECOND
PARTY share of government mandates will be deducted from the pay on a bi-
monthly basis:
Government mandates:
Basic Pay (in Php) 512.00
SSS Contribution FP 1004.50 SP 490.50
Philhealth Contribution FP 183.04 SP 183.04
HMDF (Pagibig) FP 266.24 SP 266.24
13th Month Pay FP 42.66
Total FB Share per month 1496 SP Share per month 939.78

B. RESTRICTIONS
The SECOND PARTY acknowledges that he/she is not authorized and shall not:
1. Make, alter and/or discharge the Company's policies, rules and regulations
or blind the Company in way unless expressly authorized in writing by the
Company.
2. Incur any expense or liability chargeable to the Company without obtaining
prior authorization from the company.
3. Issue, use or allow to be published in any circular, advertisement or other
matter related to the Company or its policies unless previously authorized in
writing by the Company;
4. Commence or threaten to commence any action or legal proceeding against
any third person on any matter arising out of or in connection with the
Company;
5. Pledge the faith and credit of the Company in any way to the public or to
third parties;
6. Assign any right or benefit under this Contract without the prior written
consent of the Company; and
7. Other than on behalf of the Company, directly or indirectly, disclose or use,
at any time, either while this Contract is in force or subsequent to its
termination, any confidential information, knowledge or data of the Company
or any of its Clients;
8. Embark or engage, whether for reward or gratuitously in any activity which
would interfere with the performance of SECOND PARTY’S duties with the
company or which to his/her knowledge would constitute a conflict of interest
with the business of the Company during the continuance of employment
expect with the knowledge and consent of the Company.

C. ASSIGNMENT
The Company reserves the right to re-assign or transfer herein SECOND
PARTY to another position within the scope of the Project and even outside
the project must not in any way constitute a diminution of SECOND PARTY’S
existing right and privileges.

D. TERMINATION
The company reserves the right to terminate SECOND PARTY on behalf of the
principal with the following reasons:
1. Habitual disregard of instructions from the company;
2. Failure to notify the company for any absences without prior notice.
3. Habitual tardiness and absences.
4. Criminal offense or failure to disclose any pending criminal cases filed
against the SECOND PARTY;
5. Falsification of documents;
6. Willful disregard of the principal's marketing mechanics and marketing
code;
7. Theft of any collaterals and materials issued by the company or the
principal;
8. Fabrication, falsification and or continued submission of erroneous reports
and or data required by the company and or the principals;
9. A clear disrespect of the principal's customers or clients

E. RESIGNATION and ABSENCE WITHOUT LEAVE

The SECOND PARTY may resign from rendering services to the company
provided that a notice containing the same intent shall be submitted to and
accepted by the duly authorized representative of the company within fifteen
(15) days before the effectivity date thereof.
SECOND PARTY who has been absent for 3 consecutive days without informing
his immediate supervisor shall constitute an absence without leave and shall
be deemed the same.
Violation of above mentioned paragraphs shall authorize representatives of
the company to withhold any liability to the SECOND PARTY monetary or
otherwise until marketing tool, collaterals, merchandising tool have been
properly turn-over to the duly authorized representative of the company
and/or until clearance have been issued by the company.

F. NON ENTITLEMENTS OF HOLIDAY PAY, OVERTIME PAY, NIGHT


SHIFT DIFFERENTIAL, SERVICE INCENTIVE LEAVE AND OTHER
BENEFITS ACCORDED TO A REGULAR EMPLOYEE UNDER THE LABOR
CODE OF THE PHILIPPINES

1. The SECOND PARTY being a field worker is not entitled to any holiday pay,
overtime pay, night shift differential pay, service incentive leave pay and other
benefits accorded to a probationary and regular employee by the Labor Code
of the Philippines

G. CONFIDENTIALITY
1. All confidential information pertaining to the company, its products and
business derived by yourself in the course of the Employee's Contract are
confidential and shall not be disclosed or divulged to others, nor should you
use the same for your own benefit without the consent of the company
regardless whether it is during the term of your contract or thereafter.
2. Data or information which SECOND PARTY may have access by virtue of
his/her position are confidential matters which shall be known only to him/her
(with exception to others who are authorized to have access to such
confidential information) and should not be discussed with other co workers
or people outside of the Company.
3. The Company reserve its right of recourse, including the termination of
contract and the filing/undertaking of the necessary legal action, against the
SECOND PARTY in the event of a violation of this provision.
H. EFFECTIVITY
1. This employment contract is co-terminus with the Contract and/or Service
Agreement or Purchase Order of the Principal to the Company compliant to
the DOLE DO 18-A 2. That this contract will commences on ____________ ,
