LICENCE AGREEMENT

By using computer software ("software") written and marketed by Hi-Force Hydraulics Limited ("Hi-Force") for any
purpose, you are agreeing to be bound by this licence including without limitation the exclusions and limitations of
our liability contained therein. If you do not agree with the terms and conditions of this licence don't use any of the
software.

1 GRANT OF LICENCE

The software is protected by copyright laws and international copyright treaties, as well as other intellectual
property laws and treaties. The software is licensed, not sold. Under copyright law you are not permitted to install
and use The software without the permission of Hi-Force. In consideration of your agreement to the terms of this
Licence, Hi-Force grants you a non-exclusive right ('the Licence') to install and use the software as permitted by
this Licence. All references to software mean the object code only of the program(s) comprising software written
and marketed by Hi-Force.

YOU ARE PERMITTED TO:

1.1 install, store and use only one copy of the software on one computer at any one time and you
may not suffer or permit network or other access to it;

1.2 use the software in the manner specified in the accompanying written materials;

1.3 make a back-up copy of the software in support of your permitted use of the software provided you label the
back-up copy with Hi-Force's copyright notice-any other copies of the whole or any part of the software are
unlawful;

YOU MAY NOT NOR PERMIT OTHERS TO:

1.6 use or copy the software except as permitted by this Licence;

1.7 transfer or assign or sub-licence the software or this Licence on a permanent or temporary basis to another
person, firm,organisation or corporation;

1.8 distribute, rent, loan, lease, sub-licence or otherwise deal in the software;

1.9 alter, adapt, merge, modify or translate the software in any way for any purpose, including, without limitation,
for error correction;

1.10 reverse-engineer, disassemble or decompile the software; or

1.11 remove, change or obscure any product identification or notices of proprietary rights and restrictions on or in
the software.

2 TERM AND TERMINATION

2.1 This Licence will continue until terminated. You may terminate it at any time by destroying the software
together with all copies in any form.

2.2 This Licence to use the software will terminate automatically if you fail to comply with any of its terms. This
Licence will also terminate without further action or notice by Hi-Force if you become bankrupt, go into
liquidation, suffer or make any winding up petition, make an arrangement with your creditors, have an
administrator, administrative receiver or receiver appointed or suffer or file any similar action in consequence of
debt.

2.3 Upon termination of this Licence for any reason you will destroy the software together with all copies in any
form, including copies on your hard and back-up disks. Any use of any copies of the software after termination of
this Licence is unlawful.
3 PREFACE TO EXCLUSIONS AND LIMITATIONS OF LIABILITY

Clauses 4, 5 and 6 of this Licence contain certain exclusions and limitations of Hi-Force's liability to you in respect
of the software. Hi-Force considers that these are fair and reasonable having regard to the following:

3.1 Hi-Force has no knowledge of your precise use and application of the software and of any loss which you or
third parties may suffer if the software does not perform in accordance with the accompanying written materials;
and

3.2 Hi-Force considers and ratifies you accordingly that it is your responsibility to take out such insurance cover
as is appropriate to protect you against any liability which you may incur as a result of your use of the software
which could exceed the liability for the software accepted by Hi-Force in this Licence.

4 LIMITED WARRANTY

4.1 Hi-Force warrants only to you, as the original licensee, that the software will work under normal use and will
perform substantially in accordance with the accompanying written materials ('the Warranty') for a period of 60
days from the date of receipt by you of the software (whether during any applicable trial period or otherwise) ('the
Warranty Period'). The Warranty is void if failure of the software has resulted from accident, abuse or
misapplication. Any replacement for the software supplied pursuant to clause 4.2.1 will be warranted for the
remainder of the Warranty Period or 30 days, whichever is longer.

4.2 Hi-Force's entire liability and your exclusive remedy under the Warranty will be, at Hi-Force's option to either:

4.2.1 repair or replace the software which does not conform with the Warranty; or

4.2.2 refund the price paid for the software and terminate this Licence.

This remedy is subject to the return of the defective the software with a copy of your payment receipt to your
supplier or Hi-Force not later than 5 days after the end of the Warranty Period. The Warranty gives you specific
legal rights. You may have other legal rights which vary from jurisdiction to jurisdiction.

5 EXCLUSION OF OTHER WARRANTIES

Except for the Warranty, Hi-Force and its suppliers make and you receive no other warranties, conditions or
representations, express or implied, statutory or otherwise, and without limitation the implied terms of satisfactory
quality and fitness for a particular purpose are excluded. Hi-Force does not warrant that the operation of the
software will be error free It is your responsibility to ensure that the software is suitable for your needs and the
entire risk as to the performance and results of the software is assumed by you. Any other software and/or
hardware furnished with, accompanying or used with the software is not warranted by Hi-Force. Because some
jurisdictions do not allow the limitation of liability, the above limitation may not apply to you.

6 DISCLAIMER

6.1 In no event will either Hi-Force or its suppliers be liable for any direct, consequential, incidental, or special
damage or loss of any kind (including without limitation loss of profits, loss of contracts, business interruptions,
loss of or corruption to data) however caused and whether arising under contract, tort, including negligence or
otherwise and whether or not Hi-Force or its suppliers have been advised of the possibility of such damage or
loss. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental
damages, the above limitation may not apply to you.

6.2 If any exclusion, disclaimer or other provision contained in this Licence is held invalid for any reason and Hi-
Force becomes liable for loss or damage that could otherwise be limited, such liability, whether in contract,
negligence or otherwise, will not exceed the amount actually paid by you for the software or £1000 whichever is
the greater. Because some jurisdictions do not allow the limitation of liability, the above limitation may not apply to
you.
7 GENERAL

7.1 This Licence is the entire agreement between you and Hi-Force and supersedes any other oral or written
communications, agreements or representations with respect to the software.

7.2 Nothing in this Licence will affect the statutory rights of a consumer in 'consumer transactions' under any
applicable statute.

7.3 If any part of this Licence is held by a court of competent jurisdiction to be unenforceable the validity of the
remainder of the Licence will not be affected.

7.4 This Licence is governed by the laws of England and Wales and the parties hereto submit to the exclusive
jurisdiction of the Courts of England and Wales.

YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS LICENCE AND AGREE TO BE
BOUND BY ITS TERMS AND CONDITIONS AND THAT THIS LICENCE IS THE COMPLETE AND EXCLUSIVE
STATEMENT OF THE AGREEMENT BETWEEN YOU AND HI-FORCE, AND SUPERSEDES ANY PROPOSAL
OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION RELATING TO THE
SUBJECT MATTER OF THIS LICENCE.
