of the
WILLIAMS VALLEY SCHOOL DISTRICT
and the
SUPERINTENDENT OF SCHOOLS
of the
WILLIAMS VALLEY SCHOOL DISTRICT
April 1, 2017 to March 31, 2020AGREEMENT
THIS AGREEMENT, entered into the Ist day of April, 2017, between the
Williams Valley Board of School Directors, hereinafter called the "Board" and Dr. Diane M.
Niederriter, as Superintendent of Schools, hereinafter called "Administrator".
I, INTRODUCTION
A.
The Administrator agrees to perform the duties of Superintendent of Schools in a
competent and professional manner subjectto the established policies and regulations
of the Board of School Directors and the laws of the State of Pennsylvania.
School Board/Superintendent Relationship
‘The Board in representing the public sets the general direction in which the schools
are to be operated. The Administrator provides the technical and professional
competence to implement Board directives and to manage the schools, The extent
to which the Board and the Administrator discharge their proper functions, or
infringe on each other's responsibilities, impacts directly on the effectiveness of the
school program.
A Board and a Superintendent, sincerely interested in providing effective educational
leadership, will continuously assess their way of working together. Their concems
will include a proper division of responsibility as to how each may serve the
educational enterprise efficiently and effectively. Agreements and understandings
will rest on mutual confidence and trust and on fulfillment of basic expectations
which each has of the other.
TERM OF AGREEMENT.
‘The term of this Agreement shall begin on April 1, 2017 and shall continue in full force and
effect until March 31, 2020 unless otherwise terminated according to law.
II. SALARY PROGRAM AND SCHEDULE,
‘The Board agrees to pay the Administrator a guaranteed salary of $110,000.00 for each year
of this Agreement. The Administrator will receive no salary increase during the term of this,
contract.EXTRA-CURRICULAR AND CO-CURRICULAR ACTIVITIES
Whenever the Administrator shall voluntarily participate in extra-curricular or co-curricular
activities covered by this Agreement with the Williams Valley School District, the
‘Administrator shall receive such supplemental compensation for the position as is provided
by the terms of the Agreement in force with the Williams Valley Educators’ Association.
OTHER EMPLOYEE BENEFITS
Employee benefits shall be provided to the Administrator as outlined below:
A. Health Care Insurance
1. During the term of this Agreement, the Board shall maintain in full force and
effect prepaid medical coverage for the Administrator at least equal to the
current medical plan, as provided for in the Agreement in force with the
Williams Valley Educators’ Association.
2. The Board, according to the provisions of this paragraph, agrees to provide
the not-to-exceed amount of $250,00 each school year exclusively for the
purpose of one complete physical examination for the Administrator. The
Administrator undergoing a physical examination shall first submit the
medical bill to any available health care insurance. The Board shall be
obligated under this paragraph only upon rejection of the medical bill by such
health care insurance.
B. Vision Care Insurance
During the term of this Agreement, the Board shall maintain prepaid vision care
coverage for the Administrator at least equal to that provided for in the Agreement
in force with the Williams Valley Educators' Association.
C. Dental Insurance
During the term of this Agreement, the Board shall maintain prepaid dental care
coverage for the Administrator at least equal to that provided for in the Agreement
in force with the Williams Valley Educators’ Association.
D. Premium Share
‘The Administrator agrees that she shall be subject to premium sharing for health care,
vision care, and dental insurance upon the same terms and conditions as set forth in
the contract between the District and the Williams Valley Educators’ Associationwhich commenced July 1, 2007. This premium share as contributed by the
Administrators shall further be controlled by any such premium share provision in
any and all successor agreements between the District and the Educators” Association
until the expiration of this Agreement on March 31, 2020.
Life Insurance
The Board agrees to purchase Group Term Life Insurance for the Administrator
during the term of this Agreement in an amount equivalent to 1.5 times the annual
salary rounded to the nearest $1,000.00 but in no event less than $110,000.00 in any
given year.
Income Protection Insurance
The Board shall maintain prepaid income protection coverage for the Administrator
at least equal to that provided for in the Agreement in force with the Williams Valley
Educators! Association.
Payment of Credits
The Board agrees to reimburse the Administrator for all tuition credits, except when
the Administrator is attending classes during a sabbatical leave, the Board would pay
for a maximum of three (3) credits during a fiscal year.
Dues to Professional Organizations
‘The Board will pay dues for the Administrator to join one professional organizations
of her choice. Any additional dues which the Administrator requests the Board to
pay must be presented to the Board for approval.
Additional Benefits
The parties agree that if that Agreement between the Williams Valley School District
and Williams Valley Educators Association dated July 1, 1997 or any additions or
extensions thereof provides additional benefits which are not mentioned in the
Superintendent's Agreement, or if any agreements between the Williams Valley
‘School District and any of its other administrators provides additional benefits which
are not mentioned in the Superintendent's Agreement, then these additional benefits
shall be extended to the Administrator.VIL. LEAVE
A
The Administrator shall be entitled to leave as provided for under conditions and
terms of Sections 334, 335, 336, 338 and 339 of the Williams Valley School
District's Policy Manual, with such changes as are indicated below:

Sick Leave (Section 334)
‘The Superintendent will be entitled to one (1) sick leave day per month of
employment, which shall be cumulative from year to year without limitation.
All or any part of such accumulated unused sick leave maay be taken with
full pay in any one or more school year. In addition, the Board agrees to
accept the transfer of all available sick leave days from her previous
employer.
Personal Necessity Leave (Section 336)
‘The Administrator is granted four (4) days per year for personal leave. These
days, for which full salary shall be paid, are to be used at the discretion of the
‘employee, without any accountability to the Board,
‘The Administrator who has completed three (3) years of continuous service
in the Williams Valley School District may accumulate unused personal leave
to a maximum of eight (8) days. This means that starting in the fourth year
of continuous service in the Williams Valley School District, any unused
personal leave in the third year up to a maximum of eight (8) days may be
carried over into the fourth year of continuous service providing a maximum
of twelve (12) days in any given school year. However, a maximum of only
eight (8) such personal days may be carried over from year to year. All other
days of absence within the year for personal needs not covered by the present
sick leave plan or leave for bereavement plan shall be subject to Board
approval and, if granted, deducted from salary.
‘The Administrator shall have the option of converting accumulated and
‘unused personal days to sick days at the agreed rate of conversion of one
personal day to one sick day. The Administrator must notify the Board in
‘writing with a copy to the Business Manager of any such request to convert
personal days to sick days.
‘Sabbatical Leave (Section 338)
‘The Administrator shall be entitled to such sabbatical leave as is set forth in
Williams Valley School District Policy No. 338.‘Uncompensated Leave (Section 339)
‘The Board recognizes that in certain instances the Administrator may wish
extended leave for personal reasons. When the Administrator requests
absence from duties for reasons not provided in existing school policies or
the School Code and has utilized all personal leave days, she shall submit a
request for additional leave to the Board, including date(s) and reason(s) for
such leave. The Board reserves the right to specify the conditions under
which uncompensated leave may be taken.
Vil. WORK YEAR, VACATION, AND OTHER CONDITIONS OF EMPLOYMENT
A. Administrator's Work Year

‘The Administrator shall work 240 days on the school calendar.
Subject only to the Vacation and Holiday provisions set forth below in this
‘Agreement, the Administrator's normal work week is expected to be Monday
through Friday, but may vary reasonably to meet the needs of the District and
Board.

These shall be Holidays provided school classes are not in session for any listed day.
‘The Administrator will be required to work all days school classes are in session
whether or not such day is listed in the above paragraph | through 12.Administrator's Flex Time
‘There shall be no overtime even though the Administrator is expected to participate
in off-hour meetings as part of her duties. The Administrator shall be expected to
attend two regular board meetings per month as part of her normal job duties. Flex
time is defined as paid time off during normal and regular work hours is permissible
for personal matters, Flex time will not be viewed as creating any right to any form
of compensatory time as that term is defined in the Fair Labor Standards Act or other
applicable federal and/or state legislation,
Vacation
‘The Superintendent shall be entitled to thirty (30) vacation days each contract year,
all of which shall be available at the beginning of each year of this Agreement. All
days taken off, except those recognized as Holidays or recognized as Leave under this
Agreement, shall be considered vacation days to be deducted from available days
during the term of this Agreement. The Superintendent may elect to have unused
vacation days at the end of each fiscal year converted to sick days at a rate of one (1)
vacation day for one (1) sick day or she may elect to sell back the vacation days to
the District at her per diem rate as an employer contribution to a 403(b) tax sheltered
plan of her choosing, with no cash option.
Personnel Files
‘The Administrator shall have the right to access her personnel files as provided in
Section 324 of the Williams Valley School District's Policy Manual.
Vill. TRAVEL REIMBURSEMENT
A.
Personal Vehicle
‘The Administrator, when required to use her personal vehicle during the course of
a work day in the performance of her duties, shall be reimbursed for such use at the
rate required by District policy. The Administrator shall not be reimbursed for the
use of her personal vehicle in coming to work each work day or returning home, or
going elsewhere, at the conclusion of each work day.
Mileage Rate
‘The Administrator attending meetings pursuant to VLC. of this Agreement shall not
be entitled to any mileage for coming to such meetings or returning home, or going
elsewhere at the conclusion of such meetings. The Administrator, who attends Boardmeetings other than the two required pursuant to VIC. of this Agreement shall be
paid mileage as follows:
1, from the meeting location to the border of the District multiplied by 2, if the
Administrator resides outside the District, or
2. from the meeting location to her home multiplied by 2, if she resides within
the District.
MISCELLANEOUS
A. Attendance at Seminars
The Administrator shall be entitled to attend, without Board approval, seminars
during the day during the course of the contract year. The Administrator shall not be
permitted to stay overnight at a seminar at School District expense without the
express approval of the School Board,
B, The Approval of Professional Staff Seminars
The Administrator has the discretion of granting permission to professional
employees to attend, without Board approval, seminars during the school year. There
shall be no overnight stays for such seminars at School District expense without the
express approval of the Board.
C. Professional Evaluations
‘The Administrator must provide written evaluations of the administrative staff at
Teast once per year on a yearly basis. The evaluations are due to the Board on or
before May 15th of each year.
RENEWAL
‘This Agreement shall be deemed to have been renewed for a period equal to the term set
forth in the original contract between the Administrator and the School District, if the Board
of School Directors does not notify the Administrator to the contrary in accordance with
Section 1071 and Act 1 (1974) of the Pennsylvania School Code at least 150 days before the
expiration date of this contract.
MODIFICATION
It is mutually understood and agreed that this Agreement may be modified by mutual
agreement of the parties, such modification and agreement to be evidenced by a writtenamendment to the Agreement, Such amendment shall be subject to the same provisions of
law as the original agreement. Additionally, itis mutually understood and agreed that the
Administrator will provide the Board with a notice of intent to terminate her employment at
least 150 days prior to the effective date of the voluntary termination of employment. The
Administrator agrees that the Board may specifically enforce by injunction the 150-day
notice provision in any court of competent jurisdiction.
