Thank you for your interest in ALSTOM for your Power Circuit Breaker needs. We have received your inquiry and are pleased to
submit the following proposal in accordance with your specification and with the noted comments and clarifications. We are
proposing our DT1-72.5 F1 FK which is part of the ALSTOM family of circuit breakers. ALSTOM Grid is extremely interested in
continuing a successful business relationship with City Of Ocala. ALSTOM is proposing similar breakers that were provided
under City Of Ocala PO’s 72284-72285-72286-72287-72288 and ALSTOM Order’s No CX05066-CX05067-CX05068-CX05069-
CX05070 respectively. To further demonstrate our commitment, ALSTOM will provide (1) complementary trip coil, (1) close
coil and (1) motor with receipt of an order. These coils and motors can be used for any of the circuit breakers that were
purchased in the past.

ALSTOM is a leading manufacturer of high voltage circuit breakers and circuit switchers with R&D and manufacturing facilities
located in Charleroi, Pennsylvania. Our facility is an ALSTOM Center of Excellence for research and development, testing, and
manufacturing of dead tank circuit breakers for worldwide distribution and is certified to ISO9001-2008, ISO1400-2004 and
OHSAS18001-2007.

Our Charleroi, PA campus includes a fully functional research & development facility with a staff of over 20 engineers and
technicians dedicated to product development. This local development team ensures that new products are designed to meet the
rigorous demands of the US power system. The ALSTOM team also includes worldwide development with R&D centers in Kassel,
Germany and Villeurbanne, France. We have currently delivered nearly 15,000 circuit breakers from this factory since 1993.

The ALSTOM line of circuit breakers and circuit switchers are developed with a family approach. Common components such as
mechanisms and interrupters are shared between the dead tank and circuit switcher products providing a reduction in cost of
ownership. Furthermore, our breakers and switchers are tested to ensure significant Close-Open mechanical operations without
maintenance.

The Bidder proposes to complete Delivery of Items, as listed below, including an allowance for review of shop
drawings (see Section 00-810, Part 3, Paragraph D). The bidder understands proposed delivery times longer than
stated above may be grounds for rejection of bid.

Delivery dates are based on a Conditional Notice of Award and Conditional Notice to Proceed of April 4, 2012. A
Conditional Notice of Award of Contract and Conditional Notice to Proceed are conditioned only by the
requirement that the Contractor shall deliver acceptable bond(s), proof(s) of insurance, and related documents,
properly executed on behalf of the Contractor, and to otherwise demonstrate his fitness, willingness and ability to
enter into the contract as described herein. Failure to issue Conditional Notice of Award, Conditional Notice to
Proceed by the date indicated shall constitute basis for a day-for-day extension in the proposed delivery schedule.
Conditional Notice of Award may or may not include the Conditional Notice to Proceed with the Contract. If the
Conditional Notice to Proceed is separated from the Conditional Notice of Award, completion time shall be
extended on a day-for-day basis to allow for elapsed time between Conditional Notice of Award and Conditional
Notice to Proceed.

7. Delivery to Be Made To

The Bidder agrees to deliver equipment to the Utility Services Warehouse at 1805 NE 30th Ave, Bldg 700, Gate
#5, Ocala Florida 34470. Access requirements shall be established by on-site investigation by the Bidder.
Delivery shall be completed between the hours of 7:30 a.m. and 12:00 noon, or 1:00 p.m. and 3:30 p.m. Local
Time, Monday through Friday, but shall not be made on legal holidays and with a 48-hour notice prior to
delivery.

8. Bidder Agreement

In the event the items covered by this quotation (including any modification or alternative) are not as specified, a
full description is attached to the quotation describing the item (modification or alternative) on which the

Paragraph 7.0 -No provisions are included in this proposal for Alstom to remove the equipment from the truck and place it onto the

Clarifications to the Breaker Specification’s 16-010 and 16-012:


Note: This proposal is in reference to Sections 16-010 and 16-012 only, all other Sections to equipment does not apply.

Clarifications to the Breaker Specification’s 16-010:


1.05 - Drawings and other documents will be submitted for approval four (4) to six (6) weeks after receipt of order.
3.01.B – Alstom breakers are shipped on a low step-deck or flatbed truck with bushings assembled, main contacts open,
spring mechanism discharged and partially gas filled, thereby eliminating the need for a vacuum pump on site.

Clarifications to the Breaker Specification’s 16-012:


1.04.G - Alstom’s proposed circuit breaker has Closing and Latching capability of 108kA.
2.02.M - Operating temperature range of the proposed circuit breakers is -40C (Without Tank Heaters) to 50C.
2.02.O - The circuit breaker will be provided with an external electrical trip push button with permissive control. The electrical push
button is protected by the low gas lockout function and cannot be operated if the gas level should fall below safe operating
levels. A mechanical trip lever is provided on each circuit breaker and located inside the mechanism enclosure.
2.03.A - Alstom is proposing SF6 filled gray porcelain bushing without bushing studs. The breaker has a NEMA four (4) hole bushing
terminal, made of aluminum and arranged in a horizontal plane. Stud connectors are not supplied.
2.04.C - A latch check switch is not applicable to the proposed gas breakers since they do not incorporate a “collapsing” linkage and
the trip latch restores itself fast enough to accomplish even a zero-time delay re-close. Therefore, it will not be provided.
2.05.B - The circuit breaker will be supplied with 10 ‘a’ and 10 ‘b’ auxiliary contacts available for customer use. These contacts are
factory set and are not field adjustable.
2.05.D - The circuit breaker has one (1) common gas density monitoring system for the three (3) poles, located outside of the control
housing, subject to ambient conditions. This pressure sensitive, temperature compensated SF6 gas density monitor has two
(2) contact settings for the following functions for falling density: (1) alarm, (2) functional lockout. The contact settings are
adjusted at the factory; therefore, they require no calibration and should not be adjusted in the field.

who has not received payment for his labor, materials, or supplies shall, within forty-five (45) days after beginning to furnish labor,
materials, or supplies for the prosecution of the work, furnish the Principal with a notice that he intends to look to this Bond for
protection. A claimant who is not in privity with the Principal and who has not received payment for his labor, materials, or supplies
shall, within ninety (90) days after performance of the labor or after complete delivery of the materials or supplies, deliver to the
Principal and the surety written notice of the performance of the labor or delivery of the materials of supplies and of the nonpayment.
No action for the labor, materials, or supplies may be instituted against the Principal or the Surety unless both notices have been given.
No action shall be instituted against the Principal or the Surety on this Bond after one (1) year from the performance of the labor or
completion of delivery of the materials or supplies.

THIS BOND shall be security for the performance by the Principal and Surety of the following additional covenants and
obligations, and the recitals and references herein contained shall constitute a part of this Bond and obligation:

1. Each and every person, natural and artificial, for whose benefit this Bond has been executed, as disclosed by the text of this
Bond and of said Contract, Specifications and Plans, and of said Agreement, and instruments attached together and made a part
of the said Contract, shall have the same several rights of suit of action upon this bond as if he or they were the City herein

We do not recommend any spare parts for start up or the first three (3) years of operation; however, for the purpose of
comparison, we are giving the prices for the following spares:

* A slow close device was required for oil type breakers with interrupters with adjustable contact wipe. On SF6 interrupters, the
contacts never need adjusted during the life of the breaker. Therefore, the slow closing device does not add any functionality to

Prices of spare parts are valid only when they are ordered and delivered together with the circuit breaker. Spares ordered
separately will be subject to shipping charges.

We maintain all necessary spare parts in our stock. For emergency spares, we recommend items 1, 2 and 3.

No special tools are necessary for installation or maintenance of the breakers. We do recommend, however, having one (1) of

Clarifications to the Breaker Specification’s 16-010:


1.05 - Drawings and other documents will be submitted for approval four (4) to six (6) weeks after receipt of order.
3.01.B – Alstom breakers are shipped on a low step-deck or flatbed truck with bushings assembled, main contacts open,
spring mechanism discharged and partially gas filled, thereby eliminating the need for a vacuum pump on site.

Clarifications to the Breaker Specification’s 16-012:


1.04.G - Alstom’s proposed circuit breaker has Closing and Latching capability of 108kA.
2.02.M - Operating temperature range of the proposed circuit breakers is -40C (Without Tank Heaters) to 50C.
2.02.O - The circuit breaker will be provided with an external electrical trip push button with permissive control. The electrical push
button is protected by the low gas lockout function and cannot be operated if the gas level should fall below safe operating
levels. A mechanical trip lever is provided on each circuit breaker and located inside the mechanism enclosure.
2.03.A - Alstom is proposing SF6 filled gray porcelain bushing without bushing studs. The breaker has a NEMA four (4) hole bushing
terminal, made of aluminum and arranged in a horizontal plane. Stud connectors are not supplied.
2.04.C - A latch check switch is not applicable to the proposed gas breakers since they do not incorporate a “collapsing” linkage and
the trip latch restores itself fast enough to accomplish even a zero-time delay re-close. Therefore, it will not be provided.
2.05.B - The circuit breaker will be supplied with 10 ‘a’ and 10 ‘b’ auxiliary contacts available for customer use. These contacts are
factory set and are not field adjustable.
2.05.D - The circuit breaker has one (1) common gas density monitoring system for the three (3) poles, located outside of the control
housing, subject to ambient conditions. This pressure sensitive, temperature compensated SF6 gas density monitor has two
(2) contact settings for the following functions for falling density: (1) alarm, (2) functional lockout. The contact settings are
adjusted at the factory; therefore, they require no calibration and should not be adjusted in the field.

General Conditions

Validity 90 days after bid opening.


Delivery Standard delivery on the DT1-72.5 F1 FK circuit breakers is sixteen (16) to twenty (20)
weeks after receipt order, subject to prior factory loading and material availability.
Delivery Note Delivery is based upon customer return of approved drawings in two (2) weeks. Drawings
will be submitted for approval four (4) to six (6) weeks after receipt of order.
Shipping Point: Charleroi, PA
Terms of Delivery: Pricing is firm in USD, FOB Jobsite, FL(INCOTERMS 2000), destination pre-paid and
allowed. Unloading of the circuit breakers is to be provided by others.
Payment Conditions: 90 % NET 30 days after delivery and 10% NET after equipment is placed in service or 180
days from delivery whichever comes first.
Instruction Manuals: One instruction book is shipped inside the control cabinet of the breaker. Remaining
instruction book will ship within two weeks of breaker shipment.
Warranty: Twelve (12) months after installation, not to exceed eighteen (18) months after delivery.
Warranties exclude wear and tear associated with normal circuit breaker operation, circuit
breakers used in special applications not covered by ANSI C37.06, and circuit breakers that
have exceeded the maximum allowable cumulated current. Warranties are based on strict
accordance with the maintenance instructions found in the breaker manual.
Sales Tax: This offer does not include any sales tax (state, federal or local).

Policy for Changes, Delay, and Cancellation


Changes
All requests for equipment changes or additions to the quoted design upon return of approval drawings will be
reviewed for impact to the quoted price and shipment date. Prices and shipment date may be significantly affected
closer to the original production schedule and can be more severe for changes requested after the start of
production.
Upon request for change, ALSTOM will issue a quotation detailing the effect on price and/or shipment when
applicable. Any change which affects price and/or shipment date (including applicable fees as described in
Delays/Cancellation) must be acknowledged by written customer acceptance in the form of a change order before
the change will be implemented.
Delays
Orders that are requested to be rescheduled within 2 weeks following receipt of order are not subject to charges for
delay. However, to help defray labor and inventory carrying costs that may accrue if a delay is requested beyond 2
weeks from receipt of order, charges will be assessed in accordance with the following fee schedule. Any circuit
breakers for which delays are requested 0 - 2 weeks before shipment will be invoiced as per the original delivery
schedule.

General Comments

The circuit breakers offered belong to a family of switchgear highlighted by the following features:

 Third generation SF6 interrupter with advanced thermal effect interrupter.


 Mechanical spring/spring operating mechanism.
 More than 30,000 circuit breakers/switchers on order or in service since 1989, worldwide.
A spring type operating mechanism is used to operate the circuit breakers. The stored energy in the springs is sufficient to perform
one (1) O-CO operation without recharging. The tripping springs are automatically recharged after every C operation. Duty cycle
is O-0.3s-CO-10s-CO as standard.
The breakers have NEMA four (4) hole bushing terminals, made of aluminum and arranged in a horizontal plane and NEMA two
(2) hole, stainless steel, grounding pads located on opposite legs of the support structure. Anchor Bolts, HV Terminals and Ground
Clamps to be provided by others.
The circuit breakers will be supplied with the maximum number of auxiliary contacts available for customer use. These contacts
are factory set and are not field inter-interchangeable or adjustable.
The circuit breakers have one (1) common gas density monitoring system for the three (3) poles, located outside of the control
housing, subject to ambient conditions. This pressure sensitive, temperature compensated SF6 gas density monitor has two (2)
contact settings for the following functions for falling density: (1) alarm, (2) functional lockout. The contact settings are adjusted
at the factory; therefore, they require no calibration and should not be adjusted in the field.
The circuit breakers have a common gas piping system with a common fill valve located outside of the control cabinet, and self-
sealing type isolation valves are provided on each tank to facilitate the removal of gas from a single tank
In the event of a loss of supply to the motor, a hand crank is included with each breaker to manually charge the spring.
The breakers will be shipped on a low step-deck or flatbed truck with bushings assembled and partially gas filled, thereby

legs of the support structure.
The proposed circuit breakers have been tested according to applicable ANSI/IEEE standards. Type tests have been performed
previously on a similar unit. A set of routine tests, also according to ANSI/IEEE standards, will be conducted on the circuit
breakers prior to shipment from our factory in Charleroi, PA. A repetition of any of these tests or the inclusion of a test or testing
procedure not covered in these standards or on our Routine Testing Report are not included in the price of the circuit breakers.
The cost of routine equipment testing at our facility is included in the breaker pricing. All other costs (i.e. travel, lodging, and meal
expenses) associated with witness testing are not included.

PURPOSE
This specification outlines the paint finish requirements for fabrications used in the assembly of power circuit
breakers. The specification applies to all fabrications made from material, such as ferrous material, which must
be coated and/or otherwise protected in order to prevent corrosion caused by continuous environmental
exposure. This specification also applies in cases where painting is performed for aesthetic purposes only and
corrosion protection is not an issue (i.e. aluminum substrates).

SCOPE
The specification applies to all AREVA T&D Inc. Manufacturing personnel, as well as all outside sources,
responsible for the painting of material used in the assembly of power circuit breakers.

GENERAL
The paint system defined by this specification is a two-part system, consisting of a hybrid epoxy primer and a
polyester (TGIC) topcoat, which is applied via electrostatic spray. All resistance properties required by this
specification are to be considered indicative of the system as a whole and do not necessarily reflect the
performance of either coating as individually applied.

c. For inspection purposes, the exactness of the coating's color will be verified
through:
1. Comparison to known spectrophotometric values (not to exceed a deviation of 1.00
∆E)
2. Visual comparison of the sample panel to an approved master panel* kept on file in the Quality
Assurance department. (Ref. Section E "Approval of New Color Masters")

(*NOTE: The "master panel" is a panel which is felt to most closely reflect a
coating's true color as agreed upon by the coating Supplier and Customer.
This panel will serve as the standard against which all production lots will be
judged for conformity of color.)

c. In the event that a disparity is found to exist between spectrophotometric data


provided by the Supplier and the color as observed during visual inspection, AREVA will
default to using visual criteria in dispositioning the production lot.
d. AREVA T&D Quality Assurance will retain all sample panels for the period of
two (2) years as a point of reference (in the event that a quality related issue should
arise).

. General Appearance
a. During visual inspection, the sample panel provided by the coating Supplier will be also
assessed for general appearance (i.e. levels of gloss, orange peel, pin-holing, etc.)
b. Significant deviation in the general appearance of the production sample from the
approved master may result in the rejection of the production lot.
C. Application
1. Pretreatment
a. Ferrous Substrates

Substrate surface shall be pre-treated prior to coating application, using one of the two
procedures described below:

1. Mechanical Blasting - Aluminum oxide with 1.5-2.5 mil profile, to be


employed within 4 hours of painting. Any residue left by blast media shall be
removed via solvent cleaning or compressed air discharge prior to painting.
Care shall be taken to avoid distortion or localized hardening of substrate
material.
2. Automated Multi-Stage Wash Automated multi-stage wash system, typically
including phosphate pre-treatment, reverse osmosis cleaning rinse, and alkaline
coating preparation rinse, including automated monitoring of process parameters
such as pH, temperature, acidity, alkalinity, and system pressures and
temperatures. (Supplier may be required to demonstrate effectiveness of a
specific system prior to approval by Areva.)

In either case, Supplier shall have sufficient inspection steps in place prior to substrate
preparation to ensure that substrate material is completely free of any deposits such as
tar, adhesives, or any substance that would be immune to routine surface preparation.

In order to be approved for use with ferrous substrates, a powder coating must
demonstrate the ability to meet all properties designated by Section B, Table1, when
applied in conjunction with the pretreatment defined by this specification.

b. Aluminum Substrates

Aluminum spinnings Clean surface with solvent prior to painting to remove any
grease, dirt, oils, etc.
2. Cast Aluminum Clean surface with solvent prior to painting to remove any
grease, dirt, oils, etc.
3. Wrought or Rolled aluminum Mechanically abrade surface and clean with
solvent to remove any residue before painting.
3. In order to be approved for use with aluminum substrates, a powder coating
must demonstrate the ability to meet all properties designated by Section B,
Table 1, with the exclusion of "Salt Fog Resistance" and "Environmental
Cycling" when applied in conjunction with the pretreatment defined by this
specification
2. Application of Coating
a. All powder coating is to be applied via electrostatic spray.
b. The User is to defer to the coating Supplier "Product Data Sheet" for product specifics
such as specific gravity, bake cycle, cure temperatures, etc.).
D. Approval of New Color Masters
1. Master panels used for visual reference will be retained for the period of two (2) years.
After the period of 2 years, due to degradation of color over time, a new master standard
must be approved for use. At this time, the Supplier will submit a new panel for approval.
To qualify as a replacement for a "color master", this new panel must exhibit a change in
color no greater than .2 ∆E from the original master standard when measured using a
spectrophotometer.
2. First-time color matches for all new coating Suppliers (existing colors) must exhibit a
change in color no greater than .2 ∆E from an already approved color master.
3. Spectrophotometric data and sample panels for all new colors must be submitted to
AREVA T&D Inc. for final approval of the color match. All color masters used by the
coating Supplier for inspection purposes must also be approved by AREVA.
E. Formulation Changes
1. AREVA T&D Inc. reserves the right to request the coating Supplier to provide the specific
formulation for a given powder coating at any time.
2. Under no circumstances are changes to be made by the coating Supplier to the original
approved formulation of a powder coating purchased by AREVA unless previously
approved by AREVA.

F. Touch-Up

Touch-up of nicks, scratches and other imperfections is to be performed per AREVA specification
TS-00006.

12/18 Month Warranty Statement

For ALSTOM GRID, INC. Dead Tank Breakers

Warranty - We warrant, to the original purchaser, only, that the equipment supplied under this contract will conform to the
description thereof as contained in our offer, and there are no other warranties, express or implied, which extend beyond the said
description, nor any such warranties of fitness for any particular purpose or of merchantability. Such express warranty is given on
behalf of the seller only, and is expressly in lieu of an excludes and supersedes any warranty of merchantability or fitness for any
particular purpose, and all other warranties, express or implied from any other person or entity including the manufacturer or any
subcontractor. In accordance with this warranty, we will correct either by repair, or by the supply of a replacement part, or
compensate therefore by equitable adjustment of the contract price, at our sole option, any defect which may be disclosed after
delivery or during proper use of the equipment, and which is due solely to faulty design, materials or workmanship not in accordance
with the said description; provided, however, that the purchaser gives us written notice of such defect promptly after it is discovered
or within a reasonable time after It should have been discovered, and in any event, not later than twelve (12) months after
installation, or eighteen (18) months after delivery, whichever occurs later. If such notice of defect is not so given, our obligation to
correct such defect or breach of warranty, and constitutes our entire liability, and neither we, the manufacturer nor the subcontractor
or their employees or agents shall be liable for any injury, loss or damage whatsoever, which the purchaser may suffer or incur by
reason of any such defect or of the necessity of correcting the same, whether a claim is based on breach of contract, negligence,
strict tort or any other legal theory.

In no event shall we be liable, nor shall the manufacturer or any subcontractor or their employees or agents be liable, in connection
with a claim based on a breach of warranty as described in the above paragraph or any other duty or warranty contained in any other
paragraph or provision of this contract, for any special, incidental, or consequential damages, based upon breach of warranty, breach
of contract, negligence, strict tort or any other legal theory. Such exclusion shall include, but is not limited to, loss of profits, loss of
savings, or revenue, loss of use of any equipment, facilities, or services, injury to persons, downtime, and all claims of third parties,
(whether such third-party claims are for personal injury or loss to property). However, we will indemnify the purchaser against
direct damage or injury to the purchaser’s property or to persons of others which is caused solely by the active negligence of our
representatives while at the site of equipment installation for the purpose of the contract, up to the sum of contract value.

Exceptions and Clarifications to Special and General Terms and Conditions


Dated 02/27/2009 between City of Ocala and ALSTOM Grid, Inc.

The special and general terms and conditions included in the Request for proposal for this project, which are referenced in this
quotation, are hereby accepted by ALSTOM Grid, Inc. subject to the following clarifications and exceptions which shall prevail in the
event of discrepancy.

1. Limitation of Liability: Notwithstanding anything to the contrary in the contract documents but to the extent permitted by law
Seller shall not in any circumstances under any legal theory, whether based on contract, warranty, tort (including negligence), strict
liability, indemnity, professional liability or otherwise, be liable to indemnify the loss of use, loss of production, loss of profits, loss of
contracts, loss of data, cost of capital, replacement power, claims of Buyer's Buyers, or any other financial or economic loss or any
special, incidental, punitive, indirect or consequential loss or damage whatsoever whether suffered by the Buyer or by any third party.

If the Seller fails to deliver the products in accordance with the contract schedule, Seller shall pay to the City of Ocala liquidated
damages at a rate of 1% of the price of the delayed products per full week of delay, not to exceed 5% of the price of such delayed
products. Liquidated damages shall be the Seller’s exclusive liability and the City of Ocala’s exclusive remedy for delayed
performance, provided however that the City of Ocala may terminate this contract or exercise any other remedies set forth herein or
otherwise provided by law once the maximum amount of liquidated damages has been reached. The parties agree that such amounts
are a reasonable pre-estimate of the damages the City of Ocala will suffer as a result of delay based on circumstances existing at the
time the contract was formed and are to be assessed as liquidated damages and not as a penalty.

2. Warranty: The Seller warrants that services will be performed in accordance with good standard practice and products shall be
free from defect in design, material and workmanship.

The contract warranty period shall be twelve (12) months from the product's commissioning or eighteen (18) months from
shipment, whichever is shorter.

During the warranty period, the Seller shall re-perform, repair or, at its sole discretion, replace any defective products or parts thereof
at its own costs. Buyer shall be responsible for accessing, dismantling and reinstalling the products at its risks and costs.

This warranty is exclusive of any other warranty whether express, implied, statutory or otherwise including the warranty of
merchantability and fitness for a particular purpose. Seller's liabilities and Buyer's remedies in respect of defects in the products or
services and any damage to the products however caused are solely and exclusively as stated in this clause and Seller shall have no
liability of any kind for any such defects or damage which appears after expiry of the warranty period described above.

3. Approval of drawings and other documents: Whenever the Buyer must approve drawings or other documents, the Buyer shall
approve or comment on those documents within fifteen (15) days of the receipt thereof.

4. Acceptance of the products: The products shall be deemed accepted unless rejected within 30 days of the delivery thereof.

5. Waiver of anticipatory breach remedy: The Buyer hereby waives its right to terminate the contract based on the concept of
anticipatory breach except in the event the Seller abandons or notifies the Buyer of its intention to abandon the performance of this
Agreement.

6. Termination for cause: Except in the event the Seller becomes insolvent or bankrupt, commences or has commenced against it
any insolvency or bankruptcy proceeding, finds its affairs placed in the hands of a receiver, trustee, or assignee for the benefit of
creditors, the Buyer shall not terminate this contract for cause unless the Seller fails to initiate and pursue actions to cure such
breach diligently upon written notice from the Buyer.

7. Termination for convenience: If the General terms and conditions allow the Buyer to terminate the contract for convenience,
Buyer shall pay to Seller amounts owed at the time of termination and reimburse the Seller for reasonable costs and expenses
incurred (i) in performing the agreement up to the date of termination and (ii) as a result of the termination.

8. Jurisdiction and Venue. The Parties acknowledge that a majority of the negotiations, anticipated performance and execution of
this Agreement occurred or shall occur in Marion County, Florida. Any civil action or legal proceeding arising out of or relating to this
Agreement shall be brought only in the United States District Court, Middle District of Florida, Ocala Division. Each party consents to
the exclusive jurisdiction of such court in any such civil action or legal proceeding and waives any objection to the laying of venue of
any such civil action or legal proceeding in such court or the right to bring an action or proceeding in any other court. Service of any
court paper may be affected on such party by mail, as provided in this Agreement, or in such other manner as may be provided under
applicable laws, rules of procedures or local rules.

9. Jury Waiver. In any civil action, counterclaim, or proceeding, whether at law or in equity, which arises out of, concerns, or relates
to this Agreement, any and all transactions contemplated hereunder, the performance hereof, or the relationship created hereby,
whether sounding in contract, tort, strict liability, or otherwise, trial shall be to a court of competent jurisdiction and not to a jury,
Each party hereby irrevocably waives any right it may have to a trial by jury. Any party may file an original counterpart or a copy of
this Agreement with any court, as written evidence of the consent of the parties hereto of the waiver of their right to trial by jury.
Neither party has made or relied upon any oral representations to or by any other party regarding the enforceability of this provision.
Each party has read and understands the effect of this jury waiver provision.

10. Confidentiality-Ownership: All designs, drawings and other technical information relating to the products and
services provided by the Seller under this Agreement, and the intellectual property rights therein made or acquired by the
Seller prior to or during the performance of this Agreement shall be and remain the property of the Seller. Such technical
information shall be kept confidential by the Buyer and shall not be used by Buyer otherwise than for the purposes of the
operation and maintenance of the products.

11. Suspension by Seller: Suspension: If Buyer fails to make any payment when due or perform on time any of its
other obligations under this Contract and without prejudice to any other rights or remedies: (i) Seller shall be entitled to
suspend performance of the Agreement until the failure is remedied, (ii) the time for performance of the Agreement by
Seller shall be extended accordingly, (iii) any cost (including financial costs and storage, demurrage or other charges)
thereby incurred by Seller shall be paid by Buyer.
Seller may terminate this Contract if the suspension exceeds three (3) months. In such event, the Seller shall be entitled
to the payment of (i) sums due (ii) costs incurred in the performance of the Contract up to the date of termination and
not already paid and (ii) costs incurred as a result of termination.

12. Insurance: Insurance coverage to be agreed upon.

13. Miscellaneous:

13.1 If (i) Buyer refuses to confirm that it will take delivery of the product in accordance with the terms of this contract,
(ii) does not take delivery of the product within 30 (thirty) days of notification that the product is ready for delivery (iii)
postpones the date of delivery of the product without the prior written consent of Seller or (iv) suspend performance of
the contract without the consent of the Seller, after completion of manufacture and testing of the Product or for a period
exceeding in the aggregate three (3) months, and without prejudice to any other right or obligation that the Seller may
have under the Contract, at law or in equity, the Seller will be entitled to compete the manufacture of the product and
may store the Product at the risks and costs of the Buyer. In such instance, title to the Product shall pass to the Buyer
and Seller shall be entitled to payment of the contract price corresponding to the shipment and/or delivery of the
Product.

13.2 Notwithstanding any provisions of any applicable laws including common law, any additional or different terms and
conditions set forth in Buyer's purchase order are objected to by ALSTOM Grid, Inc. and will not be binding upon
ALSTOM Grid, Inc. unless specifically assented to in writing by an authorized representative of ALSTOM Grid, Inc."

13.3 Buyer's purchase order shall constitute an acceptance of the quotation or proposal of ALSTOM Grid, Inc. even if the
purchase order provides otherwise and/or does not reference the ALSTOM Grid, Inc. quotation or proposal. To the extent
permitted by law, the so-called "knock out" rule, in which differing terms between an offer and acceptance are knocked
out and are not deemed part of the resulting contract between the parties, shall not apply to this contract."

13.4 Notwithstanding anything to the contrary, the quotation of Seller for this project which include these exceptions
and clarifications shall take precedence over any other documents including the Request for proposal documents.

13.5 Any right to set off sums owed to the Seller, if any, shall be restricted to sums owed by either party to the other one
under this contract.
