This contract is made by and between Abravani Professional Immigration Services Inc. , located
at 7191 Yonge Street, #908, Thornhill, ON, L3T 0C4, Canada, hereinafter briefly referred to as
‘The executor’, on one part; and the principal,

hereinafter briefly referred to as ‘Applicant’, under the following terms

AND WHEREAS the ABRAVANI PROFESSIONAL IMMIGRATION SERVICES INC. is a

member of Immigration Consultants of Canada Regulatory Council (the “Council”), the regulator
in Canada for immigration consultants;

In CONSIDERATION of the mutual covenants contained in this Agreement, the parties agree as
follows:

Definitions
Abravani Professional Immigration Services Inc. - Saskatchewan Farming Agreement

The terms “Client”, “Council” and “Disbursement” shall have the meaning given to such terms in
the Retainer Agreement Regulation and By-law of the Council.

2. The Executor Responsibilities and Commitments has agreed, to act for the Applicant in
the matter of his/her Permanent Residency of Canada through Farm Owner and Operator
Application in Saskatchewan.

The Applicant acknowledges that the Executor is hired only for the purpose of facilitating the
APPLICANT's Farm Owner and Operator Application in Saskatchewan. The parties to this
Agreement acknowledge that «facilitating the APPLICANT's Farm Owner and Operator
Application in Saskatchewan» means:

2.1) The preliminary assessment of the APPLICANT's chances of successfully making an

Application to get his/her Permanent Residency of Canada through Farm Owner and Operator
Application in Saskatchewan.

2.2) The preparation of the APPLICANT's Saskatchewan Work Permit Application and the
delivery of such, together with any other information or materials the Executor shall consider
necessary, to any Canadian authority API shall consider reasonable in the circumstances (the
«Canadian Authority»).

2.3) The counseling and preparation of the APPLICANT for any personal interview of the
APPLICANT with Canadian authorities, and prepare a business plan until he/she receives the
Permanent Residency of Canada.

3. Client Responsibilities and Commitments

3.1) The APPLICANT must provide, upon request from the EXECUTOR:

- All necessary documentation

- All documentation in English or French, or with an English or French translation

3.2) The APPLICANT understands that he/she must be accurate and honest in the information
he/she provides and that any inaccuracies may void this Agreement, or seriously affect the
outcome of the application or the retention of any status he/she may obtain. The EXECUTOR’s
obligations under the Retainer Agreement are null and void if the Client knowingly provides any
inaccurate, misleading or false material information. The APPLICANT’s financial obligations
remain.

3.3) In the event Immigration, Citizenship and Immigration of Canada (CIC) should contact the
APPLICANT directly, the APPLICANT is instructed to notify the EXECUTOR immediately.

3.4) The APPLICANT is to immediately advise the EXECUTOR of any change in the marital,
family, or civil status or change of physical address or contact information for any person
included in the application.

3.5) In the event of a Joint Retainer Agreement, the APPLICANT agree that the EXECUTOR
may share information among all clients, as required. Furthermore, if a conflict develops that
cannot be resolved, the EXECUTOR cannot continue to act for both or all of theAPPLICANT
and may have to withdraw completely.

4. Billing method

The details of this billing method are as follows:

Note:
- The above amount is to be paid by the APPLICANT and is subject to change upon mutual
agreement of both parties.
- Special arrangements mutually agreed upon by the APPLICANT and the EXECUTOR (e.g.,
payment by post-dated cheques, different currency, etc.):
- The APPLICANT will be billed by fixed payment of $21000.
- If the visa application is rejected, a sum of $5000 will be refunded from the first installment.

5. Refund Policy

The APPLICANT acknowledges that the granting of a citizenship Certificate or status and the
time required for processing this application is at the sole discretion of the government and not
the EXECUTOR. Furthermore, the APPLICANT acknowledges that fees are not refundable in
the event of an application refusal.

If, however, the EXECUTOR or professional staff do not complete the tasks identified under
section 2 of this agreement, the EXECUTOR will refund part or all of the professional fees
collected. The APPLICANT agrees that the fees paid are for services indicated above, and any
refund is strictly limited to the amount of fees paid.

In the event the APPLICANT is unable to contact the EXECUTOR and has reason to believe the
EXECUTOR may be dead, incapacitated, etc., the APPLICANT should contact ICCRC.

6. Dispute Resolution Related to the Code of Professional Ethics

In the event of a dispute related to theCode of Professional Ethics, the APPLICANT and
EXECUTOR are to make every effort to resolve the matter between the two parties. In the
event a resolution cannot be reached, the APPLICANT is to present the complaint in writing to
the EXECUTOR and allow the EXECUTOR (30) days to respond to the Client. In the event the
dispute is still unresolved, the Client may follow the complaint and discipline procedure outlined
by the Council on their website under the heading “File a Complaint”.

7. Confidentiality

All information and documentation reviewed by the EXECUTOR, required by CIC and all other

governing bodies, and used for the preparation of the application will not be divulged to any
third party, other than agents and employees, without prior consent, except as demanded by
law. The EXECUTOR, and all agents and employees of theEXECUTOR, are also bound by the
confidentiality requirements of Article 8 of the Code of Professional Ethics.

The APPLICANT agrees to the use of electronic communication and storage of confidential
information. The EXECUTOR will use his/her best efforts to maintain a high degree of security
for electronic communication and information storage.

8. Force Majeure

The EXECUTOR’s failure to perform any term of this Retainer Agreement, as a result of
conditions beyond his/her control such as, but not limited to, governmental restrictions or
subsequent legislation, war, strikes, or acts of God, shall not be deemed a breach of this
Agreement.

9. Change Policy

The APPLICANT acknowledges that if the EXECUTOR is asked to act on the APPLICANT’s
behalf on matters other than those outlined above in this Agreement, or because of a material
change in the APPLICANT’s circumstances, or because of material facts not disclosed at the
outset of the application, or because of a change in government legislation regarding the
processing of immigration or citizenship- related applications, the Agreement can be modified
accordingly.

10. Termination

10.1) This Agreement is considered terminated upon completion of tasks identified under
section 2 of this agreement.

10.2) This Agreement is considered terminated if material changes occur to the APPLICANT's
application or eligibility, which make it impossible to proceed with services detailed in section 2
of this Agreement.

11. Discharge or Withdrawal of Representation

11.1) The APPLICANT may discharge representation and terminate this Agreement, upon
writing, at which time any outstanding fees or Disbursements will be refunded by

the EXECUTOR to the APPLICANT/any outstanding fees or Disbursements will be remitted by

the APPLICANT to the EXECUTOR.

11.2) Pursuant to Article 11 of the Code of Professional Ethics, the EXECUTOR may withdraw
representation and terminate this Agreement upon writing, provided withdrawal does not cause
prejudice to the Client, at which time any outstanding fees or Disbursements will be refunded by
the EXECUTOR to the APPLICANT/any outstanding fees or Disbursements will be remitted by
the APPLICANT to the EXECUTOR.

12. Governing Law

This Agreement shall be governed by the laws in effect in the Province/Territory of Ontario, and
the Federal Laws of Canada applicable therein and except for disputes pursuant to Section 8
hereof, any dispute with respect to the terms of this Agreement shall be decided by a court of
competent jurisdiction within the Province/Territory of Ontario.

13. Miscellaneous
13.1) This Agreement constitutes the entire agreement between the parties with respect to the
subject matter hereof and supersedes all prior agreements, understandings, warranties,
representations, negotiations and discussions, whether oral or written, of the parties except as
specifically set forth herein.

13.2) This Agreement shall be binding upon the parties hereto and their respective heirs,
administrators, successors and permitted assigns.

13.3) This Agreement may only be altered or amended when such changes are made in writing
and executed by the parties hereto.

13.4) The provisions of this Agreement shall be deemed severable. If any provision of this
Agreement shall be held unenforceable by any court of competent jurisdiction, such provision
shall be severed from this Agreement, and the remaining provisions shall remain in full force and
effect.

13.5) The headings utilized in this Agreement are for convenience only and are not to be
construed in any way as additions to or limitations of the covenants and agreements contained
in this Agreement.

13.6) Each of the parties hereto shall do and execute or cause to be done or executed all such

further and other things, acts, deeds, documents and assurances as may be necessary or
reasonably required to carry out the intent and purpose of this Agreement fully and effectively.

13.7) The Client acknowledges that he/she has had sufficient time to review this Agreement and
has been given an opportunity to obtain independent legal advice and translation prior to the
execution and delivery of this Agreement.

13.8) In the event the Client did not seek independent legal advice prior to signing this
Agreement, he/she did so voluntarily without any undue pressure and agrees that the failure to
obtain independent legal advice shall not be used as a defense to the enforcement of
obligations created by this Agreement.

13.9) Furthermore, the Client acknowledges that he/she has received a copy of this Agreement
and agrees to be bound by its terms.

13.10) The Client acknowledges that he/she has requested that the Agreement be written in the
English language.

‫ﺗﮭﯾﮫ و ﻓراھم ﺳﺎزی ﯾﮏ ﺑرﻧﺎﻣﮫ ﮐﺎری ﺗﺎ زﻣﺎﻧﯽ ﮐﮫ ﻣﺗﻘﺎﺿﯽ اﻗﺎﻣت داﯾم ﮐﺎﻧﺎدا را درﯾﺎﻓت ﻧﻣﺎﯾد‪.‬‬

‫‪ - 3‬وظﺎﯾف و ﺗﻌﮭدات ﻣﺗﻘﺎﺿﯽ‬

‫‪ (3-1‬ﻣﺗﻘﺎﺿﯽ ﻣوظف اﺳت ﺑﮫ ﻣﺟرد درﺧواﺳت ﮐﺎرﮔزار‪ ،‬ﻣوارد زﯾر را ﺗﮭﯾﮫ و ﺗﺳﻠﯾم ﮐﻧد‪:‬‬
‫‪ -‬ﺗﻣﺎﻣﯽ ﻣدارک ﺿروری و ﻣورد ﻧﯾﺎز‬
‫‪ -‬ﺗﻣﺎﻣﯽ ﻣدارک ﺑﮫ زﺑﺎن اﻧﮕﻠﯾﺳﯽ ﯾﺎ ﻓراﻧﺳﮫ ﯾﺎ ھﻣراه ﺑﺎ ﺗرﺟﻣﮫ ﺑﮫ زﺑﺎن اﻧﮕﻠﯾﺳﯽ ﯾﺎ ﻓراﻧﺳوی‬
‫‪ (3-2‬ﻣﺗﻘﺎﺿﯽ ﻣﯾداﻧد ﮐﮫ ﺑﺎﯾد در ﺻﺣت و ﺻداﻗت ﺗﻣﺎﻣﯽ اطﻼﻋﺎت ﻓراھم ﺷده ﺗوﺳط وی ﮐوﺷﺎ ﺑﺎﺷد و‬
‫ھرﮔوﻧﮫ ﻧﺎدرﺳﺗﯽ و اﺷﺗﺑﺎه ﻣوﺟب اﺑطﺎل ﻗرارداد ﻣﯽ ﮔردد ﯾﺎ ﺑر ﻧﺗﯾﺟﮫ ﭘروﻧده وی و ﯾﺎ ﺣﻔظ ھر وﺿﻌﯾﺗﯽ‬
‫ﮐﮫ ﺣﺎﺻل ﺷده ﺑﺎﺷد‪ ،‬ﻋواﻗب ﻧﺎﻣطﻠوب ﺧواھد داﺷت‪ .‬در ﺻورﺗﯽ ﮐﮫ ﻣﺗﻘﺎﺿﯽ آﮔﺎھﺎﻧﮫ اطﻼﻋﺎت و ﻣوارد‬
‫ﻧﺎﺻﺣﯾﺢ‪ ،‬ﮔﻣراه ﮐﻧﻧده و ﻏﻠط ﺗﮭﯾﮫ و ﻓراھم آورد‪ ،‬وظﺎﯾف ﮐﺎرﮔذار ﺑﺎطل ﻣﯽ ﮔردد‪ .‬ھرﭼﻧد ﺗﻌﮭدات ﭘرداﺧﺗﯽ‬
‫ﻣﺗﻘﺎﺿﯽ ﺑﮫ ﻗوت ﺧود ﺑﺎﻗﯽ ﻣﯽ ﻣﺎﻧد‪.‬‬
‫‪ (3-3‬در ﺻورت ﺗﺎﯾﯾد ﺑرﻧﺎﻣﮫ ﻣﮭﺎﺟرت‪ CIC ،‬ﻣﺳﺗﻘﯾﻣﺎ ٌ ﺑﺎ ﻣﺗﻘﺎﺿﯽ ﺗﻣﺎس ﺣﺎﺻل ﻣﯽ ﮐﻧد و ﻣﺗﻘﺎﺿﯽ ﻣوظف‬
‫اﺳت ﺳرﯾﻌﺎ ﮐﺎرﮔذار را ﻣطﻠﻊ ﺳﺎزد‪.‬‬
‫‪ (3-4‬ﻣﺗﻘﺎﺿﯽ ﻣوظف اﺳت در ﺻورت ھرﮔوﻧﮫ ﺗﻐﯾﯾر در ﻣدارک‪ ،‬وﺿﻌﯾت ﺧﺎﻧوادﮔﯽ و ﺣﻘوﻗﯽ و ﯾﺎ ﺗﻐﯾﯾر‬
‫در آدرس ﻣﺣل و اطﻼﻋﺎت ﺗﻣﺎس اﻓراد ﺷﺎﻣل ﭘروﻧده‪ ،‬ﮐﺎرﮔذار را ﺳرﯾﻌﺎ ﻣطﻠﻊ ﺳﺎزد‪.‬‬
‫‪ (3-5‬در ﺻورﺗﯽ ﮐﮫ ﯾﮏ ﻗرارداد ﻣﺷﺗرک ﺑﺎﺷد‪ ،‬ﻣﺗﻘﺎﺿﯽ ﻣﯽ ﭘذﯾرد ﮐﮫ ﮐﺎرﮔذار ﻣﻣﮑن اﺳت در ﺻورت‬
‫ﻧﯾﺎز اطﻼﻋﺎت را ﻣﯾﺎن ﻣﺗﻘﺎﺿﯾﺎن ﺑﮫ اﺷﺗراک ﺑﮕذارد‪ .‬ھﻣﭼﻧﯾن در ﺻورﺗﯽ ﮐﮫ ﯾﮏ اﺧﺗﻼف ﻏﯾر ﻗﺎﺑل ﺣل ﺑﮫ‬
‫وﺟود آﯾد‪ ،‬ﮐﺎرﮔذار ﻧﻣﯽ ﺗواﻧد ﺑرای ھر دو ﯾﺎ ﺗﻣﺎم ﻣﺗﻘﺎﺿﯾﺎن اﻗدام ﻧﻣﺎﯾد و ﯾﺎ ﻣﻣﮑن اﺳت ﺑﮫ طور ﮐﻠﯽ از‬

‫ﺗذﮐر‪:‬‬
‫‪ -‬ﻣﺑﺎﻟﻎ ﺗﻌﯾﯾن ﺷده ﺑﺎﯾد ﺗوﺳط ﻣﺗﻘﺎﺿﯽ ﭘرداﺧت ﮔردد و ﺗﺣت ﺗواﻓق طرﻓﯾن ﺗﻐﯾﯾر ﻣﯽ ﮐﻧد‪.‬‬

‫‪ -‬در ﺻورت رد ﺷدن وﯾزا‪ ،‬ﻣﺟﻣوﻋﺎ ﻣﺑﻠﻎ ‪ 5000‬دﻻر از ﭘرداﺧت اول ﺑﺎز ﭘس داده ﻣﯽ ﺷود‪.‬‬

‫‪ - 5‬ﺿواﺑط ﺑﺎز ﭘرداﺧت‬

‫ﻣﺗﻘﺎﺿﯽ ﻣﯽ ﭘذﯾرد ﮐﮫ اﻋطﺎی ﭘذﯾرش داﻧﺷﮕﺎھﯽ‪ ،‬ﯾﺎ وﺿﻌﯾت و زﻣﺎن ﻣورد ﻧﯾﺎز ﻓرآﯾﻧد ﭘروﻧده‪ ،‬طﺑق ﺻﻼح‬
‫دﯾد و ﺗﺣت اﻻﺧﺗﯾﺎر ﻣﺳﺋوﻻن ﻣرﺑوطﮫ اﻣور ﻣﮭﺎﺟرﺗﯽ ﮐﺎﻧﺎدا ﻣﯽ ﺑﺎﺷد و ﮔروه ﻣﮭﺎﺟرﺗﯽ اﺑرواﻧﯽ در اﯾن‬
‫ﻣوارد دﺧﯾل ﻧﻣﯽ ﺑﺎﺷد‪ .‬ھﻣﭼﻧﯾن ﻣﺗﻘﺎﺿﯽ ﻣﯽ ﭘذﯾرد ﮐﮫ در ﺻورت ﻣردود ﺷدن درﺧواﺳت ﻧﺎﻣﮫ‪ ،‬ھزﯾﻧﮫ ھﺎ‬
‫ﺑﺎز ﭘس داده ﻧﻣﯽ ﺷوﻧد‪.‬‬
‫ﺑﺎ اﯾن وﺟود اﮔر ﮐﺎرﮔزار ﯾﺎ ﺗﯾم اﺟراﯾﯽ وظﺎﯾف ﻣﺷﺧص ﺷده در ﺑﺧش دوم ﻗرارداد را ﺑﮫ اﺗﻣﺎم ﻧرﺳﺎﻧﻧد‪،‬‬
‫ﮐﺎرﮔزار ﺑﺧش ﯾﺎ ﮐل ﻣﺑﻠﻎ ﭘرداﺧﺗﯽ را ﺑﺎز ﭘرداﺧت ﺧواھد ﮐرد‪.‬‬
‫ﻣﺗﻘﺎﺿﯽ ﭘذﯾرﻓﺗﮫ اﺳت ﮐﮫ ﻣﺑﺎﻟﻎ ﭘرداﺧﺗﯽ ﺻرف ﺧدﻣﺎت ذﮐرﺷده درﺑﺎﻻ ﻣﯽ ﺷوﻧد و ھر ﻣﺑﻠﻐﯽ ﮐﮫ ﺑﺎزﭘرداﺧت‬
‫ﺷود ﻣﻘدار ﺧﯾﻠﯽ ﺟزﺋﯽ از ﻣﺑﺎﻟﻎ ﭘرداﺧﺗﯽ ﻣﯽ ﺑﺎﺷد‪.‬‬
‫)وﺿﻌﯾت ﺑﺎز ﭘرداﺧت ﮐﮫ ﺷﺎﻣل روش و زﻣﺎن ﺑﻧدی آن ﻣﯽ ﺑﺎﺷد ﺷرح داده ﺷود‪(.‬‬

‫درﺷراﯾطﯽ ﮐﮫ ﻣﺗﻘﺎﺿﯽ ﻗﺎدر ﺑﮫ ﺗﻣﺎس ﺑﺎ ﮐﺎرﮔزار ﻧﺑﺎﺷد و ﺑﮫ دﻟﯾﻠﯽ ﺑﺎور داﺷﺗﮫ ﺑﺎﺷد ﮐﮫ ﮐﺎرﮔذار ﻓوت ﺷده‪،‬‬
‫از ﮐﺎر اﻓﺗﺎده ‪ ،‬ﺳﻠب ﺻﻼﺣﯾت ﺷده وﻏﯾره‪ ،‬ﺑﺎﯾد ﺑﺎ ‪ ICCRC‬ﺗﻣﺎس ﺣﺎﺻل ﻧﻣﺎﯾد‪.‬‬

‫‪ - 6‬ﺣل اﺧﺗﻼف ﺑر اﺳﺎس ﻗواﻧﯾن اﺧﻼق ﺣرﻓﮫ ای‬

‫ﺑر اﺳﺎس ﻗواﻧﯾن اﺧﻼق ﺣرﻓﮫ ای‪ ،‬در ﺻورﺗﯽ ﮐﮫ ﺑﯾن طرﻓﯾن اﺧﺗﻼف ﺑﮫ وﺟود آﯾد‪ ،‬اﺑﺗدا ﻣﺗﻘﺎﺿﯽ و ﮔروه‬
‫ﻣﮭﺎﺟرﺗﯽ اﺑرواﻧﯽ ﺗﻣﺎم ﺗﻼش ﺧود را در ﺟﮭت ﺣل و ﻓﺻل ﻣوﺿوع اﺧﺗﻼف اﻧﺟﺎم ﺧواھﻧد داد‪ .‬در ﺻورت‬
‫ﻋدم ﻣوﻓﻘﯾت در ﺣل اﺧﺗﻼف‪ ،‬ﻣﺗﻘﺎﺿﯽ ﯾﮏ ﺷﮑﺎﯾت ﻧﺎﻣﮫ ﻣﮑﺗوب ﺑﮫ ﮔروه ﻣﮭﺎﺟرﺗﯽ اﺑرواﻧﯽ ﺗﻧظﯾم ﻣﯽ ﮐﻧد‬
‫و ﺑﮫ اﯾﺷﺎن ‪ 60‬روز ﻓرﺻت ﻣﯽ دھد ﺗﺎ ﺑﮫ ﻣﺗﻘﺎﺿﯽ ﭘﺎﺳﺦ دھد‪ .‬در ﺻورﺗﯽ ﮐﮫ اﺧﺗﻼف ھﻧوز ﺣل ﻧﺷده‬
‫ﺑﺎﺷد‪ ،‬ﻣﺗﻘﺎﺿﯽ ﻣﯽ ﺗواﻧد ﺷﮑﺎﯾت را ﺑراﺳﺎس روال ﮐﯾﻔری ﻣﻌﯾن ﺷده ﺗوﺳط ﺳﻔﺎرت‪ ،‬در "وب ﺳﺎﯾت ﻟﯾﻧﮏ‬
‫ﺷده " ‪ ،‬ﺗﺣت ﻋﻧوان " ﺗﻧظﯾم ﺷﮑﺎﯾت " ﭘﯾﮕﯾری ﮐﻧد‪.‬‬

‫ﻋدم اﺗﻣﺎم ھر ﻗﺳﻣت از اﯾن ﻗرارداد ﺗوﺳط ﮐﺎرﮔزار‪،‬ﺗﺣت ﺷراﯾط ﺧﺎرج از ﮐﻧﺗرل وی‪ ،‬ﺷﺎﻣل وﻟﯽ ﻧﮫ ﻣﺣدود‬
‫ﺑﮫ ﻣﺣدودﯾت ھﺎی دوﻟﺗﯽ‪ ،‬ﻗواﻧﯾن ﻣﺻوب ﻣﺗﻌﺎﻗب‪ ،‬ﺟﻧﮓ‪ ،‬اﻋﺗﺻﺎﺑﺎت ﯾﺎ ﺑﻼﯾﺎی طﺑﯾﻌﯽ‪ ،‬ﺑﮫ ﻋﻧوان ﻧﻘض ﺗﻌﮭد‬
‫و ﺗﺧﻠف ﮐﺎرﮔزار ﺗﻠﻘﯽ ﻧﻣﯽ ﮔردد‪.‬‬

‫اﻗدام ﻧﻣﺎﯾد‪ ،‬ﯾﺎ ﺑﮫ دﻟﯾل ﺗﻐﯾﯾرات ﻣﮭﻣﯽ ﮐﮫ در ﺷراﯾط ﻣﺗﻘﺎﺿﯽ ﺑوﺟود آﯾد‪ ،‬ﯾﺎ ﺑﮫ دﻟﯾل ﻣواردی ﮐﮫ در اﺑﺗدای‬
‫ﭘروﻧده اﻋﻼن ﻧﺷده اﺳت‪ ،‬ﯾﺎ ﺑﮫ دﻟﯾل ﺗﻐﯾﯾر در ﻣﺻوﺑﺎت دوﻟﺗﯽ ﻣرﺑوط ﺑﮫ ﭘروﻧده ھﺎی ﻣﮭﺎﺟرت ﯾﺎ ﺷﮭروﻧدی‪،‬‬

‫‪ - 10-1‬اﯾن ﻗرارداد ﺑﮫ ﻣﺟرد ﺗﮑﻣﯾل ﻣوارد ﻣﺷﺧص ﺷده در ﻣﺎده دوم ﻗرارداد‪ ،‬ﭘﺎﯾﺎن ﯾﺎﻓﺗﮫ ﺗﻠﻘﯽ ﻣﯽ ﮔردد‪.‬‬

‫‪ - 11‬ﺗﻌزﯾل ﯾﺎ اﻧﺻراف وﮐﺎﻟت‬

‫‪ - 11-1‬ﻣﺗﻘﺎﺿﯽ ﻣﻣﮑن اﺳت ﺑﮫ ﺻورت ﻣﮑﺗوب وﮐﺎﻟت را ﺗﻌزﯾل و ﻗرارداد را ﻓﺳﺦ ﻧﻣﺎﯾد ﮐﮫ در اﯾن زﻣﺎن‬
‫ﮐﺎرﮔزار ھزﯾﻧﮫ ھﺎ و ﻣﺑﺎﻟﻎ ﭘرداﺧﺗﯽ را ﺑﮫ ﻣﺗﻘﺎﺿﯽ و ﻣﺗﻘﺎﺑﻸ ﻣﺗﻘﺎﺿﯽ ﺑﮫ ﮐﺎرﮔزار ﻋودت ﺧواھد داد‪.‬‬

‫‪ - 11-2‬ﻣطﺎﺑق ﺑﺎ ﻣﺎده ‪ 11‬ﻗﺎﻧون اﺧﻼق ﺣرﻓﮫ ای‪ ،‬در ﺻورﺗﯽ ﮐﮫ ﻓﺳﺦ ﻗرارداد ﻣﻧﺻﻔﺎﻧﮫ ﺑﺎﺷد و ﺿرر و‬
‫زﯾﺎﻧﯽ ﺑﮫ ﻣﺗﻘﺎﺿﯽ وارد ﻧﺷود‪ ،‬ﮐﺎﮔزار ﻣﻣﮑن اﺳت ﺑﮫ ﺻورت ﻣﮑﺗوب وﮐﺎﻟت را ﺗﻌزﯾل و ﻗرارداد را ﻓﺳﺦ‬
‫ﻧﻣﺎﯾد‪ .‬ﮐﮫ در اﯾن زﻣﺎن ﮐﺎرﮔزار ھزﯾﻧﮫ ھﺎ و ﻣﺑﺎﻟﻎ ﭘرداﺧﺗﯽ را ﺑﮫ ﻣﺗﻘﺎﺿﯽ و ﻣﺗﻘﺎﺑﻸ ﻣﺗﻘﺎﺿﯽ ﺑﮫ‬
‫ﮐﺎرﮔزارﻋودت ﺧواھد داد‪.‬‬

‫‪ - 12‬ﻗﺎﻧون اﻋﻣﺎﻟﯽ ﻗرارداد‬

‫اﯾن ﻗرارداد ﻣﻧطﺑق ﺑر ﻗواﻧﯾن اﺟراﯾﯽ ﺣﺎﮐم ﺑر اﺳﺗﺎن اﻧﺗﺎرﯾو و ﻗواﻧﯾن ﻓدرال ﮐﺎﻧﺎدا ﻣﯽ ﺑﺎﺷد و ﺑﮫ ﻏﯾر از‬
‫ﻣوارد ﻣﻧدرج در ﻣﺎده ھﺷﺗم اﯾن ﻗرارداد‪ ،‬ھر ﮔوﻧﮫ اﺧﺗﻼف در ﺳﺎﯾر ﻣﻔﺎد ﻗرارداد ﺑﮫ وﺳﯾﻠﮫ دﺳﺗﮕﺎه ﻗﺿﺎﯾﯽ‬
‫ذﯾﺻﻼح در اﺳﺗﺎن اﻧﺗﺎرﯾو داوری ﻣﯽ ﺷود‪.‬‬

‫‪ - 13‬ﺳﺎﯾر ﻣوارد ﻗرارداد‬

‫‪ (13-1‬اﯾن ﻗرارداد ﺷﺎﻣل ﮐﻠﯾﮫ ﻣوارد و ﻣﻔﺎد ﻣوﺿوع ﺗواﻓق ﺑﯾن طرﻓﯾن‪ ،‬ﮐﮫ در اﯾن ﺟﺎ ﻣﻧدرج ﮔردﯾده ﻣﯽ‬
‫ﺑﺎﺷد و ﺗﻣﺎﻣﯽ ﺗﻔﺎھﻣﺎت‪ ،‬ﺗواﻓﻘﺎت‪ ،‬ﻣذاﮐرات و ﺗﻌﮭدات ﮐﻼﻣﯽ ﯾﺎ ﻣﮑﺗوب ﻣﺎﺳﺑق ﻣﯾﺎن طرﻓﯾن را ﻣﻠﻐﯽ ﻣﯽ‬
‫ﮐﻧد‪ ،‬ﻣﮕر اﯾن ﮐﮫ ﺑﮫ طور ﺧﺎص در اﯾن ﺟﺎ ذﮐر ﺷده ﺑﺎﺷد‪.‬‬
‫‪ (13-2‬اﯾن ﻗرارداد ﺑرای طرﻓﯾن ﻧﺎم ﺑرده‪ ،‬وارﺛﺎن‪ ،‬ﺳرﭘرﺳﺗﺎن و ﻧﻣﺎﯾﻧدﮔﺎن ﻗﺎﻧوﻧﯽ اﯾﺷﺎن ﻻزم اﻻﺟرا ﻣﯽ‬
‫ﺑﺎﺷد‪.‬‬
‫‪ (13-3‬اﯾن ﻗرارداد ﺗﻧﮭﺎ زﻣﺎﻧﯽ ﻣﯽ ﺗواﻧد ﺗﻐﯾﯾر ﮐﻧد ﯾﺎ اﺻﻼح ﺷود ﮐﮫ ﺗﻐﯾﯾرات ﻣورد ﻧظر ﻣﮑﺗوب ﺷود و‬
‫ﺗوﺳط طرﻓﯾن ﻗرارداد ﺻورت ﭘذﯾرد‪.‬‬
‫‪ (13-4‬ﻣﻔﺎد اﯾن ﻗرارداد ﺗﻔﮑﯾﮏ ﭘذﯾر ھﺳﺗﻧد‪ .‬ﭼﻧﺎن ﭼﮫ ﻗﺳﻣﺗﯽ از ﻗرارداد طﺑق ﯾﮏ ﻣرﺟﻊ ﻗﺿﺎﯾﯽ ذﯾﺻﻼح‬
‫ﻏﯾر ﻗﺎﺑل اﺟرا ﺑﺎﺷد‪ ،‬ﭼﻧﯾن ﻣﻔﺎدی ﺑﺎﯾد از ﻗرارداد ﺟﺎ ﺷود و ﺳﺎﯾر ﺷراﯾط و ﺿواﺑط ﺑﺎﻗﯽ ﻣﺎﻧده ﻻزم اﻻﺟرا‬
‫ھﺳﺗﻧد‪.‬‬
‫‪ (13-5‬ﻋﻧﺎوﯾﻧﯽ ﮐﮫ در اﯾن ﻗرارداد ﻣورد اﺳﺗﻔﺎده ﻗرار ﻣﯽ ﮔﯾرﻧد ﺻرﻓﺎ ﺟﮭت ﺳﮭوﻟت اﻣر ھﺳﺗﻧد و در ھﯾﭻ‬
‫ﺣﺎﻟﺗﯽ ﺑﮫ ﻋﻧوان ﺿﻣﯾﻣﮫ ﯾﺎ ﻣﺣدودﯾت ھﺎی ﺗﻌﮭدات و ﺗواﻓﻘﺎت ﻣﻧدرج در اﯾن ﻗرارداد ﺗﻌﺑﯾر و ﺗﻔﺳﯾر ﻧﻣﯽ‬
‫ﺷوﻧد‪.‬‬
‫‪ (13-6‬ﺑﮫ ﻣﻧظور اﺟرای ﮐﺎﻣل و ﻣوﺛر ﻣﻔﺎد اﯾن ﻗرارداد‪ ،‬ھر ﯾﮏ از طرﻓﯾن در ﺻورت ﻧﯾﺎز اﻗداﻣﺎت و‬
‫ﺗﻌﮭدات ﻓراﺗری را اﻋﻣﺎل ﻣﯽ ﮐﻧﻧد و ﻣدارک و ﻣوارد دﯾﮕری را اراﯾﮫ ﻣﯽ دھﻧد‪.‬‬
