WHEREAS, both the parties hereto having full legal capacity to contract, has mutually agreed as
follows:
1. The Second Party undertakes to work on the road design for the First Party on existing
project for the Elecnor and Target Joint Venture (ETJV): Target Tie Pumping Station as
assigned.
2. The Second Party will be receiving a lump sum of USD 2,799 (OMR 1,085.00) for
undertaking the scope of work defined in the Appendix A: Scope of Work and Appendix B
of this Agreement (Original Offer submitted by pro-forma invoice). Payment will be made
through bank transfer nominated by the First Party in Serbia. It will be issued following the
submission of invoice after finalizing the work and getting an approval from the Client
(ETJV) as approved by the Branch Manager.
3. The Second Party shall perform all such duties as are reasonably applicable to his
position, and act at all times in accordance with the reasonable instructions of the First
Party and to comply with the provisions of in-house regulations and circulars.
4. Without prejudice to the clauses mentioned hereinafter, either party may terminate this
agreement by giving notice of termination.
5. The Second Party undertakes to:
a) Observe the work conditions stipulated in this Agreement; Respect its
confidentiality terms and agreement.
b) Respect Islam and the laws, customs and social traditions of the Sultanate of
Oman; and
c) Not be involved in or associated with any activities that may be harmful to the
security of the Sultanate of Oman.
6. The Second Party is required to comply with the First Party’s policies and procedures,
including its human resources policies, health and safety policies, disciplinary code and
grievance policy as may be implemented or amended from time to time.
7. Design & Engineering will be performed by the Second Party within 4 weeks from the
receipt of order and all electronic drawings and completion of the site survey.

b) Road design (excludes topografical survey, geotechnical investigation and utilities
and structures design)

 Road layout detailed design
 Cross sections design
 Setting out plan
 Bill of quantities
 Other drawings (curbs, road connections and other details)
 Specifications
c) Traffic design
 Traffic signs and markings design
2. The required parameters for design are not available in the enquiry documents, therefore
suitable parameters are assumed for estimation for pricing. For design the Second Party
will require following documents:
a) Civil Drawings
b) Project Specification
c) Standards and Codes for Design Reference
3. The Second Party will submit the following Drawings / Documents as a part of design.
a) Swept path analysis Report
b) Detail design roads
c) Detail design of traffic signs and markings
