STANDARD TERMS AND GENERAL CONDITIONS

1 SUBMISSION OF E-TENDER DOCUMENTS

i) The E-Tender is invited under two cover system i.e. Pre-


qualification (Technical) and Commercial offer separately. As
such the E-Tender is having 2 Stages. The following
documents are to be submitted on-line in the Tender.
ii) Annexure-A - Pre-qualification form (to be filled and
submitted in the same format.)
iii) Annexure-B - Terms and Conditions.
iv) Annexure-C - Commercial Offer (to be filled and submitted in
the same format)
v) Annexure-D - Specifications and Drawings.
vi) CA Certificate- Certificate of verification issued by Chartered
Accountant (to be submitted alongwith Tender Pre-qualification
offer duly signed by CA)

Submission of Pre-qualification Offer (Technical Bid)


To be submitted on 25.10.2017 upto 12.00 NOON and to be
opened on 25.10.2017 at 13.00 Hrs. The following document
submitted online:
1) Following Documents should be submitted:
a) Tender form duly signed on each page with seal.
b) Prequalification details as specified in the Annexure-A should
be filled and the same should be sent duly signed.
c) Terms and Condition form in Annexure–B signed.
d) Photocopy of Specifications and Drawings signed with seal on
each page as acceptance of the Drawings and Specifications.
2) The EMD shall be submitted online and receipt attached along with
Pre-qualification offer. The Pre-qualification offer without attachment
will be treated as disqualified.
3) The necessary Pre-qualification Documents i.e. the Audited Statement
of Accounts, Invoice Copies, Plant and Machinery details as specified
etc. shall be attached along with Annexure-A (Pre-qualification
Offer), in proof of sales turnover for all the years as prescribed in the
Pre-qualification criteria. The Pre-qualification offer without
attachment of Audited Statement of Account and Invoice Copies will
be disqualified. All documents should bear the signature and seal of
the Tenderer.
4) The Tenderer should furnish the Turnover details for the year 2014-
2015, 2015-16 and 2016-17 certified by the Charted Accountant.
5) The Certificate of verification issued by the Chartered Accountant in
proof of turnover in the prescribed format shall be attached alongwith
Annexure-A Pre-qualification offer.

Submission of Commercial Offer (Financial Bid)_


TO BE SUBMITTED ON 25.10.2017 UPTO 12.00 NOON AND TO
BE OPENED ON 25.10.2017 AT 15.00 HRS OR AS INTIMATED
BY E-TENDER OPENING COMMITTEE AT TIME OF OPENING OF
TECHNICAL BID.
The following document submitted online:
1) The price details as specified in the Annexure –C should be filled
and the same should be uploaded.
2) OPENING OF TENDERS:
The E-Tenders will be opened on the due date and time at the
address mentioned above,
a) The Tenderers or their representatives who may wish to be
present on the date, time and place of opening of the Tender
when the rates, terms and conditions offered by the Tenderers
will be read out in their presence.

b) The Commercial Bids of the Tenderers, who fulfill the Pre-


qualification criteria, will only be considered for evaluation.

c) In case E-tender opening day is a holiday, then E-tenders will


be opened on the next working day at same terms and
conditions.

d) The E-tender of the black listed firm will not be considered in


any manner and the earnest money will be forfeited.

3) PRICES:
a) All the Taxes, Levies and other incidental charges shall be
mentioned in percentage only. The End rate will be calculated
automatically in Commercial Offer based on Basic Rate and
percentage of discount, GST and other incidental charges.
b) In case the GST and other levies are not applicable to any of
the items, the same should be left blank or written as ‘0’
(ZERO). In case Basic/Net price offered is inclusive of Excise
duty and Taxes and other levies the rates of the same should

be mentioned in the space provided against “Other Terms


and Conditions” in the Commercial Offer.
c) GST.
d) Tenderers may be called for negotiations if considered
necessary.
e) The PRTC shall be entitled to the benefit of any decrease in
price on account of reduction in statutory levies, GST and
duties or on account of any other ground which takes place
during the pendency of the agreement and/ or after the expiry
of the delivery date stipulated in the agreement. The Supplier
shall allow the said benefit in his bills and in the absence
thereof shall certify that no decrease in price on account of any
of these factors has taken place.
4) Payment:
Payment terms will be as per Agreement form attached.
5) DELIVERY:
a) The successful Tenderer has to fabricate the bus bodies as per
the delivery schedule given in the LOI or as per the revised
delivery schedule if any, furnished by the PRTC.
6) VALIDITY:
a) Initially the offer should be valid for 90 days from the date of
opening of the Tender and the successful Tenderer has to
extend the validity of the offers till the completion of the
purchase order. No increase in the rate on any account will be
entertained during the period of execution of the purchase
order.
b) The Tender Inviting Authority i.e. Managing Director, PRTC
may seek extension of the initial validity of offer in writing, in
case of delay in acceptance of the tenders.

7) EARNEST MONEY DEPOSIT (E.M.D.)


a) The EMD (Refundable) which will be Rs.50,000/- (Rs. Fifty
Thousand only) per tender shall be submitted as prescribed
through e-payment (IPG, Net Banking or NEFT, RTGS and
OTC only) shall be accepted. The Tenders without EMD shall
not be valid/ considered.
b) The EMD does not carry any interest.
c) The EMD will be forfeited in the following cases:
i) If the Tenderer withdraws the quotation or make any
modification in the rates, terms and conditions before
the issue of work order.
ii) If the specified Security Deposit/Bank Guarantee is not
paid with in Seven days of acceptance of the Offer.
8) SECURITY DEPOSIT/BANK GUARANTEE:
As per agreement form attached.
9) INSPECTION:
Fabricator will inform PRTC at the start of fabrication of the buses.
PRTC may depute its technical team for carrying out inspection at the
following stages:
i) Structure Stage
ii) Paneling Stage
iii) Final stage

b. As soon as the buses are ready for dispatch the supplier will inform
PRTC for carrying out pre-dispatch inspection at the premises
intimated by the Fabricator and the inspection team will reach within
three days of receipt of such notice. It shall be the responsibility of
the fabricator to supply and maintain the vehicles to verify that they
are in working order. Any Bus damaged in transit or which are not in
working order, will have to be repaired immediately within 7 days.
c. Final inspection of the vehicles will be carried out at the time of
delivery of the vehicles.

d. During inspection any part of material being used for the fabrication
of the bus body can be sent to CIRT, Pune or any other Govt.
approved lab for sample testing by the inspection team. In case the
sample fails to meet the prescribed specifications, an amount equal to
10% of the cost of the failed item used in completed fabrication of
buses will be recovered from the firm prior to the sample report
received.

10) PENALTY FOR DELAY IN DELIVERY:


As per agreement form attached.
11) GENERAL:
a) The Bus body Fabricator shall undertake to abide by
all the terms and conditions of the tender.
b) The tenderer shall not sublet the contract or any
part thereof.
c) PRTC reserves the right to include or exclude any
condition or to modify or alter the condition with the consent
of the Bus Body Fabricator.
d) On acceptance of the tender the firm will execute an
agreement on stamp paper with PRTC which will be borne by
the Bus Body Fabricator.
e) All disputes arising out or in any way touching or
concerning this tender or agreement, whatsoever shall be
referred to the sole arbitration of the Chairman, PRTC acting
as such at the time of reference. The award of arbitrator shall
be final and binding on both parties to this agreement. Further
no party shall have the right to go to court or law for any
dispute under this agreement for their fulfillment unless the
dispute is first referred to the Sole Arbitrator specified under
this agreement.

f) Any legal proceedings arising between the


Corporation and the Tenderer, if it is must, shall be instituted
in the courts situated in Patiala alone and not anywhere else in
the country.
g) PRTC reserves the right to include or exclude any
condition or to modify or alter the condition in the
Agreement/tender document.
h) The Managing Director, PRTC, Patiala reserves the
right to increase or decrease the quantity of the chassis
without assigning any reason
i) MD PRTC reserves the right to select more than
one firm for the fabrication of buses.
j) MD/PRTC reserves the right to withdraw the bus
chassis at any stage without assigning any reason.
12) WORK INSPECTION:
The MD, PRTC or any of his authorized representatives/
Inspection Team reserve the right to conduct factory
inspection of the Tenderer before the start of fabrication to
ensure that the firm is having the required infrastructure
facility to execute the orders and disqualify the firm/company if
found the Tenderer is not have the required infrastructure
facility.
13 Force Majeure
a) PRTC shall not forfeit Successful bidder’s Performance
Guarantee or charge penalties or terminate the Contract
Agreement for default, if and to the extent that delay in
performance or failure to perform Successful bidder’s obligations
under the Contract Agreement is the result of an event of Force
Majeure.
b) For purposes of this Clause “Force Majeure” means an event

beyond the reasonable control of the Successful bidder. Such


events may include wars or revolutions, floods, epidemics,
quarantine restrictions and freight embargoes.
c) If a Force Majeure situation arises, the Successful bidder shall
promptly notify PRTC in writing of such conditions and the cause
thereof. Unless otherwise directed by MD PRTC in writing, the
Successful bidder shall continue to perform its obligations under
the Contract Agreement as far as is reasonably practical and shall
seek all reasonable alternative means for performance not
prevented by the Force Majeure event.

TERMS & CONDITIONS

1. PRE-QUALIFICATION CRITERIA:
Stage-1
a) The E-Tenders who have an average Annual Turnover of Rs.2.00
crores from the fabrication of buses during the last three years i.e.
2014-2015, 2015-2016 and 2016-2017. OR
The bidder should have executed Purchase Order for fabrication of
atleast 200 buses of any STUs/Private operators in last three years.
b) The bidder should be a manufacturer of Bus Bodies for a minimum
period of 5 years.
c) The Tenderer should have the following infrastructure at the
works and premises:
Tools & Plants as per listed below:
i) Chromotising Plant
ii) Shower testing arrangement of complete vehicle.
iii) Battery charger of suitable capacity.
iv) Air Compressor of high capacity alongwith tyre inflating
arrangement.
v) Panel Stretching machine.
vi) Brake press machine of capacity minimum 100 MT
vii) Sheering machine of capacity 6 mm thick.
viii) MIG welding equipments 10 nos. minimum

ix) DG set minimum 200 KVA


x) Suitable fixture for bending of roof sticks, pillers etc.
xi) Pneumatic riveting machine minimum 4 nos.
xii) Portable drill m/c, grinders and other hand tools required
for fabrication work.
xiii) Side Panel Rolling Machine.
xiv) Roof Panel Rolling Machine.
xv) Paint booth for PU Metallic paint
xvi) Minimum bus body building capacity= 25 no. per month.
d) The E-Tenderer should upload the above mentioned documents with
EMD.
e) Tenderer must attach with the Technical bid the detailed drawing
alongwith the seat layout showing all dimensions such as
wheelbase, FOH, ROH, overall length, width of gangaway, seat
pitch, leg space, seat dimensions, door dimension etc. All
dimensions should be conforming to enclosed specifications.
f) The offers of Tenderers who do not supply complete information
asked for in the forms or Earnest money deposit alongwith the
Tender Application is liable to be rejected.
STAGE-2
The information regarding infrastructure and Plant and Machinery and
the figures regarding Turnover during 2014-2015, 2015-2016 and
2016-2017 & no. of buses built in 2014-2015, 2015-2016 and 2016-
2017 submitted by the Tenderers will be evaluated by the Evaluation
Committee with respect to the Technical Specifications and Drawings
furnished alongwith the E-Tender. Inspection of premises of the
tenderers who meet the turn over Criteria and body fabrication
criteria can be carried out by a Technical Committee formed by MD,
PRTC to verify claims regarding plant and machinery, infrastructure,
body building capacity, turnover etc.

STAGE-3
The Commercial Offers of those Tenderers who qualify in Stage-1
and Stage-2 after evaluation by the Evaluation Committee as per the
criteria of minimum plant and machinery, infrastructure, turnover,
body fabrication capacity etc. will be opened.
2. Evaluation Criteria: Subject to fulfilling pre-qualification criteria
as mentioned above.
3. Specification and Drawing: As enclosed.
4. Tender Form Fee: Rs 6000/-
5. Security Deposit: An amount equal to 10% of the total work
order in shape of Bank DD/Bank Guarantee in favour of MD, PRTC
Patiala.

AGREEMENT FOR SUPPLY OF FABRICATION OF ORDINARY


BUS CHASSIS OF 210" WB CHASSIS
(On Stamp paper of Rs. 300)

This agreement is made this day_____________ between the


Managing Director, Pepsu Road Transport Corporation, Patiala (hereinafter
called the PRTC) on the one part and ____________________acting
through______________________(hereinafter called the Contractor,
which expression wherein the context admit shall mean and include his
heirs, executors, administrators, personal representative etc.) or the other
part.
Whereas the Contractor has agreed with the PRTC to build during the
period from _____________ to __________bus bodies on the chassis made
over to the Contractor from time to time during the said period by PRTC,
according to the plan and specifications and at the rates given in Annexure
'C'. The Contractor shall not refuse to accept the chassis irrespective of their
number which the PRTC may decide to deliver up to the last day of the
agreement, i.e. ______________and the Contractor will not be entitled to
claim for such works the rate to be finalized for the next year. And now
therefore, this agreement witnesses as follows:-
1. In pursuance of this agreement and in consideration of
Annexure 'D' hereto the Contractor shall fabricate the bus bodies
according to the plans and specifications given in Annexure 'D' hereto
and as amended from time to time by the PRTC, on the Chassis made
over to him by the PRTC. The Contractor shall collect the drawings for
the bus bodies from the office of the PRTC.
2. The chassis ordered to be provided with bus bodies in a

work order shall constitute one lot for the purpose of the agreement.
The delivery of the chassis falling in one lot, to the Contractor, shall
be completed by the PRTC within a period of eight days from the date
of delivery of the first chassis of the lot. The work order shall be
deemed to have been modified to the extent of number of chassis
delivered under a different work order during the aforesaid period.
3. The Contractor shall fabricate bus bodies on the chassis
hander over to him, in one lot, within the time mentioned in this
clause, which shall be deemed to be the essence of the contract.
Otherwise Contractor is liable to pay liquidity damages as mentioned
in this agreement. The time allotted for fabrication of bus bodies shall
be 45 days from the date of delivery of the vehicle in one lot.
Lead period of 10 days will be allowed one time from the date
of release of order for first allotment.
The save days on any chassis due to early completion of bus
bodies will be suitably adjusted to a maximum of 7 days in the next
lot. As regards save days on any chassis due to early completion of
bus bodies earned later on shall not be adjusted against the early
with-held amount against the late completion of buses
4. If the work of fabrication is held up for want of any
material to be supplied by PRTC an intimation in this regard should
immediately be sent to this office through fax/email which will be
verified by the inspection team based on which exemption in the
delivery schedule may be claimed by the fabricator.
5. (i) The period allowed for fabrication of bus bodies will
start from the date when the chassis reached in the premises of the
firm against allotment order to the contractor.
(ii) In case first chassis is handed over to the body builder by
11.00 AM of the day, that day shall count as full day towards the
period given for fabrication of bus bodies, (iii) Where the final

inspection of bus body is completed by 11.00 AM of the day, that day


shall not count towards delay and bus would be deemed to have
been delivered as if on the preceding day.
6. PRTC shall issue a separate work order to the contractor.
7. It will be the responsibility of the official nominated by the
PRTC to hand over the chassis along with the work
order, for bus body building to the Contractor in the latter's
premises. Similarly, after final inspection of the bus building
work, the delivery of the completed bus body will be taken at
the premises of the Contractor against payment of the
bus body in the prescribed manner.
 Chassis shall be delivered by the PRTC to the Contractor after
execution of this Agreement and completion of the following
formalities:-
 That the contractor agrees to receive the chassis at the
premises from the PRTC for fabrication of the bus bodies.
 It has been further agreed that the Contractor will get the
insurance cover for the entire period for which the chassis
would be retained in his factory against fire, theft, flood,
rebellion, riot, accidents and undue exposure or weather or
otherwise for the full cost. In case the chassis remain with the
Contractor at his factory after expiry of the insurance period
then the contractor will be liable to get the insurance cover
obtained prior to the expiry of the said policy. Factory
Insurance shall be for full period of holding the chassis against
fire and burglary i.e. till chassis are kept in factory for
fabrication purpose without break in between. However, in
case of default, the contractor would be fully liable for any
damage to chassis/ bus body if any and at the same time,
Contractor would also be liable to pay Rs.1000/- per day per

chassis to the PRTC on account of such default.


 The Contractor would be required to execute a TRUST BOND
on the stamp paper of Rs.100/- in the format attached. The
Contractor shall himself, at his own cost arrange and
provide all labour and material required for the fabrication of
bus bodies and for their painting, finishing etc. and he shall
not claim or demand any quota, permit or import license for
the material to be used in execution of the work order.
8. The payment schedule will be as under:-
After completion of 1st stage:- 50% of the total cost of fabrication
Final Stage :- 45% of the total cost of fabrication
(a) The Contractor shall get the fabricated bus bodies inspected
by the officer(s) authorised by PRTC in this behalf at the
premises of the workshop of the Contractor and if the work is
found to be in order the aforesaid officer(s) shall record in
writing certificates of fitness to the effect that the job has been
carried out according to the specifications
& drawings.
(b) Bus Seats will be of make and specification approved by PRTC
as given in the specifications of Buses at Annexure 'D’.
(c) The Contractor will submit bill for balance 5% payment duly
accompanied by a Certificate of final inspection, issued by the
authorized officer with regard to inspection of bus body to the
Managing Director after delivery of the complete bus according
to specifications and the amount will be paid to him within a
period of 30 days after deducting such amount which the
Contractor becomes liable to pay to the PRTC under any
provision of this agreement.
(d) Release of balance 5% payment within 30 days shall be subject
to the following conditions;-

(i) Payment, if any, made in advance or in excess to the


Contractor against earlier bills shall be recovered,
(ii) Penalty charges for delay in delivery of fabricated buses
have been cleared,
(iii) Production of certificate from the Inspection Officer(s) that
the work has been completed satisfactorily according to
the specification/body drawings,
(iv) Income tax as per Income Tax rules and any other dues
relating thereto will be deducted from the payment
made from time to time, for depositing with the concerned
authorities.
9. With a view to ensuring that the work is being carried out
in accordance with specifications mentioned in Annexure 'D' the
Contractor shall allow the officer(s)/official(s) authorized in this behalf
by the PRTC to carry out four stage inspection as mentioned in
the work order, after due intimation by the Contractor regarding
sheet paneling and completed bus from time to time, of the work
carried on the chassis body by him.
10. For due execution of this contract and for the faithful
observance of all the covenants/stipulations contained therein
and required on his part to be observed, Contractor shall furnish in
favour of PRTC a Bank Guarantee from a Scheduled Bank for a sum
equal to 10% of the total cost of work order for bus body fabrication
valid for a period of 18 months within 10 days of the execution of
the agreement. The bank Guarantee will be extended suitably by the
Contractor so as to cover 18 months warranty period + 3 month from
the date of delivery of last bus in a lot by the Contractor. The
requisite bank guarantee must be furnished by the Contractor before
he takes the delivery of the chassis for bus body fabrication.
11. The Bank Guarantee shall on expiry of the contract

continue to serve as security till the expiry of a period of one and half
years from the date of fabrication of the last bus body, on the chassis
made over to him, in pursuance of this contract, for the removal of
defects in bus bodies fabricated by the Contract discovered during the
aforesaid period of one and half years, provided that any shortfall in
the amount of bank guarantee due to the forfeiture in full or in part,
shall be made good by the Contractor within 10 days of a notice by
PRTC by providing a fresh bank guarantee. In case, the shortfall in
bank guarantee is not made good within the stipulated period of 10
days PRTC shall without prejudice to the right or remedies under the
contract or under law be at liberty to stop allotment of further chassis
to the Contractor.
12. In the event of contractor failing to complete the work and
getting the complete bus or buses finally inspected within the period
mentioned in clause 3, he shall be liable to pay to the PRTC Rs.2000/-
lump-sum per chassis per day by way of penalty.
13. (i) The Contractor shall give information about completion
of
bus body/bodies 48 hours earlier to the Managing Director
and the final inspection shall be conducted by the Inspection
Officer within 48 hours of the time intimated for completion
of bus body/bodies. The Contractor shall not be liable for
any penalty in case the final inspection is delayed beyond 48
hours of the time intimated by the Contractor for completion
of bus body/bodies.
(ii) In the case complete bus is not delivered by the Contractor
even after 55 days of the expiry of the scheduled time allotted
for carrying out the fabrication work, the PRTC shall be at
liberty to take over the chassis if work has not been started
and part/fully built body if work has already commenced and

may claim from the Contractor apart from penalty as worked


out under this agreement, liquidated damages equivalent to
the route receipt which it would have earned. The penalty and
the liquidated damages if any will be recovered from the
payment due to the firm and/or the security deposit/bank
guarantee etc. The payment of partly built body will be made
on actual cost basis after accounting for damages so assessed.
15. If in the opinion of the Managing Director the work has been delayed
by reasons of any variation in specifications authorised by
Managing Director, PRTC or due to civil commotion, riot, strike or lock
out or owing to non availability of any material required for
fabrication or due to any other cause beyond the control of the
Contractor, the Managing Director may on the request of the
Contractor made in writing, well in time immediately after any of the
aforesaid events grant such extension of time as he may in the
circumstances consider reasonable after satisfying himself and on
such extension being granted the Contractor shall not be liable to pay
any damages, if he complete the work and delivers the completed
vehicles within the extended period.
16. If as a result of any stage inspection of work and in final inspection
by an officer authorised by M.D. PRTC any defect is detected in the
workmanship or material used during fabrication of any bus body or
within a period of one and a half years after completion of the body
and delivery thereof to PRTC, the Managing Director or such officer
as may be authorised by him, give a notice in writing to the
contractor intimating each defect and requiring him to
remove the same within such period as specified in Clause 19 of this
agreement or if so required by the Managing Director to replace the
body at his own cost, within the time mentioned in the notice. In
such an event the contractor shall also be liable to pay to the PRTC

liquidated damages at the rates and conditions mentioned in clause


12 & 13 above for the period the bus remains off the road owing to
the defect detected therein.
Provided that if the Contractor fails to carry out the
repairs or remove the defects within the period specified in the notice
as in Clause 19 of this agreement, the Managing Director PRTC shall
be liberty to get all such defects removed from other body builder(s)
and recover the cost thereof from the Contractor in addition to the
liquidated damages mentioned above.
17. That the Contractor shall be liable to pay up to 5 % of the agreed
rate of Bus body per chassis if the defects pointed out by the
inspection team are not removed by the firm.
18. If the Contractor fails to carry out any terms of this
agreement required on his part to be observed or become insolvent
or make any agreement with the creditors or assigns or sublets this
contract without the prior written approval of the Managing Director,
PRTC may without prejudice to the rights of the PRTC to recover
liquidated damages from the Contractor, enforce the specific
performance of the contract, forfeit the bank guarantee of the
Contractor and terminate the contract by giving six days notice in
writing to the Contractor. The Contractor shall be liable to pay all
such damages as PRTC may incur as a result of termination of this
agreement.
19. The Contractor shall be fully accountable to PRTC for fabrication of
the bus body and through this agreement the Contractor agrees that;

(i) The Contractor agrees to give warranty of 18 Months for


the buses fabricated by his firm including warranty on
components and accessories not fabricated by him but
fitted on the bus. The warranty shall not cover physical or

accidental damage due to negligence or otherwise of staff


of PRTC. During the warranty period, if any defect is
observed on account of poor workmanship as well as
material, the Contractor will attend such defects within 7
days of issue of notice as per clause 16 of this agreement
or as per period mentioned in the notice which ever is
earlier, failing which actual expenditure incurred for repair
of such vehicles shall be recovered or the security in the
form of Bank Guarantee will be forfeited. Repetition of
continuous 3 such incidents/defects may lead to take action
for disqualification/black listing of the contractor.
(ii) The Contractor will have to attend the defects pointed out
during the warranty period free of cost at the operational
unit/s. thereafter the Bus Body Fabricator shall also obtain
a certificate from the Works Manager concerned and
submit the same to the General Manager PRTC in support
of having attended the work/defects. In case the Bus has
to be sent to the Contractors premises for repair or
rectification of defect, then cost of transit will be borne by
the Contractor which will also be deducted from the
Security Deposit.
(iii) If the reported defects are not removed or non functioning/
malfunctioning parts are not replaced within a period of 15
days of expiry of period in the notice given in the clause 16
of this agreement by the Bus Body Fabricator, 10% security
deposit of such buses shall be forfeited without giving any
further notice, in addition to the recovery of extra
expenditure incurred by the PRTC against removal of
defects, such extra amount shall be recovered out of total
security deposit of the Bus Body Fabricator.

The Bank Guarantee of the firm will be kept valid till


expiry of warranty period and production of "NO DEFECT
CERTIFICATE" from the operating units (Depots of PRTC)
concerned.
(iv) The PRTC may draw the random samples of material uses
in fabrication and get it tested from any recognized
laboratory from time to time. Any defects pointed out or
change in specification of above material by Authorized
agency shall be acceptable to both the parties. No extra
payment shall be made for such testing and will be
replaced free of cost by the Bus Body Fabricator.
(v) In case of failure of such samples during testing as per
given specifications the recovery shall be made or the part
may be rejected and will have to be replaced for all buses
fabricated by the Contractor. Security of the Bus Body
Fabricator will be forfeited and future delivery schedules for
supply will be cancelled or in case of deviations having
been made without prior approval of the authorized
representative of the PRTC, decision for reducing the cost
to the extent found necessary shall be taken by PRTC
which shall be final and binding on the Bus Body Fabricator.
20. The amount of damages, which the Contractor may become liable to
pay in pursuance of any clause of this agreement, may be deducted
from any bill of the Contractor in relation to this contract or from any
other amount due to him from the PRTC.
21. All disputes and differences arising out of or in any way touching or
concerning this agreement, whatsoever, shall be referred to the sole
arbitration of Chairman, PRTC acting as such at the time of
reference. There will be no objection to such appointment that the
arbitrator so appointed is a Government servant, and that he had

to deal with the matters to which this agreement servant might


have had expressed views on all or any of the matters in dispute or
difference. The award of such arbitrator shall be final and binding
on the parties to this agreement.
22. The Courts at Patiala only shall have the jurisdiction for the purpose
of this agreement.
23. In witness whereof the parties have executed this agreement on the
day first herein after mentioned.
24. INSPECTION:
Fabricator will inform PRTC on start of fabrication of the buses. PRTC
may depute its technical team for carrying out inspection at the
following stages:
i) Structure Stage
ii) Paneling Stage
iii) Final stage

25. During inspection any part of material being used for the fabrication
of the bus body can be sent to CIRT, Pune or any other Govt.
approved lab for sample testing by the inspection team. In case the
sample fails to meet the prescribed specifications, an amount equal to
10% of the cost of the failed item used in completed fabrication of
buses will be recovered from the firm prior to the sample report
received.
26.
However in case the Bus code is enforced or comes into
effect then the specifications as detailed above will remain
the same unless and until the code specifically specified for
particular sort of a specification in which case the
specification specified by the code will be implemented.

for any loss or damage to the chassis in question by whatever way it may

We hereby further declare that, we shall be responsible for proper
maintenance of batteries by "TRICKLE CHARGE" to maintain the batteries in
good and serviceable condition at our cost. We shall also be responsible for
the overall maintenance which will include upkeep of tyres with correct
pressure, exercising brakes, prevention against formation of rust on any
metal parts of the chassis, for the upkeep of rubberizes items and for proper
lubrications of the engine and chassis.

10. PVC handles shall be fitted on the top of each passenger seats.
11. Back of last six seats should be folding type so that it can be used as
sleeper for driver/conductor rest.
12. One 12 litre water tank (Rehbar) shall be provided in the Driver cabin.
13. Reflective tape: Front should be white, Rear should be Red and Sides
should be of Yellow colour (as per the CMVR).
14. Graphics:
a) Insignia at both sides.

size width of internal roof sheets (width means each joint of internal
roof should be rested on the center section of roof sticks).
18. Top quality Sikka flux shall be provided on the each and every joint
and each rivets of roof top to prevent water leakage.
19. Shower test shall be done in the presence of PRTC inspection team.
20. There shall be no water leakage from the window frames.
21. Seat number shall be written.
22. All the modifications required in the bus body (regarding the chassis
of EURO IV) will be amended by the bus owner to the body builder.
23. The front show structure and complete show will be as per P.R.T.C.
approved type.
24. The passenger bus seats should be of ARAI approved seats.
Note: If there is any variation in specification and drawing of PRTC with
AIS052 code in dimension then the material will be used as per the
approved code only.
