DEED OF SALE OF CERTIFICATE OF PUBLIC CONVENIENCE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Sale of Franchise made and executed by and between:
LOUIS A. MANZANO, of legal age, married, a Filipino citizen, and a resident of #141 L.
Torres Street, Middle Quezon Hill, Baguio City, hereinafter referred to as the VENDOR;
AND
Spouses GLENN D. LONOGAN and JANICE KAYLYN Y. LONOGAN, both of legal age,
Filipino citizens, and residents of #8-D Quisumbing Street, Trancoville, Baguio City, hereinafter
referred to as the VENDEES;
WITNESSETH
The herein VENDOR is the grantee of a Certificate of Public Convenience to operate a Taxi
Service within Baguio City to any point in the Cordillera Administrative Region, as
stated in the Confirmation/Certification of Case No. 2000-01-725 dated 08 June 2005.
NOW THEREFORE, for and in consideration of the amount of ONE HUNDRED FIFTY
THOUSAND PESOS (PhP150,000.00), Philippine currency, receipt of which is hereby
acknowledged and confessed from the VENDEE, the VENDOR hereby SELLS, TRANSFERS,
and CONVEYS unto the VENDEES, their heirs, assigns, and successors-in-interest the above-
described Certificate of Public Convenience, free from all liens and encumbrances whatsoever.
IN WITNESS WHEREOF, we have hereunto set our hands this 17th day of June 2008
in the City of Baguio, Philippines.
