1. Constantino Corporation decided to purchase a parcel of land known as Lot

no. 1 containing an area 1,000 sq.m. located Jaro, Iloilo City and covered by TCT No. T-
79544 from Besana Land Corporation. The Board of Directors authorized its President,
Alejandro Constantino, to act for and in behalf of the Corporation and sign the contract
by way of a Special Power of Attorney. Is the form of authorization given by the Board
correct? If yes, draft the appropriate SPA. If not, draft the appropriate form of
authorization.

2. Aila decided to purchase a parcel of land from Elvie. The parcel of land is
located at Lapaz, Iloilo City known as Lot no. 1 with an area of 5,000 sq.m. covered by
TCT No. 095-00001. The price is P10,000.00/sq.m. The parties agreed to the following
terms and conditions:

a. The Buyer shall pay a down payment equivalent to 20% of the total contract
price upon execution of the contract;
b. The balance shall be payable in ten (10) equal installments beginning July 1,
2018.
c. The capital gains tax shall be for the account of the seller while the
documentary stamps tax, transfer tax, registration and attorney’s fees shall be for the
account of the seller.

Draft the appropriate contract stating the above-terms and conditions and other
provisions you think are necessary.

3. Manuel is the true and registered owner of a parcel of land which is

particularly described as lot 5 block 10 located at Bankers Village, Tabuc Suba, Jaro
Iloilo City, covered by a Transfer Certificate of Title T-78933. Manuel wanted to grant
the use of his property to his friend Riza without any consideration or payment of rent,
for as long as the property is being used as an orphanage. Based on the following facts
draft a Deed of Grant of Usufructuary Rights.

4. Rodrigo Go wants to retain the services of your law office for his various legal
concerns. Draft a retainer agreement between your law office and Mr. Go.

5. Prepare the following:

a. Motion for Postponement of hearing.

b. Motion to withdraw as counsel.
c. Petition to fix and post bail.
d. Motion to reduce bail.
