Terms and conditions

Prosci's PCT Tool is a licensed product. Prosci's PCT Tool is protected by copyright laws and treaties, as well as other intellectual
property laws and treaties.

GRANT OF LICENSE

This license grants you a single-user license to use Prosci’s PCT Tool to support your project under a single user login. You are
permitted to share the site with others (by using the ‘invite’ function of the tool or by printing and distributing the Prosci PCT
Assessment and Prosci PCT Analysis documents. During the ‘beta’ period – February 7, 2007 to May 15, 2007; access to the site
is free and inviting other users is free. After the ‘beta’ period, Prosci will reexamine the tool and its application. This grant of
license does not extend past the ‘beta’ period.
Site licenses or multi-user licenses can be purchased to allow distribution or reproduction of materials for additional employees
throughout an organization. Contact Prosci for details at 970-203-9332.
If this application is used with another company or entity external to your organization, that entity or company must have their
own license.

COPYRIGHT
All title and intellectual property rights in and to Prosci's PCT Tool (including but not limited to any images, applications, and text),
the accompanying printed materials, and any copies of Prosci's PCT Tool, are owned by Prosci Research. No transfer of rights is
included with this license.
You agree to retain all copyright information on any of the documents, tools or content contained in Prosci’s PCT Tool – even if
you adapt the look and feel of the materials. You agree not to copy and make available any content from this tool onto another
tool or product, whether in paper or electronic format. You agree not to extract content for use in training materials or to create
derivative products for internal or external use.

EXPORT
You agree that you will not export Prosci's PCT Tool to any country, person, or entity subject to U.S. export restrictions. You
specifically agree not to export Prosci's PCT Tool to any country to which the U.S. has embargoed or restricted the export of
goods or services.

CUSTOMER REMEDIES
To the maximum extent permitted under applicable law, Prosci's entire liability and your exclusive remedy under this agreement
is, at Prosci's option, either (a) return of the price paid; or (b) repair or replacement of the product.

LIMITATION OF LIABILITY
Liability is limited, at the exclusive option of Prosci , to either (a) replacement of the Prosci's PCT Tool software or (b) correction
of defects in the software.

EXCLUSION OF LIABILITY/DAMAGES

Prosci will not in any circumstances be liable for any damages whatsoever associated with the use or misuse of Prosci's PCT
Tool (including, without limitation, damages for loss of business, business interruption, loss of business information or other
indirect or consequential loss) arising out of the use or inability to use Prosci's PCT Tool. Prosci's total liability under any
provision of this agreement is in any case limited to the amount actually paid by you for the product. This license agreement
represents the full agreement and takes the place of any other statements, written or verbal, related to the liability or warranty of
the product.

Leadership / Sponsorship
1 The change has an executive sponsor.
2 The executive sponsor has the necessary authority over the people, processes and systems to authorize and
fund the change.
3 The executive sponsor is willing and able to build a sponsorship coalition for the change, and is able to
manage resistance from other managers and supervisors.
4 The executive sponsor will actively and visibly participate with the project team throughout the entire project.

5 The executive sponsor will resolve issues and make decisions relating to the project schedule, scope and
resources.
6 The executive sponsor can build awareness of the need for the change (why the change is happening)
directly with employees.
7 The organization has a clearly defined vision and strategy.
8 This change is aligned with the strategy and vision for the organization.
9 Priorities have been set and communicated regarding this change and other competing initiatives.
10 The sponsor will visibly reinforce the change and celebrate successes with the team and the organization.

1 The change is clearly defined including what the change will look like and who is impacted by the change.
2 The project has a clearly defined scope.
3 The project has specific objectives that define success.
4 Project milestones have been identified and a project schedule has been created.
5 A project manager has been assigned to manage the project resources and tasks.
6 A work breakdown structure has been completed and deliverables have been identified.
7 Resources for the project team have been identified and acquired based on the work breakdown structure.

8 Periodic meetings are scheduled with the project team to track progress and resolve issues.
9 The executive sponsor is readily available to work on issues that impact dates, scope or resources.
10 The project plan has been integrated with the change management plan.

2 An assessment of the change and its impact on the organization has been completed.
