This offer covers the supply of electrical
equipment in accordance with the technical
part of the offer.
Generally, any supplies, engineering or
services not mentioned clearly in this offer are
excluded from our scope and responsibilities.
2. Validity period
This offer is open for acceptance until Two
weeks from its submission.
Should extension of validity is required beyond
this date, please contact us before the end of
validity period.
Beyond this date, the supplier is entitled to
review / modify / cancel the prices and / or
conditions of this offer.
3. Price
The total amount of this offer is: as mentioned
in clause # 14
This price is :
♦ valid for an order placed before the
end of the validity period.
♦ in Euro , currency of account and
payment.
♦ sales taxes excluded.
All taxes are excluded from this offer and are
explicitly at purchaser charge.

4. Payment conditions
4.1 Accounting and payment currency
EURO, which is abbreviated EUR, is the currency of
accounting and payment for the present offer.

4.2 Terms of payment
25% of the total contract value as advance
payment at time of order.
15% of each item value upon its delivery
60% After 60 Days from delivery by a
postponded check upon delivery
4.3 Mode of payment
Advance payment at time of order shall be
made by certified cheque or cash -
Final payment at time of delivery will be made
by certified cheque or cash accompanied with
all letters of guarantee issued for the project.

5. Contract coming into force
Contract comes into force after completion of
the following events:
♦ Official order duly received and accepted
by the supplier or contract signature by both
parties.
♦ Receipt by the supplier of the advance
payment as per term of paragraph 4.2.
If the contract is not into force within the
validity period, the supplier is entitled to
reconsider the prices and conditions of the
contract (see paragraph 2).
6. Documents and delivery conditions
6.1. General delivery conditions
Packing, unless otherwise specified, will be
according to the supplier standard packing
specification.
Delivery schedule and dates of deliveries are
settled upon coming into force of the contract
(see paragraph 5).
Once delivery is completed according to
agreed terms (see paragraph 6.3),
responsibilities of the supplier is passed over to
the purchaser.

6.2. Documents submittals
The supplier will provide the following
documents according to the following
schedule:
♦ Single line diagram: 10 working days
from date of coming into force of the contract.
♦ Front views and civil layout: 10
working days from date of coming into force
of the contract.
♦ Developed schematics: 20 working
days from date of coming into force of the
contract.
♦ Final approved drawings: 15 working
days from date of approval and final
comments.
♦ “As manufactured” drawings: after
acceptance of the supplies during the factory
inspection.
Approval, rejection and / or comments of these
documents by the purchaser should be within
20 working days from their submittals.
Equipment delivery is linked to documents
approval. Any delay in approval can induce
delay in delivery.
6.3. Equipment delivery conditions
The equipment will be delivered: Ex-work
(EXW) our factory (Badr City) in accordance
with 2000 edition of the INCOTERMS
published by the International Chamber of
Commerce.
In the event that the purchaser fails to take
possession of the equipment within a fifteen-
day period, the supplier shall arrange for
storage of the equipment at the purchaser’s
own risk and expenses (1% per week of
storage of the value of stored equipment).
At any case the storage shall not exceed 3
months otherwise the supplier shall have the
right to cancel the contract if the purchaser
does not draw his equipment after the above 3
months.
Also the supplier have the right to demand
back the L/G or the amount of L/G, and the
purchaser will be responsible to compensate
the supplier for any losses.

6.4. Delivery schedule
Partial inspections and deliveries could be
offered as agreed upon.
Factory acceptance tests, if required, shall take
place 4 months after developed schematics
approval (when applicable) or coming into
force of the contract (see paragraph 5)
whichever the latest.
All inspections and deliveries dates might be
delayed in case of major modifications to be
done on approved material and / or design.
7. Tests
7.1. Type tests
Our offer does not include type tests.
However, type test certificates carried out on
similar equipment may be supplied on request,
in one copy.
These tests may be carried out at the request of
the purchaser, if they have been the object of a
separate order, or an amendment of the present
order.
7.2. Routine tests
See the technical part of this tender.
7.3. Factory acceptance tests
The supplier will notify the purchaser in
writing 10 working days before the date set for
factory inspection tests in our factory.
Should purchaser representatives fail to take
inspection within a 10 days period from the
date set for inspection, a second reminder shall
be issued. Should purchaser representatives
still fail to come within a one month period
from the date set for inspection, the equipment
will be considered as duly accepted and the
supplier will be entitled to proceed with
packing and delivery. However, the supplier
will be entitled to use equipment and related
components for other orders. In that case, a
new delivery date must be negotiated between
supplier and purchaser.
In any case, should the inspection be delayed
for reasons outside supplier’s control, or the
duration of the inspection exceed 3 days, or
technical modifications be directed, an
extension of the delivery period will be
granted accordingly.

Necessary facilities for performing the
inspection as per IEC standards (test equipment
and personnel) will be made available at
supplier’s expenses, exclusive of the costs
incurred by the purchaser or his representatives.
8. Force majeure
8.1. Definition
The term “Force Majeure” means any cause
beyond the control of either party, which either
party could not foresee and / or reasonably
provide against and which prevents either from
performing duties under the contract.
8.2 Inclusions of Force Majeure
Force Majeure includes but is not limited to the
following:
♦ War, revolution, insurrection, or
hostilities (whether declared or not).
♦ Riot, civil commotion, civil war, or a
civil uprising.
♦ Earthquake, flood, tempest, hurricane,
lightning, or other natural disasters.
♦ Any fire of major proportions, or
explosions.
♦ Strikes, lockout, or other industrial
disturbance (other than among supplier’s
employees).
8.3. Consequences of Force Majeure
In the event that the performance of the contract is
delayed owing to a Force Majeure, either party
within 15 (fifteen) calendar days of the
commencement of any such delay, shall inform the
other party by a written notice there of including a
statement describing Force Majeure and its effect
upon the performance of the contract.
If the delay is excusable, purchaser and supplier,
within 10 (ten) days after receipt of such notice
shall consult action(s) to be taken.
In the event of a Force Majeure, supplier, unless
directed otherwise in writing by purchaser, shall
continue to undertake and perform the duties set
forth in the contract as far as reasonably practicable.
In case Force Majeure lasts continuously of at least
4 (four) months, then both parties shall meet to
consult and agree on necessary arrangement(s) for
the further implementation of the contract. In case
such further implementation is unforeseen and
impossible, then both parties shall arrange for the

9. Guarantee
9.1. Guarantee
Supplier’s equipment is guaranteed against any
defect in construction or operation arising from
faulty design, materials or workmanship of the
supplies in the scope of this offer, are
guaranteed for a period of 12 (twelve) months
from the date of delivery and at the latest 18
(eighteen) months from the date of notification
that the equipment is ready for delivery
whichever is earliest.
The above guarantee consists of repairing, if
possible, of the so recognised defective part of
material / equipment, or other wise,
replacement of defective part by the supplier at
its expenses within maximum 2 weeks.
9.2. Guarantee does not apply to :
Defects caused by or affected by either the
materials supplied by the purchaser or from a
design requested by the purchaser or any other
cause not attributable to the supplier.
Normal wears of units, parts and mechanisms.

Defects caused by lack of care, insufficient
inspection or maintenance, handling and / or
operation by unauthorised persons or improper
use of the equipment.
9.3. Liabilities
Supplier’s liability is limited to the obligations
thus defined and could not be bound to pay
compensation to the purchaser or any third
party for incurred prejudices such as personal
injury, damage to property or any other subject
not the matter subject of contract.
The purchaser shall notify the supplier, in
writing, of any defects that have appeared and
shall give to the supplier every opportunity to
inspect and remedy them.
The guarantee ceases if the purchaser or a third
party has, under its own initiative, undertaken
modifications or repairs on equipment without
the written consent of the supplier.

‫ﻳﻨﺘﻬﻰ ﺍﻟﻀﻤﺎﻥ ﻓﻲ ﺣﺎﻟﺔ ﻗﻴﺎﻡ ﺟﻬﺔ ﺍﻟﺸﺮﺍء ﺃﻭ ﺃﻱ‬
‫ﻃﺮﻑ ﺛﺎﻟﺚ ﺑﻤﺒﺎﺩﺭﺓ ﺧﺎﺻﺔ ﻟﻌﻤﻞ ﺗﻌﺪﻳﻼﺕ ﺃﻭ ﺇﺟﺮﺍء‬
‫ﺇﺻﻼﺣﺎﺕ ﻟﻠﻤﻌﺪﺍﺕ ﺑﻤﻌﺮﻓﺘﻪ ﺩﻭﻥ ﻣﻮﺍﻓﻘﺔ ﻛﺘﺎﺑﻴﺔ ﻣﻦ‬

10. Transfer of ownership
The ownership of the equipment shall be
transferred to purchaser once total payment of
the contractual price of the equipment has been
fully settled by the purchaser to the supplier.
In any case, when the delivered equipment is
not fully paid, the supplier shall be entitled to
claim from the purchaser, at the purchaser’s
own expenses, the return such equipment to
supplier’s factory at Badr city, Egypt.
11. Cancellation of contract
Should the purchaser cancel the order after
signature during preparation of the supplier in
executing the contract (studies, purchasing
materials, etc..) the purchaser pays to supplier
all expenses and compensations for his losses.
Should the purchaser cancel the order after
supplier starts manufacturing, the supplier
will have the right to hold the down
payment, also the supplier will have the
right to ask the purchaser for compensation
for his losses.
12. Applicable law
In case any conflict raises between both
parties, they shall dedicate all their
appropriate means to settle the issue.
In case these attempts fails, Egyptian Laws
shall be applied in front of Cairo
concerned Courts.
