The Register of Shareholders and the Share Transfer Register of the Bank will remain closed from Saturday, the
June 23, 2018 to Thursday, the June 28, 2018 (both days inclusive) for the purpose of Annual General Meeting
and for ascertaining the entitlement of shareholders for payment of dividend declared, if any, at the Annual
General Meeting.

5. PAYMENT OF DIVIDEND:
Payment of dividend as approved by the shareholders shall be paid to those shareholders whose names appear
on the Register of Shareholders of the Bank as on Friday, the June 22, 2018 after considering share transfer
requests received till that date and in respect of shareholders holding their shares in dematerialized form as per
the list provided to the Bank by the Depositories as on Friday, the June 22, 2018 and the dividend warrants shall
be mailed / credited within 30 days from the date of the Annual General Meeting.
6. TRANSFERS:

7. DETAILS OF BANK ACCOUNT IN DIVIDEND WARRANTS / NATIONAL ELECTRONIC FUNDS TRANSFER
FACILITY (NEFT) / NATIONAL ELECTRONIC CLEARING SERVICE (NECS):
The Bank will credit the dividend amounts to the bank accounts of the shareholders through National Electronic
Funds Transfer (NEFT) / National Electronic Clearing Service (NECS) facility, wherever possible. The
shareholders, who are holding the shares in electronic form, are, therefore, requested to inform their
Depository Participants about their latest change of address and bank mandate details (including new
account number, if any, bank's MICR and IFS Code numbers) immediately to ensure prompt crediting of the
dividend amounts through NEFT/NECS. The shareholders who are holding the shares in demat form may
approach their DEPOSITORY PARTICIPANTS ONLY for necessary action in this connection.
The Shareholders who are holding their shares in physical form should furnish / update their Bank Mandate
details to the Investor Services Cell of the Bank or to the Share Transfer Agent of the Bank at the address given
in Para (8) below on or before Friday, the June 22, 2018.
The Bank will issue dividend warrants if and only if, necessary information required for making payment in
electronic form is not available or payment instructions have failed or have been rejected by the Bankers. In
such cases, the Bank will mandatorily print the bank account details of the investors on such dividend warrants.
In case no bank details are available, the Bank may be constrained not to dispatch the dividend warrant to the
shareholders.

9. VOTING RIGHTS:
In terms of sub-section (2E) of Section 3 of the Banking Companies (Acquisition and Transfer of Undertakings)
Act, 1970, no shareholder of the corresponding new Bank, other than the Central Government, shall be entitled
to exercise voting rights in respect of any shares held by him / her in excess of ten per cent of the total voting
rights of all the shareholders of the Bank.
Subject to the above, each shareholder who has been registered as a shareholder on the cut-off date Friday, the
June 22, 2018 will be entitled to participate and vote in the e-voting or poll at the Annual General Meeting and
shall have one vote for each share held by him / her. If any share stands in the names of two or more persons,
the person first named in the register shall, as regards voting, be deemed to be the sole holder thereof. Thus, if
shares are in the name of joint holders, then first named person is only entitled to attend the meeting and is only
eligible to vote in the meeting.

holding shares in demat form will now reach 'Password Change' menu wherein they are required to
mandatorily change their login password in the new password field. The new password has to be minimum
eight characters consisting of at least one upper case (A-Z), one lower case (a-z), one numeric value (0-9)
and a special character (@ # $ %& *). It is strongly recommended not to share your password with any other
person and take utmost care to keep your password confidential. Kindly note that this changed password is
also to be used by the Demat holders for voting for resolutions for the Company or any other Company on
which they are eligible to vote, provided that Company opts for e-voting through CDSL platform.

 ix) On the voting page, you will see Resolution Description and against the same the option “YES/NO” for
voting. Select the option YES or NO as desired. The option YES implies that you assent to the
Resolution and option NO implies that you dissent to the Resolution.

x) Click on the “Resolutions File Link” if you wish to view the entire Resolutions.

xi) After selecting the resolution you have decided to vote on, click on “SUBMIT”. A confirmation box
will be displayed. If you wish to confirm your vote, click on “OK”, else to change your vote, click on
“CANCEL” and accordingly modify your vote.

xii) Once you “CONFIRM” your vote on the resolution, you will not be allowed to modify your vote.

(B) In case of members receiving the physical copy of Notice of AGM [for members whose e-mail IDs are not
registered with the company/ depository participant(s) or requesting physical copy]:

(C) Institutional shareholders (i.e. other than individuals, HUF, NRI etc.) are required to log on to
https://www.evotingindia.com and register themselves, link their account which they wish to vote for and
then cast their vote. They should upload a scanned copy of the Board Resolution in PDF format in the system for
the scrutinizer to verify the vote.

(D) The cut-off date to ascertain the shareholders eligible to participate in the e-Voting / poll process in the Annual
General Meeting is Friday, the June 22, 2018. The voting period starts from 10.00 a.m. on Monday, the
June 25, 2018 and ends at 5.00 p.m on Wednesday, the June 27, 2018. During this period, shareholders of the
Bank, holding shares either in physical form or in dematerialized form, as on the cut-off date of June 22, 2018,
may cast their vote electronically. The e-voting module shall be disabled by CDSL for voting thereafter. Once the
vote on a resolution is cast by the shareholder, the shareholder shall not be allowed to change it subsequently.

(“FAQs”) and e-Voting manual available at www.evotingindia.com under help section or send an email to

12. Voting at the Meeting:

The voting for the agenda item shall be done by e-voting or by voting and not by show of hands. Those who
have not exercised the option of e-voting shall be entitled to participate and vote at the Poll to be conducted at
the venue of the Annual General Meeting on the date of the meeting.

After the agenda items are discussed, the Chairman will order voting in respect of the agenda
items. Voting will be conducted and supervised by Scrutinizers to be appointed for the purpose.
The number of votes will be equivalent to the number of shares held by them as on the cut-off date
i.e., Friday, the June 22, 2018.

The Shareholders may exercise their right of vote by tick marking as (ü) against “FOR” or “AGAINST” as his
choice may be, on the Agenda item(s) in the Ballot Paper and drop the same in the Ballot Box(es) to be kept at
the meeting hall for the purpose.

The results of the voting aggregated with the results of e-Voting will be announced by the Bank in its website and
also will be informed to the Stock Exchanges.
