General Service Agreement

We as the Vendor wish to promote the workshops offered by the Organiser on our platform
at: athenahm.com.

Vendor and Host Responsibilities: Host must maintain a current business license or
certificate (or govt. equivalent) on file and provide a copy, with Tax ID (if relevant) to the
Vendor and register as a sole proprietor (personal or company registration) with SSM. Host
must apply for a subscription account at athenahm.com. Host is not involved in any
transaction between the Vendor and the Organiser.

Vendor and Organiser Responsibilities: Organiser must apply for a subscription account at
athenahm.com. Organiser will be responsible for providing exemplary customer service to
all actual and potential workshop attendees, including taking reasonable measures to
respond to all inquiries. Organiser is not involved in any transaction between the Vendor
and the Host.

Workshop Slots and Timing: Wednesday: 10.30am to 12pm. Saturday: 1.00pm to 2.30pm.

Vendor Liability: Vendor is in no way responsible or liable for the success of the Organiser's
listing at athenahm.com, the accuracy, or legality of its content and operation. Further, the
Organiser has independently evaluated the desirability of participating in the Vendor's
Program and is not relying on any representation, guarantee or statement other than that
set forth in this agreement.

Right to Modify: Vendor retains the right to modify this agreement at any time. Changes
will not be retroactive.

Severability: If any provisions or sections of this agreement shall be deemed unlawful, void
or for any reason unenforceable, then that provision or section shall be deemed severed
from these terms and conditions and shall not affect the validity and enforceability of any
remaining provisions.

Legal Bearing of this Agreement: Subject to the Laws of Malaysia only and enforceable in
Malaysia only.

Compensation and Fees:

Workshop Fee - Calculation is based on the formula as per below:

Total Material Cost: RMxx per pax
Instructor Fee: RM30 per pax
Administrative Fee: RM10 per pax
Host and Venue Fee: RM20 per pax
Total Cost: RMxx (Material Cost) + RM60 (Fixed Fees)

Timing and Minimum Compensation to Producer and Beneficiary: Vendor will allocate the
appropriate portion of funds received from the workshop attendees to the Host and
Organiser on the 14th and the 28th of each calendar month as per the conditions below:

1) Cutoff date for payments on the 14th of each calendar month: Last day of previous
month
2) Cutoff date for payments on the 28th of each calendar month: 14th day of current
month

Minimum balance required in the account from generated sales to allow for payout is
RM50. All unpaid balances not fulfilling the minimum payout criteria will be carried forward
to the next available payment date.

Host and Organiser Contract Duration and Terms:

Valid for 1 year from the signing and acceptance date. Auto-renewable subject to the sole
discretion of Athena HM Sdn Bhd.

IN WITNESS WHEREOF, Vendor, Host and Organiser have caused this agreement to be
executed by their duly authorised officers to be effective as of the date above mentioned.
