UNIVERSITY LICENSE AGREEMENT AND QUESTIONNAIRE

(WORLDWIDE EXCEPT AMERICAS)

PERPETUAL UNIVERSITY LICENSE AGREEMENT

This Agreement is entered this 22nd day of August, 2018 (―Effective Date‖) by and
between Keysight Technologies, Inc., through its EEsof EDA division, with offices located
at 1400 Fountaingrove Parkway, Santa Rosa, CA 95403 ("Keysight"); and SASTRA
Deemed University (―University‖), located at Tirumalaisamudram, Thanjavur-613401,
India .

The parties agree as follows:

RECITALS

1. Keysight’s EEsof EDA division develops and markets computer-aided engineering


software.
2. University has a curriculum designed to educate communication systems and circuit
engineers, and University uses computer-aided engineering software in the course of
teaching its students.
3. Pursuant to the terms below, University wishes to use Keysight’s software for
instructional and education purposes, and Keysight, through its university education
program, wishes to encourage the development of microwave technology by licensing
its software to University.

AGREEMENT

2. LICENSE GRANT. Upon University’s payment of the applicable license and support
fees, Keysight grants to University a license to use Keysight EEsof EDA software
(―Software‖). ―Use‖ means to install, store, display, execute and use the Software
solely for the purpose of teaching communication systems design and circuit
engineering techniques to students and faculty of the University.

3. RESTRICTIONS. University will not permit anyone other than its employees,
faculty and students whose duties require such access or use, to have access to, view
the operations of, or otherwise use the Software, or to use any information learned or
observed during use of the Software. University may make copies or adaptations of the
Software only for archival purposes or only when copying or adaptation is an essential
step in the authorized use of the Software. University will reproduce all copyright
notices in the original Software on all permitted copies or adaptations. Use of the
Software to perform revenue-generating services or to provide consulting services to
any third party, by individuals or University staff on their own behalf or for industry or
special government-funded programs, is strictly prohibited. Except as expressly
provided herein, University may not copy, modify or translate the Software or disable
any of its features. The Software must remain on University property, and may not be
copied onto any public or distributed network or service bureau. In addition,
University may not lease, rent or sublicense the Software without Keysight's prior
written consent.
4. LICENSE FEE AND UPGRADES. The University agrees to pay the yearly support
fee as set forth in the Keysight Price List and to make best efforts to renew this support
while the Software is in use in the University. For this fee, Keysight will provide
upgrades, updates and e-mail technical support for the Software to University.
Software upgrades and updates are provided if and when available.

5. NO DISASSEMBLY. University will not disassemble, decompile or decrypt the


Software without Keysight's prior written consent. In some jurisdictions, Keysight's
consent may not be required for limited disassembly, decompilation or decryption.
Upon request, University will provide Keysight with reasonably detailed information
regarding any such permitted disassembly, decompilation or decryption.

6. OWNERSHIP. The Software is owned and copyrighted by Keysight or its third party
suppliers. University’s license confers no title to, or ownership in, the Software and is
not a sale of any rights in the Software. Keysight's third party suppliers may protect
their rights in the event of any violation of this Agreement. Any comments,
suggestions, improvements or other communications from University to Keysight
regarding the Software or any related materials or documentation provided by Keysight
(collectively, ―Feedback‖) will become the sole property of Keysight. Keysight may
use the Feedback and practice the intellectual property relating thereto without
compensation or attribution. University will use reasonable efforts to regularly
provide Keysight with Feedback, which University may publish with Keysight’s prior
written consent.

7. WARRANTY DISCLAIMER. THE SOFTWARE, AND ALL RELATED


DOCUMENTATION, MATERIALS AND SERVICES, ARE PROVIDED AS IS,
WITHOUT ANY WARRANTIES WHATSOEVER. KEYSIGHT EXPRESSLY
DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS AND IMPLIED,
INCLUDING AND WITHOUT LIMITATION ANY WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-
INFRINGEMENT.

8. LIMITATION OF LIABILITY. IN NO EVENT WILL: a) KEYSIGHT BE LIABLE


FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL
DAMAGES, INCLUDING LOST PROFITS AND COST OF COVER, WHETHER
BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, ARISING
OUT OF THIS AGREEMENT; AND b) KEYSIGHT’S TOTAL LIABILITY
EXCEED THE TOTAL FEES PAID TO KEYSIGHT UNDER THIS AGREEMENT.

9. TERM AND TERMINATION. Keysight may terminate this Agreement by


providing notice to University, as follows: a) for failure to comply with any of the
terms of this Agreement; or b) if Keysight, in its discretion, terminates its university
education program under which the licenses provided herein are offered. Upon
termination or expiration of this Agreement, University will promptly destroy the
Software, and related materials and documentation, together with all copies,
adaptations and merged portions in any form.

10. ASSIGNMENT. Neither this Agreement nor any part hereof may be assigned by
University without Keysight’s prior written consent, and any attempted assignment is
void.
11. NOTICES. Any notice, request or statement hereunder is deemed to be sufficiently
given or rendered to the other party if sent to the addresses shown at the beginning of
this Agreement or to such other address or persons a party designates in writing.

12. EXPORT RESTRICTIONS. The Software may be subject to export control laws,
including the U.S. Export Administration Regulations and other export laws and
regulations of other countries. University agrees that it will not export or re-export the
Software or any copy or adaptation in violation of any applicable laws or regulations.
University certifies that no users of the Software are on the U.S. Department of
Commerce’s Denied Persons List, the U.S. Department of Treasury’s Specially
Designated Nationals list or other government list prohibiting them from receiving the
Software.

13. U.S. GOVERNMENT RESTRICTED RIGHTS. Software and technical data rights
granted to the federal government herein includes only those rights customarily
provided to end user customers. Keysight provides this customary commercial license
in software and technical data pursuant to FAR 12.211 (Technical Data) and 12.212
(Computer Software) and, for the Department of Defense, DFARS 252.227-7015
(Technical Data – Commercial Items) and DFARS 227.7202-3 (Rights in Commercial
Computer Software or Computer Software Documentation).

14. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT. This


Agreement will be governed in all respects by the laws of the state of California and of
the United States without reference to any choice of laws provisions. The parties
expressly consent and submit to the exclusive jurisdiction of the courts of California,
and stipulate that venue will be in Santa Clara County for the adjudication or
disposition of any claim, action or dispute arising out of or related to this Agreement.
If any provision in this Agreement is held invalid or unenforceable by a body of
competent jurisdiction, such provision will be construed, limited or, if necessary,
severed to the extent necessary to eliminate such invalidity or unenforceability. This
Agreement comprises the entire understanding between the parties with respect to its
subject matters and supersedes any previous communications, representations, or
agreements, whether oral or written. For purposes of construction, this Agreement will
be deemed to have been drafted by both parties. No modification of this Agreement
will be binding on either party unless in writing and signed by an authorized
representative of each party.

1. Microwave/RF Engineering/Communication Systems Design
Curriculum

The department of Electronics and Communications Engineering has the specialized


laboratories that actively support the academic and research requirements. Students start
with the basics of engineering in the first year and later they get into the core with basic
Electromagnetics and Analog modulation & Systems. Then they are exposed to antenna
and wave propagation, Digital Communications, Wireless Communications, Microwave
engineering etc. The theory courses are well supported by Communication Laboratory,
Microwave Laboratory, Fibre Optics Laboratory, Digital Signal Processing Laboratory,
Microprocessor and Microcontroller Laboratory, SASTRA – ALTERA FPGA
Laboratory, Nanodevices & Sensor Laboratory.

8. ADS & GoldenGate Premier Requirements


"Premier" licenses will only be provided to those universities that have, or within 12 months of
approval will have, a Web site featuring the software that Keysight EEsof EDA can link to its site.
The university's Web site should include some, but not necessarily all, of the following: lab
examples, developed models (device, passive, behavioral, package, etc.), built application
examples with both simulated and measured data, technical papers referencing the software and
how it was applied, and product or application customizations or extensions.

If the Web site currently exists, then enter the URL where indicated below; if the Web site does
not yet exist then the URL must be submitted to the contact point in Section 10 below within 12
months of approval.
