TERMS AND CONDITIONS OF SALE BY TENDER
1. Interested parties are invited to submit their offers using the Tender Forms Part I, Part II
and Part III (“Tender Form”) enclosed for the purchase of the respective properties.
3. Tenderers are advised to conduct their own searches of the respective properties
and to inspect the respective properties before making any offers.
4. The Tender Form contained in the Tender Package must be used in the tender
submission.
5. Interested tenderers shall also include with their Tender Forms, Bank Drafts or Cashier
Orders for an amount equivalent to 2% of the offer sum made in favour of CIMB
Group Holdings Berhad (the owner), as a form of earnest money. Tender Form
received without the earnest money shall be rejected.
6. All Tender Forms must be received on or before the Closing Date. The owner reserves
the right to reject any Tender Form which is received after the Closing Date.
8. The owner reserves the right not to accept any offer and is under no obligation to
accept the highest or any offer for any property or to provide any explanation for its
decisions.
9. Registered real estate agents are allowed to submit tenders on behalf of their clients
and commissions shall be payable on success basis only i.e. the tender offer is
accepted subject to terms and conditions to be determined by the owner.
10. Upon a successful offer, the owner shall treat the earnest money paid by the
successful tenderer as being part payment towards the Purchase Price of the
property.
11. The successful tenderer shall be required to execute a Sale and Purchase
Agreement on terms acceptable to the owner within fourteen (14) days of receiving
the fair copy from the appointed owner’s Solicitors. The earnest money paid during
submission of the Tender Form shall form part of the Deposit. The successful tenderer
is to pay a sum equivalent to 8% of the offer sum being the balance of the Deposit
upon returning the duly executed Sale and Purchase Agreement. The balance

Purchase Price shall be paid in accordance with the terms contained in the Sale
and Purchase Agreement.
12. In the event the successful tenderer fails to execute the Sale and Purchase
Agreement within the period stipulated above, the earnest money shall be forfeited
by the owner.
13. The owner shall return the Bank Draft/Cashiers Order received from an unsuccessful
tenderer free of interest within 90 days from the Closing Date of the tender.
14. Position of the property shown in the plan, the measurements, boundaries and area
of the same if given are believed but not guaranteed to be accurate.
15. The owner shall deliver the property (Land and Building excluding all movable
features and fittings subject to the owner’s discretion) on the date of delivery of
vacant possession stated in the Sale and Purchase Agreement on an as is where is
basis.
16. No error, misstatement or omission as to the description of the property shall annul
the sale of the property nor be the subject of any claim for any compensation
whatsoever.
17. By submitting this tender, you consent to the owner processing and disclosing your
personal data in accordance with the owner’s privacy notice which can be found
at

18. None of the directors, agents of the tenderer or the spouses, brothers, sisters, parents,
children (including step and adopted children) or the spouses of the children of such
directors, agents, shall in any way connected with the owner in accordance with
the Legal Requirements. “Legal Requirements” means any laws or any directives,
guidelines, circulars, notes, directions, requests, requirements, orders, rules, rulings
and/or regulations (in each case, whether or not having the force of law) of any
governmental and/or regulatory authority and/or other persons or body having
authority or jurisdiction over the tenderer and the owner.
