CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Lease is made, entered and executed by and


between

____________________ of legal age, Filipino citizen, and


resident of ___________________________ hereinafter referred to
as the LESSOR;

and

_________________________, with address at


____________________ hereinafter referred to as the LESSEE;

WITNESSETH:

WHEREAS, the LESEE intends to lease an office space particularly


described below:

WHEREAS, the LESEE is intends to lease an office space located


at _________________;

WHEREAS, the LESSOR is the absolute owner of a parcel of land


including all improvements thereon;

WHEREAS, the LESSOR has agreed to lease as it hereby leases unto


said LESSEE and the latter has agreed as it hereby agreed to
lease the aforesaid portion of the building, subject to the
terms and conditions hereinafter set forth.

NOW, THEREFORE, upon the foregoing premises and the covenant


herein stated, the parties agree and bind themselves as follows
that:

1. PURPOSES: The portion of the building leased shall be used


exclusively by the LESSEE for ____________purposes only and
shall not be diverted to other uses. It is hereby expressly
agreed that if at any time the premises are used for other
purposes, the LESSOR shall have the right to rescind the
contract without prejudice to its other rights under the law
and this contract.

2. SUB-LEASE: The LESSEE shall not directly or indirectly


sublet, allow or permit the leased premises to be occupied in
whole or in part by any person, form or corporation, neither
shall the LESSEE assign its rights hereunder to any other
person or entity and no right of interest thereto or therein
shall be conferred on or vested in anyone by the LESSEE
without the LESSOR’S written approval.

3. TERMS OF LEASE: The term of this contract shall be by month to


month basis and the LESSE shall immediately vacate the leased
premises upon demand, written or otherwise, by the LESSOR.

4. RENTAL: The monthly rental for the leased property shall be


___________________, which shall be paid by the LESSEE to the
LESSOR.
The monthly rentals shall be payable on or before every ____
day of each month without necessity of demand.

3. PADLOCKING/REPOSESSION: In case of non-payment of rental for


one (1) month or any violation of the terms and conditions of
this contract, the LESSOR shall have the option to have
PREMISES PADLOCKED or in any manner prohibit the LESSOR to
enter the premises without prior notice and any court action.
The LESSEE hereby gives his consent to said padlocking and any
manner or act of prohibiting it or any of its representatives
including its employees, if any, and waives any claim he might
have arising from the said act.

Upon failure of the Lessee to pay the monthly rental or to


comply with any of the terms and conditions of this lease, as
well as such other terms and conditions which may be imposed
by the Lessor prior to and/or upon renewal of this lease
agreement, then the Lessor shall have the right, upon five
(5) days written notice to the Lessee or in his absence, upon
written notice posted at the entrance of the premises leased,
to enter and take possession of the said premises holding in
his trust and custody and such possessions and belongings of
the Lessee found therein after an inventory of the same in the
presence of a witness, all these acts being hereby agreed to
by the Lessee as tantamount to his voluntary vacation of the
leased premises without the necessity of suit in court.

a. The LESSEE shall not make any alteration, additions, repairs


or in any case introduce any improvement on the leased
property without first obtaining a written approval from the
LESSOR. Provided, that this shall only pertain to such things
that cannot be removed without causing substantial and
irreparable damage to the leased premises. Provided further,
that any expenses incurred shall not be reimbursed by the
LESSOR. Provided finally, that the tenant shall not destroy
the integrity of any of the walls of the unit by inserting,
altering, or introducing any poster, wirings, etc.;

b. The LESSOR or his representatives shall be allowed to enter,


visit, or inspect the leased premises at any time and to make
any major repairs;

c. Any violation of this provision shall be a ground of


terminating this contract with rights of forfeiture as
provided elsewhere in this contract;

4. TAXES: Real Estate Taxes on the leased premises shall be borne


by the LESSOR. All other taxes/licenses/permits in connection
with the business of the LESSEE shall be on its account;

5. EXPIRATION OF LEASE: At the expiration of the term of this


lease or cancellation thereof, as herein provided, the LESSEE
will promptly deliver to the LESSOR the leased premises in
good and tenable condition as the same is now. Non-compliance
with the terms of this clause by the LESSEE will give the
LESSOR the right, at the latter’s option, to refuse to accept
the delivery of the premises and compel the LESSEE to pay rent
therefrom at the same rate plus Twenty Five (25) % thereof as
penalty until the LESSEE shall have complied with the terms
hereof. The same penalty shall be imposed in case the LESSEE
fails to leave the premises after the expiration of this
Contract of Lease or termination for any reason whatsoever.

6. JUDICIAL RELIEF: Should any one of the parties herein be


compelled to seek judicial relief against the other, the
losing party shall pay an amount of One Hundred (100) % of the
amount claimed in the complaint as attorney’s fees which shall
in no case be less than P50,000.00 pesos in addition to other
cost and damages which the said party may be entitled to under
the law.

The venue for any action arising from this contract shall
be in the proper court in the City of San Fernando La Union
only.

7. SEPARABILITY CLAUSE: If any of the provisions herein contained


is declared contrary to law, the same shall not affect any
provisions that are legal and the contract will subsist.

mentioned parties and their witnesses, with their ID Nos.
indicated below their names, known to me and to made known to be
the same persons who executed the foregoing instrument and they
acknowledged to me the same is their free and voluntary act and
deed.

This instrument refers to a contract of lease which


consists of three (3) pages including this page on which the
acknowledgement is written and signed by the parties on the left
hand margin of each and every page hereof.
