MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENT:

This Memorandum of Agreement is made and entered into by and between:

Dr. Junn C. Dizon in behalf of GRAY LIONS CLUB with principal

office address at 2nd floor PNB Buliding Mabini Avenue Baguio City

-and-

Longlong Elementary School, a public elementary school under

supervision of Department of Education Republic of the Philippines, located at
Longlong Benguet Road La Trinidad, Benguet, represented herein by its
Principal, Ms. Regina Sarmiento,

Witnesseth:

WHEREAS, Dr. Junn C. Dizon in BEHALF OF GRAY LIONS CLUB is

willing to support the project on the Construction of School Amphitheater.

WHEREAS, GRAY LIONS CLUB will gather funds and provide assistance
to Longlong Elementary School in constructing an Amphitheater.

WHEREAS, Ms. Regina Sarmiento is duly empowered to enter into, sign

and execute this Memorandum of Agreement in behalf of Longlong Elementary
School

NOW, THEREFORE, in consideration of the above premises, the parties

mutually agree on the following:

Article 1
TITLE OF THE PROJECT

The project is entitled “Construction of School Amphiteater”

Article 2
PROJECT

Section 1. Project Monitoring. – GRAY LIONS CLUB in cooperation with

Dr. Junn C. Dizon shall implement and supervise the project.

 Section 2. Modification of the construction project. No modification of the
PROJECT or any deviation in the implementation of the same different from that as
agreed upon shall be allowed without the written consent of the parties Dr. Junn C.
Dizon and Ms. Regina Sarmiento. Modification of any part of the project shall be
contained in an Amended Project Proposal upon signing its conformity thereto by
both parties.

Section 3. Assignment of rights. – No part of the project including the rights

thereto maybe transferred or assigned by the GRAY LIONS CLUB nor shall any part
of the project be subcontracted without the written consent of Dr. Junn C. Dizon.

Article 3
FUNDING, FINANCIAL RECORDS
& REPORTS

Section 1. Schedule of fund releases. – The budget for the project shall be
released upon consent and approval by Dr. Junn C. Dizon in behalf of the GRAY
LIONS CLUB.

Section 2. Financial records. – Dr. Junn C. Dizon shall account for funds
provided under this Agreement and shall keep and maintain financial records in
accordance with generally accepted accounting principles and practices.

Article 4
PROJECT MANAGEMENT, IMPLEMENTATION,
MONITORING & EVALUATION

Section 1. Project Management – GRAY LIONS CLUB shall provide an

adequate and efficient administrative support and management system necessary for
the successful implementation of the project. It shall likewise be responsible for the
disbursement and accounting of project funds.

Section 2. Labor laws and torts. – No employer-employee relationship shall

exist between Dr. Junn C. Dizon in behalf of GRAY LIONS CLUB and the
personnel hired by Longlong Elementary School or by Ms. Regina Sarmiento for
the project.

Section 3. Project implementation. – The GRAY LIONS CLUB shall be

responsible for the orderly, systematic and timely implementation of the project.

 Section 4. Monitoring. – GRAY LIONS CLUB shall regularly monitor the
progress of the project. Any unforeseen changes in conditions that affected the
implementation of the project shall be recorded and reported immediately to Dr. Junn
C. Dizon.

Dr. Junn C. Dizon shall likewise keep track of the progress of the project and
for this purpose, shall, from time to time, send its representative/s for field visits and
inspection.

Article 5
COMMON PROVISIONS

Section 1. Effectivity. – This Agreement shall take effect upon signing thereof
and receipt by the schools representative Ms. Regina Sarmiento of a NOTICE TO
PROCEED with the implementation of the project.

In WITNESS WHEREOF, the parties hereto have affixed their respective
