Agreement

This Agreement (Hereinafter referred to as AGREEMENT) is made on (Date), between MANN

CAREER CONSULTANT (Herein after referred to as Company), B/11 Ayojan Flats, Nr. Dharnidhar
Derasar, Paldi, Ahmedabad -380007 and

In consideration of the Terms and Conditions hereinafter set forth, The Company and the Client
agree as follows:

1. General Terms

a. The Company would refer suitable candidates based on the requirements and
specifications given by the Client from time to time for various skill sets and levels.
b. The Company would carry out the preliminary screening of candidates as per the
process of recruitment against the requirements and refers only those candidates who fulfill
the minimum criterion.
c. The Company would ensure that the candidates would be available for the telephonic
interview/meeting on the date and time specified by Client.
d. The Company may perform reference checks of a selected candidate, as required by
the client company.
e. The Company would add value by motivating short listed candidates to join the
company at earliest possible joining date.
f. Any resume/candidate, which has been sent by the Company, & approved by the
company, would be considered through the Company, if recruited within next twelve
months.

2. Professional Charges

a. The Company would charge a Professional fees @ 6.33% of candidate’s annual CTC. & for
Middle Management 9.24% of annual CTC.
b. Service Tax (or any other incidental tax) payable to the Government would be charged by
the Company and would be paid by the Client.

3. Invoicing

a. The Company will invoice the Client immediately on selection of the candidate. Payment to The
Company will be made after 30days of the date of joining of the candidate.

a. In the event of a resignation by a candidate within a Three months period of joining, The
Company shall provide a replacement, free of cost, on the following condition/s :

 If the resignation is within 3 months of joining, the replacement would be made at the
earliest (15 days to 30 days) from the date of the candidate’s resigning.
 On completion of any particular project/downsizing/termination from your side and the
services of the candidate are terminated, The Company would not provide any free replacement and
payment would be made as agreed.

5. Feedback

a. The feedback on the resumes forwarded to you will be provided to us within 2 days of receiving
the same by your side via phone/email etc. including reasons for short listing the candidates as well as for
rejecting them.
b. We may not arrange the interviews for any candidate, where short listing has not been
communicated to us, within a week.

6. Non Solicitation - The Company will not solicit the client’s immediate/current employees of the
client.

7. Termination
a. This agreement shall be deemed terminated by the Client if The Company does not receive
payment in time. In other circumstances the Client may terminate this agreement by giving notice in
writing to The Company. Termination will take effect on acknowledgment of receipt by The Company of
such notice. The notice of termination, which must include all references, may be sent by facsimile,
regular mail or hand delivery.
b. The Company may terminate this agreement immediately without notice should the
Customer is in breach of this agreement.

8. Non Exclusiveness The Company understands that Client engages the company on non exclusive
basis and client may engage the other staffing solution company.

9. Jurisdiction
a. Any dispute (if arises) would only be subjected to Ahmedabad’s Jurisdiction only.

stipulated in the service agreement.
