Niagara Association of REALTORS® Lockbox Policy

SentriLock™ is the property of the Association.

1. Definitions:

(a) “Association” means the Niagara Association of REALTORS®.

(b) “SentriLock™ System” means the Bluetooth® REALTOR® Lockbox, SentriCard® and SentriCard® Reader,
SentriConnect and SentriSmart.

(c) “Electronic Lockbox” means Bluetooth® REALTOR® Lockbox.

(d) “SentriCard®” means the SentriLock™ SentriCard®.

(e) “Cardholder” means any Association Member or individual authorized by the Association to access the SentriLock™
System and who has executed the Agreement.

(f) “Confirmation” means agreement between Listing Brokerage and Co-Operating Brokerage.

(g) “Agreement” is the SentriLock™ System Agreement.

2. Policies

The policies governing the SentriLock™ System are as follows:

(a) A Cardholder must execute the Agreement in order to become a Cardholder. Upon execution by the Cardholder of
the Agreement, the Cardholder agrees to all the terms and conditions of said Agreement and these
Policies/Regulations. Violation of any such terms and conditions may constitute grounds for termination of the
Agreement and deactivation of SentriLock®, and/or imposition of fines and/or changes.

(b) The Association reserves the right to deactivate the SentriCard® upon any complaint that Cardholder may be in
violation of the Agreement or these Policies/Regulations or may have caused potential risk to the safety of the
SentriLock™ System. Such deactivation is at the sole discretion of the Chief Executive Officer or designate. In
exercising this right, the process used will be at the sole discretion of the Chief Executive Officer. Any period of
deactivation shall be kept to a minimum as deemed reasonably feasible in his/her discretion.

(c) The Agreement and these Policies/Regulations constitute a Schedule to the Niagara Association of REALTORS®
MLS® Rules and as such, the Cardholder agrees to be subject to the disciplinary rules and procedures outlined in
the Association Policy and Procedure Manual for violation for violation of any provision of the Agreement and these
Policies/Regulations.

3. License to Use

Upon execution of the Agreement the Cardholder will be granted a personal, revocable, non-exclusive and non-
transferable license to use the SentriCard®, SentriCard® Reader and Bluetooth® REALTOR® Lockbox in connection
with the Cardholder’s normal and customary activities on the terms and conditions set forth in the referenced Agreement
and these Policies/Regulations.

4. Use

Since Electronic Lockboxes provide superior security and safety to consumers when properly used on their homes; and
since Electronic Lockboxes also provide enhanced professionalism and accountability when used by Cardholders,
therefore where a Cardholder and their client elects to use a lockbox on a NAR MLS® Listing, that lockbox must be a
SentriLock™ System Electronic Lockbox.
Requirements

(a) In the event a Cardholder is no longer an Association Member or authorized by the Association to access the
SentriLock™ System, all SentriCards® and SentriCard® Reader must be returned to the Association.

(b) All Cardholders shall enter in the SentriLock™ System Agreement prior to receiving a SentriCard® and SentriCard®
Reader.

(c) All Cardholders are subject to and must comply with the terms and conditions contained in the Agreement and these
Policies/Regulations and are responsible to ensure compliance.

5. Loss or Misuse of SentriCard®

(a) Any damage, loss or theft of the SentriCard® and SentriCard® Reader must be reported to the Association
immediately. Notification of damaged, lost or stolen Cards should be sent to lockbox@niagararealtor.ca.

(b) In the event of damage, loss or theft of the SentriCard® and SentriCard® Reader, the Cardholder shall be responsible
for full replacement cost as set out in Schedule A.

(c) The Association shall charge a fee, as set by the Board of Directors from time to time, for the replacement of a lost,
stolen or damaged SentriCard® and SentriCard® Reader.

(d) Misuse of the Electronic Lockbox or Card may be a breach of the Association By-Laws, NAR MLS® Rules, MLS®
Policies and/or REALTOR® Code of Ethics, and information and documentation regarding such misuse may be
provided to the NAR Professional Standards Committee (PSC) for review.

(e) The Association has the right to audit any and or all of the Electronic Lockboxes and their use at any given time by
reviewing the electronic log files associated to each Electronic Lockbox and User ID. Specific personal information
collected from the audit will be disclosed to the Association’s Professional Standards Committee.

6. Compliance

(a) No Cardholder can gain access to any property without first receiving Confirmation of a scheduled appointment.

(b) Rules for making appointments under the NAR MLS® Rules, must be strictly adhered to. Unless otherwise instructed
in writing by the Seller, any Member who accesses or provides access to a listed property, for whatever reason, is
responsible to secure the property during and after all showings, viewings, inspections and open houses.

(c) Keys removed from the Electronic Lockbox by a Cardholder must be securely returned to the lockbox compartment
by said Cardholder immediately following their use. The Cardholder cannot provide keys to any individual not
authorized by the Listing Brokerage to receive such keys.

(d) If the NAR becomes aware, either via a complaint or their own review of audit log files, or otherwise, of any Cardholder
opening a lockbox during an unauthorized time, a complaint may be forwarded to the NAR Professional Standards
Committee for review. The Cardholder’s SentriCard® may be immediately deactivated at the discretion of the Chief
Executive Officer. Notice of deactivation shall be sent to the Cardholder and their Broker of Record.

7. Indemnification

The Association has no responsibility or liability to Cardholders or third parties where the Agreement or these
Policies/Regulations have been breached. The Members agree to assume all liability with respect to SentriLock™ System
use and agree to indemnify NAR from and against all third-party claims, actions, damages, liability, costs on a
solicitor/client basis and awards arising from the activation and/or use of the SentriLock™ products, however caused.
The Member’s indemnification applies to the use of all approved Key boxes, regardless of whether the User Agreement
contains an indemnification provision.

Schedule A Fee Structure:

Fee structure may be amended from time to time by the Board of Directors.

Damaged/Lost/Stolen SentriCard® $30.00 (The fee includes replacement of hardware)
