EMPLOYMENT CONTRACT AND AGREEMENT

THIS EMPLOYMENT CONTRACT dated this Monday, November 23, 2026

BETWEEN

Emerging Research Laboratories Inc. of 4496 Sunview St NE, Albuquerque, NM, 87113
(the “Employer”)

-AND-

Clarizza Morales of 8732 Maple Ave SW, Albuquerque, NM, 87187


(the “Employee”)

Background

A. The Employer is of the opinion that the Employee has the necessary qualifications,
experience, and abilities to assist and benefit the employer in its mission to provide
engineering and analysis expertise to ensure safety and efficiency of power and energy
distribution.
B. The Employer desires to employ the Employee and the Employee has agreed to accept
and enter such employment upon the terms and conditions set out in this Agreement.

Commencement Date and Term

1. The Employee will commence full-time employment with the Employer on the 23rd day
of November 2026 (the “Commencement Date”).

Job Title and Description

2. The Employer agrees to employ the Employee as a Energy Systems and Power
Distribution Intern for 40 hours per week. The employee will be expected to perform the
following job duties:

- Work closely with the EE team in the development and advancement of solar power,
wind energy, and advanced energy conservation technologies to develop efficient
renewable energy systems and designs.
- Attend on-site ongoing research projects with a project supervisor and help with data
collection, analysis of design, and recording of information.
- Contribute to developmental research in the analysis of technology and energy
distribution options, project design, testing, formulation of conclusions, and analysis
of recorded data.
- The Employee agrees to be employed on the terms and conditions set out in this
Agreement. The Employee agrees to be subject to the general supervision of and act
pursuant to the orders, advice, and directions of the Employer.

Employee Compensation

3. Compensation paid to the Employee for the services rendered by the Employee as
required by this Agreement (the “Compensation”) will include an annual salary of
$75,000 USD.
4. The compensation will be payable every two weeks while this Agreement is in force. The
Employer is entitled to deduct from the Employee’s Compensation or from any other
compensations in whatever form, any applicable deductions and remittances as required
by law.

Place of Work

5. The Employee’s primary place of work will be at the following location:


- 4496 Sunview St, Albuquerque, NM, 87113.
6. The Employee will also be required to work at the following place or places:
- The employee will visit various client locations within a 100 miles of the
Laboratories’ main location.
7. The Employer will inform the Employee in advance of the Employee being required to
work at other locations.

Employee Benefits

8. The Employee will be entitled to only those additional benefits that are currently
available as described in the Employer’s employment booklets ad manuals ir as required
by law.
9. Employer discretionary benefits are subject to change, without compensation, upon the
Employer providing the Employee with 60 days written notice of that change and
providing that any change to those benefits is taken generally with respect to other
employees and does not single out the Employee.
10. The Employee, however, is entitled to receive medical insurance benefits. The Employee
is also entitled to obtain free membership and access to the organization’s entertainment
and other facilities, such as the gym, cafeteria, and libraries.

Vacation
11. The Employee will be entitled to two weeks of paid vacation each year during the term of
this Agreement (1 year), or as entitled by law whichever is greater.
12. The times and dates for any vacation will e determined by mutual agreement between the
Employer and the Employee.

Duty to Devote Full Time

13. The Employee agrees to devote full-time efforts, as an employee of the Employer, to the
employment duties and obligations as described in this agreement.

Confidential Information

14. The Employee acknowledges that, in any position the Employee may hold, in and as a
result of the Employee’s employment by the Employer, the Employee will, or may, be
making use of, acquiring or adding to information which is confidential to the Employer
(the “Confidential Information”) and the Confidential Information is the exclusive
property of the Employer.
15. The Confidential Information will include all data and information relating to the
business and management of the Employer, including but not limited to, proprietary and
trade secret technology and accounting records to which access is obtained by the
Employee, including Work Product, Computer Software, Other Proprietary Data
Business Operations, Marketing and Development Operations, and Customer
Information.

Termination of Employment

16. Where the Employee has breached any reasonable term of this Agreement or where there
is just cause for termination, the Employer may terminate the Employee’s employment
without notice, as permitted by law.
17. The Employee and the Employer agree that reasonable and sufficient notice of
termination of employment by the Employer is the greater of two (2) weeks and any
minimum notice required by law.
18. If the Employee wishes to terminate this employment with the Employer, the Employee
will provide the Employer with notice of two (2) weeks.

Notices
19. Any notices, deliveries, requests, demands, or other communications required ere will be
deemed to be completed when hand-delivered, delivered by agent, or seven (7) days after
being placed in the post, postage prepaid, to the parties at the following addresses or as
the parties may later designate in writing:

Additional Terms

20. Overtime: Overtime is when the Engineer Intern works more than 40 hours a week. All
endeavors should be made to avoid overtime. Overtime, of any, will be made up at the
end of the month and be paid separately.
21. Travel and Transportation: The employee’s expenses towards transportation, overnight
stays, entertainment, attendance at courses, in-service training, etc. will be covered by the
organization according to vouchers submitted. The Employee will be remunerated for
driving his/her own car at the highest going rate.
