CONDITIONAL DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:

This conditional deed of sale entered into this 15th day of June 2016, in the City of
Tacloban, by and between:

Christopher Evans, married to Kate Winslet-Evans, both of legal age, Filipino, and
resident of Brgy. 3-A Avengers Village, Tacloban City, referred to as VENDOR.

Robert Downey, Jr., married to Nicole Kiddman-Downey, both of legal age, Filipino,
and resident Brgy. 3-A Avengers Village, Tacloban City, hereinafter referred to as
VENDEE.

WITNESSETH

That, the VENDOR do hereby sell, convey, and transfer in a manner absolute and
irrevocable unto said VENDEE, his heirs and assigns, for and in consideration of One
Million Pesos (P1,000,000.00) Philippine Currency, the property, including
improvements therein, situated in Brgy. Utap and Sagkahan, Tacloban City, and more
particularly described as follows:

Original Certificate of Title No. P-99999

“A parcel of land (Lot 1234-A-5-B-6), situated in Brgy. Utap and


Sagkahan, City of Tacloban, Province of Leyte. Bounded on the NE
by Lot 1234-A-5. On the SE by 1234-B-6. On the SW by Lot 5678 of
Tacloban Cadastre and on the NW by lot 1011. Containing an area
of FIVE HUNDRED(500) Square Meters, more or less x x x.

That the VENDOR hereby sells to the VENDEE who agreed to buy the above-
described lands under the following terms and conditions to wit:

That the total consideration of the sale is ONE MILLION PESOS


(P1,000,000.00);

2. That upon signing of this contract the VENDEE shall pay the VENDOR a
downpayment of FIVE HUNDRED THOUSAND PESOS (P500,000.00); that the
remaining balance shall be paid in full after SIX MONTHS (6) upon transfer of the title
in the name of the VENDEE;

3. That the VENDOR shall give the VENDEE absolute and complete control
and possession of the subject property thereon upon the receipt first payment;

4. That the VENDOR, reserves his right of ownership over the subject land
until full payment of the consideration;

5. Further, that in the event that the VENDOR should fail or deliberately refuse
to comply with his obligation, the VENDEE shall be reimbursed of the amount of the
purchase price paid, cost of improvements as well as beneficial interests and other
damages that the VENDEE may suffer;

6. And Finally, VENDEE shall pay for the real property tax, capital gains tax,
documentary stamp tax, and cost of registration.

IN WITNESS WHEREOF, I have hereunto set my hand this 15th day of June 2016, at
Brgy 5-B, Diagon Alley, Tacloban City, Philippines.

the foregoing Conditional Deed of Sale, and he acknowledge to me that the same is
his free act and deed.

This document consisting of three (3) pages, including the page on which this
acknowledgement is written, has been signed on the left margin of each and every
page thereof by the parties and their witnesses and sealed with my notaries seal.
