SCRIPTED PRDDUCTION ASSESTANCE fitGREEMENT

The United States Department ef Defense {hereinafter referred te as "DeD"]. acting en behalf ef
the United States ef America. hereby agrees with Minim Preductiens, inc.. hereinafter referred
te as ”the preductien cempeny.” subject te the previsiens herein. fer the assistance itemized
immediately belew. te be rendered in cenjunctien with the predumien et a Natienat Geegraphic
mini—series knewn at this time as “The Leng Read Heme”.
This agreement is subiectte revecatien due te nen-cemplience with the terms herein. with the
pessible censequence ef a temperary suspensien er permanent withdrawal ef the use ef seme
er all ef the miiitery reecurces identified te assist this preject. In the event et dispute. the
preductien cempeny will be given a written netice ef nen-cempliance by the Dell Preject Officer.
The preductien cempeny will have a five (5} business day cure peried after receipt ef written
netice ef nen-cemptiance. Def} may temperarily suspend suppert until the nencempliance has
been cured er after the five (5) business day cure peried has expired. After the cure peried has
expired. DeD may permanently withdraw its suppert fer the preductien if the nen-cernpliance
has net been cured. Hewever. nething centained herein shall restrict any ef the preductien
cempeny's rights in and te the phetegraphy and seund recerdings made hereunder; the
preductien cempeny's decisiens with respect te these recerdings will be final.
2. The preductien cempeny agrees te cast ecters, extras. deubles, and stunt persennei
pertraying military men and wemen whe cenferm te individuat Military Service reguiatiens
geverning age. height ! weight, uniferm, greeming. appearance, and cenduct standards. Del}
reserves the right te suspend suppert in the event that disagreement regarding the
aferementiened miiitary aspects ef their pertrayals cannet be reseived in negetiatien between
the preductien cempeny and Dell} within the five business day curenperied. The Del] Preject
Officer will previde written guidance specific te each Military Service being pertrayed.

3. Opt] has appreved military assistance as in the best interest ef Del]. based en the
Nevember 1t]. 2016 versien cf the scripts. The preductien cempany must ebtain. in advance
trern DeD. cencurrence. te be previded by Deb within twenty-feur heurs. fer any subsequent
changes being prepesed te the mititary depictiens made te either the picture er the seund
pertiens ef the preductien. befere these changes are undertaken.
4. The eperatienal capability and readiness ef the Armed Ferces will net be impaired.
Unfereseen centingencies affecting natienal security er ether emergency circumstances such as
disaster relief. may temperarlly er permanently preclude the use cf military researces. Under
these circumstances. Deli} will net be liable. financially er etherwise. fer any resulting negative
impact er prejudice te the preductien caused by the premature withdrawal er change in suppert
tn the preductien cempany.
5. There will be ne deviatien frem established Del] safety and cenduct standards. The DcD
Preject Officer er his it her designee will ceerdinate such standards and cempliance therewith.

standards upen request by the preductien cempany.
6. All EieD preperty er facilities damaged. used er aitered by the preductlen cempany in
cennectien with the preductien will be restered by the preductien cempany te the same er better
cenditien. nermal wear and tear excepted. as when they were made available fer the preductien
cernpany's use unless etherwise agreed te by mm and preductien cempany in writing.
Netwithstandlng anything centrary in the feregeing. all imprevements and permanent additiens
te training villages will remain after fiiming (including. but net limited tc paint and censtructien)
as previeusly appreved by Part Heed Range Centrel.
7’. The preductien company will reimburse the US. Gevernment fer any additienai expenses
. incurred as a result ef the assistance rendered fer the preducticn at ”The Leng Read Heme”.
The estimated ameunt will be detailed and included in Attachment 2. The preductien cempany
agrees te pest advance payment in the ameunt estimated te cemprise the tetal additienal Deli}I
expenses. The payment wiil be submitted te the military cempenentfs) designated te previde the
assistance. er te anether DeD agency. as deemed apprepriate by But}.
b. The preductien cempany will be charged fer enly these expenses that are censidered id be
additienai cests te Deli} in excess ef these that weuld etherwise have been incurred. such as
fuel. resultant depet maintenance. expendable supplies. travel and per diem. civilian evertime.
and lest er damaged equipment. Fer the aveidance ef deubt. the predactien cempany will net be
charged fer events that the units determine previde a training value fer its seldiers.
c. If the final aggregate cf such casts and charges is less than previeusly anticipated.
EleD agrees te remit the exact amcunt ef the difference at any funds bested within 90 days frern
the end ef the menth in which filming is ccmpleted.
8. The preductien cempany will be charged with the travel. [edging. per diem at the gevernment
rate and incidental expenses fer the Del] Prelect |Iiilfficer. the Butt Directer ef Entertainment
Media er his r’ her designee. and up te three {3} assigned military technical and safety adviseds}

9. By appreving military predectien assistance fer “The Leng Read Heme”, DeD hereby
agrees te a general release te the preductien cempany fer use ef any and alt phetegraphy and
seend recerdings ef any and all U.S. military peeple, equipment, and reai estate, subject te the
limitatiens described in Paragraph 13,
a. Te indemnify and held harmless DeD, its agencies, efficers, and empleyees, against
any claims {including claims fer persenal injury and death, damage te preperty, and atterneys‘
fees} arising frem the preductien cempanyls pessessien er use ef Del} preperty er ether
assistance in cennectien with this preductien cf “The Leng Read Heme" te include pre-
preductien, pest-preductien, and Defl-previded erientatien and r er training, tn the extent that
such premises. preperty er activity is under the centre! ef the preductien cempany. This
previsien shalt net in any event indemnify er held harmless 3e53, its agencies, efficers and l er
empieyees frem and f er against any claims arising frern defects in DeE} preperty and i er
negligence en the part ef DeD, its agencies, efficers, and l er empteyees.
b. Te maintain, at its sele expense, insurance in such ameunts and under such terms
and cenditiens as may be required by Del} te pretest its interests in the preperty invelved; and:
d. Te net carry ente DeD preperty any nen~prescriptien narcetic, hallucinegenic, er ether
centreiled substance {includes prescriptien marijuana}; er alcehelic beverage witheut prier
ceerdinatien with the DeD Preject Officer er his it her designee.
e. Te net carry ente DeEJ preperty any real er prep firearms, weapens, explesives, er any
special effects devices er equipment that cause er simulate eaplesiens, flashes, flares. fire, tend

noises, etc. without prior approval from the DoD Protect Officer and the supporting instatiation.
Additionaily, all productions members wiil be subject to search of their person and vehiclefs}
and be required to submit personal identifying information for background checks conducted by
military security forces.
f. To atlow DoD public affairs personnel access to the production site(s} to conduct still
and motion photography of DoD people and assets that are directly supporting the filming; also
to allow Dot} the use of production company-generated publicity and marketing materials, such
as production stills and electronic press kits, when available. These materials are for the
purpose of communicating to internal DoD viewers how the US. military’s is assisting in the
filming. However, some of the imagery may be viewed by the genera? public if posted on an
open DoD web site or on “The Pentagon Channet," or other publicly-accessible media source.
Therefore no DoD personnel will photograph actual filming, talent, or sets without prior approval
by the production company.
h. To include all service members supporting the production in the meet count for those
meals provided throughout the filming day.
i. To not use DoD issued medical suppties to replicate first aid and medical operations
during filming.
11. The production company agrees to provide the Dot) Project Officer with whatever internal
communications equipment it is supplying to production company crew members to
communicate on the set during production of military-themed sequences. The production
company will atso supply the DoD Project Officer with earphones to monitor military-themed
dialogue and other sound recording during these periods.
12. The production company agrees to screen military themed photography for the DoD Project
Officer, and to provide the DoD Project Officer and the DoD Director of Entertainment lvledia _.
or their designees m with a viewing of the roughly edited, but final version of the production [the
”rough cut“) at a stage in editing when changes can be accommodated, but only to the extent
required to allow Dolli to confirm that the tone of the military sequences substantially conforms
to the scripted sequences agreed upon by Dot}. The production company will bear the travet,
lodging, per diem and incidental expenses incurred in transporting the Dot] Project Officer and
the Dot) Director of Entertainment Media — or their designees — to the location where the rough
cut screening will be held.
'13. All photography and sound recordings made with {ioD assistance and all DoD photography
and sound recordings released for this production will not be reused or sold for use in other
productions without DoD approval. The foregoing shalt not prohibit the production company from
exploiting the production in any and all ancillary markets, now known or hereafter devised
(including, without limitation, television, web content, home video and theme parks} or from
using all photography and sound recordings made with DoD assistance and all DoD
photography and sound recordings released for this production in publicity and promotional
material relative thereto.

14. The production company will also provide an official DoD screening of the completed
production in Washington DC. which may be combined with the official Washington. D.C.
premiere of the completed production at production company‘s sole discretion, prior to public
exhibition. An alternative screening location may be authorized by Doll. in negotiation with the
production company. In this case. the production company will be expected to pay the travei
and lodging expenses incidentai to attending the screening by the DoD Project Officer and the
{lirector of Entertainment Media or their designees.
The production company agrees to place a credit in the end titles immediatety above the
“Special Thanks" section (it any). substantially in the form of "Special Thanks to the United
States Bepartment of Defense" or such other credit permitted by iocai law. with no less than one
{1} clear line above and one {1} clear line below such credit acknowledging the military
assistance provided to inciude the military units and up to a total of twenty {20} named
personnet provided by the DoD project officer. Such acknowledgmends} shalt be in keeping with
industry customs and practices. shall be of the same size and font used for other similar credits
in the end tities.
15. The production company agrees to provide Doll with five {5} copies of all promotional and
marketing materials {e.g.. electronic press kits. one-sheets. and television advertisements}.
when available. for internal information and historical purposes in documenting Dot} assistance
to the production.
16. The production company agrees to provide a minimum of ten {10} DVD copies of the
completed production. when avaiiable. to DoD for internal briefings and for historical purposes.
by overnight shipment to arrive the day following the domestic airing or commercial distribution
of the production. DoD agrees not to exhibit these DUES or to copy them. Dot) is altowed to use
short clips from them in official presentations by uniformed and civiiian DoD personnei who were
directly involved in providing DoD assistance. for the sole purpose of illustrating DoD’s support
to the production. However. DoD is prohibited from mat-ting these clips available to any other
party for any other purpose.
1?. lficial activities of military personnel in assisting the production must be within the scope of
normai military activities. with the exception of the Dot) Project Officer and assigned official
Technical Advisonjs). wherein. it must be consistent with their authorized additional duties.
Military personnel in an off-duty. non-official status may be hired by the production company to
perform as actors. extras. etc. provided there is no coniiict with existing service regulations. In
such cases. the following appties:
a. Contractual agreements are solely between those individuals and the production
company; however. they should be consistent with industry standards;
b. The Dot} Project Officer witl ensure that Military personnel shall comply with
standards of conduct regulations in accepting employment.
c. The production company is responsibte for any disputes with unions governing the
hiring of non-union actors or extras;
18. The production company may make donations or gifts in kind to Morale. Welfare and
Recreation programs of the military unitis} involved. however. donations of this kind are not at
all required. and are not in any manner a consideration in the determination of whether or not a
as
production should receive DoD assistance. These donations must be coordinated through the
Bot) Project Officer.
19. The undersigned parties warrant that they have the authority to enter into this agreement
and that the consent of no ether party is necessary to effectuate the full and complete
satisfaction of the provisions contained herein.
20. This agreement consists of 12 pages including 2 attachments; each page will he initiated by
the undersigned DoD and production company representative. All rights of every kind in and to
sit photography and sound recordings made hereunder shall be soteiy owned in perpetuity
throughout the universe by the production company and any iioensee or assignee successor of
the production company; and DoD shalt not have any right of action, inctuding. without limitation,
any right to intuncttve relief against the production company or its successor and i or any other
party arising out of use or non-use of said photography and i or sound recordings. These
ownership rights pertain only to the exhibition, promotion. and marketing of “The Long Road
Home”.

The United States Department ef Defense (DeD), acting en behalf ef the United States ef

addendum te be rendered in cenjunctien with the preductien ef a decumcntary currently entitled
“The Leng Read Heme”.
The Department ef Defense agrees te previdc access te enc Texas Air Natienal Guard (3-130,
helenging re the 136m Airlift Wing, en er aheut 23 hpril 201'? te cenduct interier filming fer an
episede ef “The Leng Read Heme”- in cenjunctien with access tn the aircraft, the DeD is granting
escerted access te Carswell Field fer the filming. The preductien cempany will need access te the
aircraft fer appreaimately 6 heurs fer prep, filming, and clean-up. There will he appreaimately 40
persennel in attendance. The DeD Preject Officer, LTC Timethy Hyde, er a designated
representative will be en lecatien.

The United States Department of Defense {DoD}. acting on behalf of the United States of America.
hereby expresses its intent. subject to the provisions herein. to provide to NGC Network US. LLC. its
assignccs. and X or dcsignccs. hereinafter collectively referred to as “‘NGC." the assistance itemized in this
Production Assistance Agreement {Agreement} in conjunction with the production of a documentary
known at this time as “The Long Road Home Documentary". This Agreement expresses the terms
under which DoD intends to provide assistance. This Agreement does not authorize the obligation of any
United States funding. nor should it be construed as a contract. grant. cooperative agreement. other
transaction. or any other form of procurement agreement.
The DoD will make reasonable efforts to provide the assistance requested in the request for DoD
documentary assistance. to the extent approved by DoD. and subject to the limitations contained herein.
This Agreement is subject to revocation due to non—compliance with the terms herein. with the possible
consequence of a temporary suspension or permanent withdrawal of the use of some or all of the military
resources identified to assist this project. In the event of dispute. NGC will be given a written notice of
non-compliance by the DoD project officer. NGC will have a five (5) business day cure period after
receipt of written notice of non—compliance. DoD may temporarily suspend sUpport until the non-
compliance has been cured or after the five {5} business day cure period has expired. After the cure period
has expired. DoD may permanently withdraw its support for the production if the non-compliance has not
been cured. If such Agreement is either suspended or terminated. the sole right of NGC to appeal such
decision is to the DoD designee responsible for coordinating assistance for documentary productions. The
requirements in Department of Defense Instruction 5410.16 shall apply to this Agreement.
It is understood between DoD and NGC that:
l. The DoD project officer. Lieutenant Colonel Timothy Hyde. [timothy.a.hyde.rnil@mailanil. 319—
279-7806}, is the official DoD representative responsible for ensuring that the terms of this agreement are
met. The DoD project officer is the military technical advisor. and all military coordination must go
through him or her- NGC will consult with the DoD project officer in all phases of pre-production.
production. and post-production that involves or depicts the US. military. The local unitfinstallation
public affairs officer. or a designated official. may serve as the official onsite DoD representative for this
project and will act as the interface between the film crew and military units providing both filming and
logistical support.

2. DoD has approved production assistance as in the best interest of DoD. based on the 6 September
2017, version of the script, treatment, or narrative description, or initial request to the extent agreed upon
by DoD. NGC must obtain, in advance. DoD concurrence for any subsequent changes proposed to the
military depictions made to either the picture or the sound portions of the production before these changes
are undertaken.
3. The operational capability and readiness of the Military Components will not be impaired. Unforeseen
contingencies affecting national security or other emergency circumstances such as disaster relief may
temporarily or permanently preclude the use of military resources. In these circumstances. DoD will not
be liable, financially or otherwise, for any resulting negative impact or prejudice to the production caused
by the premature withdrawal or change in support to NGC.
4. There will be no deviation from established DoD safety and conduct standards. The DoD project
officer, or his or her designee, will coordinate such standards and compliance therewith. DoD will provide
NGC advance notice of such safety or conduct standards upon request.
5. All DoD property or facilities damaged, used or altered by NGC in connection with the production will
be restored by NGC to the same or better condition, cleaned and free of trash. normal wear and tear
excepted, as when they were made available for NGC‘s use unless otherwise agreed to by DoD and NGC
in writing.
6. NGC will reimburse the US. Government for any additional expenses incurred as a result of the
assistance rendered for the production of “The Long Road Home Docmnentary”. The estimated amount
will be detailed and included in this Agreement or as an attachment to it. See Attachment 1.
7. NGC will be charged for only those expenses that are considered to be additional costs to DoD in
excess of those that would otherwise have been incurred, including, but not limited to fuel, resultant depot
maintenance, expendable supplies. travel and per diem. civilian overtime. and lost or damaged equipment.
3. NGC will be charged for the travel, lodging, per diem, and incidental expenses for the DoD project
officer, the DoD documentary officer, or his or her designee, and any other assigned military technical
and safety advisorls) whose presence may be required by DoD. The per diem will be at the federal rate.
and accordingly, NGC will not he required to report it to the Internal Revenue Service (via W-Z}, and
therefore DoD personnel will not be obliged to submit a form 1099. For each of these individuals, NGC
will provide:
a. Roundrtrip air transportation and ground transfers to the production location(s) at which there is a
military portrayal or involvement, at times deemed appropriate by the DoD project officer and the
DoD documentary officer.
9. By approving DoD production assistance for “The Long Road Home Documentary”. DoD hereby
provides a general release to NGC for the use of any and all photography and sound recordings of any and
all Service members. equipment. and real estate, subject to the limitations in this Agreement {e.g.,
including, but not limited to, Paragraphs 1144}.

a. lndemnify and hold harmless the DoD, its agencies, officers, and employees against any claims
{including claims for personal injury and death, damage to property, and attorneys‘ fees] arising
from NGC‘s possession or use of DoD property or ether assistance in connection with this
production of “The Long Read Home Documentary"I to the extent that such premises, property or
activity is under the control of NGC. This provision will not in any event require NGC to indemnify .
or hold harmless the DoD, its agencies, officers. or employees from or against any claims arising
from defects in DoD property or negligence on the part of DoD, its agencies, officers, or
employees.
b. Not carry onto DoD property any non-prescription narcotic, hallucinogenic, or other controlled
substance or alcoholic beverage without prior coordination with the DoD project officer or his or
her designee.
c. Not carry onto DoD property any real or prop firearms, weapons. explosives, or any special effects
devices or equipment that cause or simulate explosions. flashes, flares, fire, loud noises, etc.,
without the prior approval of the DoD project officer and the supporting installation.
d. Allow DoD public affairs personnel access to the production site(s) to conduct still and motion
photography of DoD personnel and as sets that are directly supporting the filming, and to allow
DoD the use of NSC-generated publicity and marketing materials. when available. These materials
may be used to show DoD viewers how DoD is assisting in the production; such materials may be
viewed by the general public if posted on an open DoD web site or other publicly-accessible media
source. Therefore, no DoD personnel will photograph actual filming without the prior approval of
NGC.
l l. NGC will provide to the DoD project officer, and the DoD documentary officer. or their designees,
the roughly edited version of the production in the form of a DVD at a stage in editing when changes can
be accommodated to allow DoD to confirm the military sequences conforms to the agreed-upon script,
treatment, or narrative description; to preclude release or disclosure of sensitive, securitysrelatcd, or
classified information; and to ensure that the privacy of DoD personnel is not violated. Should DoD
determine that material in the production compromises any of the preceding concerns, DoD will alert
NGC of the material, and NGC will remove the material from the production.
12. If the recording or imagery to be used in the production captures medical treatment being performed
on DoD personnel, the project officer shall require NGC to gain written consent from such DoD
personnel. In the case of DoD personnel who are deceased or incapacitated, the project officer shall
require NGC to gain written consent from the next of ltin of the deceased or incapacitated DoD personnel.
13. All Department of Defense uniformed and civilian personnel who are photographed or sound recorded
by NGC are considered to be on duty and are precluded from receiving any compensation from NGC or
any other party as a result of their appearance in the production or subsequent authorized productions, or
as a result of the use of their name, likeness. life story or other rights for any purpose. Military personnel
in an off-duty, non-official status may be hired by NGC to perform as actors. extras, etc.. provided there
is no conflict with existing Service regulations. In such cases, these conditions apply:
a. Contractual agreements are solely between those individuals and NGC; however, they should be
consistent with industry standards.

b. The DoD project officer will ensure that DoD personnel will comply with standards of conduct
regulations in accepting employment.
c. NGC is responsible for any disputes with onions governing the hiring of non-union actors or extras.
14. No photography or sound recordings made with DoD assistance and no DoD photography and sound
recordings released for this production will be reused or sold for use in other productions without DoD
approval. The foregoing will not prohibit NGC from exploiting the production in any and all ancillary
markets. now known or hereafter devised (including. without limitation. television. web content. home
video and theme parks) or from using all photography and sound recordings made with DoD assistance
and all DoD photography and sound recordings released for this documentary in publicity and
promotional material relative thereto.
15. NBC will identify any and all re-enactments in the production by placing the word “RE-
ENACTMENT‘ on the screen. in a legible format and of a legible size. for either the duration of the re-
enactment or at the beginning of the re-enactment for a period of not less than 3 seconds and reappearing
every subsequent 10 seconds for a period of 3 seconds until complete. This activity will occur for every
instance of a re-enactment in the production.
16. NGC will use its best efforts to place a credit in the end titles immediately above the “Special Thanks"
section (if any) substantially in the form of “Special Thanks to the United States Department of Defense.”
or such other credit permitted by local law. with no less than one clear line above and one clear line below
such credit acknowledging the DoD assistance provided. Such acknowledgmentts) will be in keeping with
industry customs and practices. and will be of the same size and font used for other similar credits in the
end titles.
1?. NGC will provide a minimum of five (5} digital videodisc (DVD) copies of the completed production.
when available. to DoD. for internal briefings and for historical purposes. DoD will not exhibit these
DVDs publicly or copy them; however. DoD is allowed to use short clips from them in official
presentations by Service members and DoD civilian personnel who were directly involved in providing
DoD assistance. for the sole purpose of illustrating DoD snpport to the production. However. DoD is
prohibited from making these clips available to any other party for any other purpose.
13. The undersigned parties warrant that they have the authority to agree to the terms of this Agreement
and that the consent of no other party is necessary to effectuate the full and complete satisfaction of the
provisions contained herein.
19. This Agreement consists of seven {7} pages including the original request and Attachment 1. Each
page will be initialed by the undersigned DoD and NGC representatives.
