1 Indemnification and Claims

1.1 The Seller irrevocably undertakes to keep the Buyer fully and effectively
indemnified against any and all actual and direct losses, costs, damages, claims,
demands, actions, proceedings, liabilities and expenses whatsoever (including
but not limited to all reasonable legal costs or reasonable attorney’s fees on a
full indemnity basis) incurred by the Buyer in connection with or arising from
any breach by the Seller of its representations and warranties and/or any default
by the Seller of its obligations under this Agreement, provided that, the Seller
will not be liable to the Buyer for indemnification under Sub-clause 8.1 unless
the aggregate losses for which the Seller would otherwise be liable exceed one
(1) billion Vietnam Dong, at which point the Seller is liable for the aggregate
losses and not just amounts in excess of that sum.
1.2 The Buyer irrevocably undertakes to keep the Seller fully and effectively
indemnified against any and all actual and direct losses, costs, damages, claims,
demands, actions, proceedings, liabilities and expenses whatsoever (including
but not limited to all reasonable legal costs or reasonable attorney’s fees on a
full indemnity basis) incurred by the Seller in connection with or arising from
any breach by the Buyer of its representations and warranties and/or any default
by the Buyer of its obligations under this Agreement.
1.3 If either Party becomes aware of any fact, matter, event or circumstance by
virtue of which the other Party is or may become liable under any provision of
this Agreement, the former Party shall as soon as practicable, but in any event
within ten (10) Business Days, give Notice to the other Party and specify in
reasonable detail the fact, matter, event or circumstance giving rise (or which
may give rise) to that liability and giving an estimate of the amount which may
be claimed against the other Party in respect of that liability.
1.4 No claim shall be brought by either Party against the other Party under any
provision of this Agreement unless the Party bringing the claim has given
Notice of that claim specifying (in reasonably sufficient detail) the matter
giving rise to the claim, the nature of the claim and the amount claimed (with a
breakdown of the aggregate loss alleged to have been suffered) to the other
Party.
1.5 Neither Party shall be entitled to recover more than once in respect of any fact,
matter, event or circumstance giving rise to a claim under this Agreement.
1.6 The Parties undertakes to use their best efforts as an equity member of the
Company to remedy the breach so as to minimise the loss that may incur.

2 Information and Confidentiality


2.1 Both Parties shall, at all times during the continuance of this Agreement and
after its termination:

(a) keep this Agreement and all information which is disclosed by the other
Party (the "Disclosing Party") to itself (the "Recipient") pursuant to or
in connection with this Agreement (whether orally or in writing and
whether or not such information is expressly stated to be confidential or
marked as such) confidential and accordingly not to disclose any such
information to any other person or third party; except to its staff and
legal counsel;

(b) not use or divulge, except for the purpose of this Agreement or as
required by law or with the Disclosing Party’s prior consent, any
information contained in this Agreement, the contracts or other
documents relating to the Business, to the Disclosing Party, or to the
business or activities of the Disclosing Party (the "Confidential
Information"); and
(c) in the event any Confidential Information is divulged by the Recipient,
ensure that, prior to the divulgence, the person to whom it is divulged is
legally obliged to the Recipient to comply with this Sub-clause 9.1 as if
it were named as the Recipient. The Recipient shall duly enforce that
obligation against such person.
2.2 This Clause 9 shall survive and continue to bind the Recipient after the
termination of this Agreement until such time when the relevant information
becomes public (other than through any unauthorised disclosure by the
Recipient, its owners, agents or employees).

3 Notices
3.1 Any Notice given or made under this Agreement:
(a) must be sent by pre-paid registered airmail or courier service or email,
and in any event addressed in accordance with Sub-clause 10.1 (b)
below to the Party to which such notice is to be give;
(b) must be sent to the appropriate address of the Party specified below:
If to the Seller:

3.2 A Notice will be deemed to have been delivered:
(a) in case of delivery by hand, on signature of a delivery receipt;

(b) in case of delivery by post, recorded delivery or courier, five (5)
Business Days after the date of posting; and
(c) in case of email, when the recipient (for RGIP, anyone of three email
addressees as designated above in Sub-clause 10.1(b)), by returning to
such email or by a notice delivered by another method in accordance
with this Sub-clause 10.2, acknowledges having received that email,
with an automatic “read receipt” not constituting acknowledgement of
an email for purposes of this Clause.

4 Assignment
No Party may assign any of its rights or obligations under this Agreement
without the prior written consent of the other Party.

5 Termination
5.1 The Parties will use its best efforts to complete the Closing within ten (10)
months from the date of signing of the Agreement, unless otherwise mutually
agreed by the Parties for extension.
5.2 The Buyer may terminate the Agreement in case any of the Conditions
Precedent to the Closing stipulated in the Agreement has not been satisfied by a
certain date to be discussed and agreed by the Parties in the Agreement.
5.3 Either Party may terminate the Agreement by written notice to the other Party
delivered prior to or at the Closing if the other Party materially breaches any of
the obligations or warranties in the Agreement.

6 Governing Law and Dispute Resolution


6.1 This Agreement and Disputes arising from or in connection with this
Agreement shall be governed by the laws of Vietnam.

6.2 In case of a Dispute, the Parties shall negotiate to solve the conflict in an
amicable and commercially reasonable manner. A Party may submit a written
notice (the "Dispute Notice") regarding the occurrence of such a Dispute to the
other Party. Within seven (7) Business Days following the receipt of such
Dispute Notice, the Parties shall meet or discuss on the telephone in good faith
to negotiate a resolution of such event of Dispute in an amicable and
commercially reasonable manner. Any resolution of the matter agreed to in
writing is binding on the Parties. Each Party shall take steps or cause steps to
be taken to implement and give further action to the Parties’ resolution.

6.2 Trường hợp xảy ra tranh chấp, các Bên phải thỏa thuận để giải quyết tranh chấp
về phương diện thương mại một cách hợp lý và theo hướng hòa giải. Một Bên
phải nộp một thông báo bằng văn bản ( Thông báo Tranh chấp) có liên quan
đến việc xảy ra tranh chấp đối với Bên còn lại. Trong vòng bảy (7) Ngày Làm
Việc sau khi nhận được Thông báo Tranh chấp, các Bên phải gặp và trao đổi
thông qua điện thoại trên tinh thần thiện chí để thỏa thuận hướng giải quyết
Tranh chấp về phương diện thương mại một cách hợp lý và theo hướng hòa
giải. Bất cứ hướng giải quyết nào được thỏa thuận bằng văn bản đều có tính
rang buộc các Bên. Mỗi Bên phải thực hiện các bước hoặc đưa ra các bước
thực hiện để thi hành và đưa ra những hoạt động tiếp theo đối với nghị quyết
của các Bên.

If an amicable solution cannot be reached within fourteen (14) Business Days


of receipt of the Dispute Notice, the Parties hereby agree to refer the Dispute
between them arising out of or in connection with or by virtue of this
Agreement or the relations of the Parties following from it, which they do not
resolve by agreement, to arbitration in Singapore under the Arbitration Rules of
the Singapore International Arbitration Centre (“Rules”) by three arbitrators
appointed in accordance with the Rules. The language of the arbitration shall
be the English language. The award and decision of the arbitration shall be
final and binding upon the Parties.

Nếu không đạt được hướng giải quyết ổn thỏa trong vòng 14 (14) Ngày Làm
việc kể từ khi nhận được Thông báo Tranh chấp, các Bên do đó thỏa thuận đề
cập đến Tranh chấp giữa họ phát sinh bởi hoặc có liên quan hoặc bởi vì Thỏa
thuận này hoặc những mối tương quan giữa các Bên theo sau đó, mà họ không
giải quyết bằng thỏa thuận, nhờ đến trọng tài phân xử ở Singapore theo các
Quy tắc Trọng tài của Trung tâm Trọng tài Quốc tế ở Singapore ( “Những Quy
tắc”) bởi ba Trọng tài được chỉ định tương ứng với những Nguyên tắc đã được
quy định. Ngôn ngữ trọng tài phải là tiếng Anh. Phán quyết và quyết định của
trọng tài sẽ là chung thẩm và mang tính ràng buộc đối với các Bên.

IN WITNESS WHEREOF, the Parties have caused this Agreement to be executed in


person or by their duly authorised representatives. This Agreement is made in three
(3) copies in English and three (3) copies in Vietnamese of which the English version
shall prevail in case of inconsistency. The Parties shall each keep one (1) copy of each
language version, the Company shall retain one (1) copy of each language version for
later submission to the Licensing Authorities, if necessary.
VỀ BẰNG CHỨNG, các Bên đích thân làm cho Thỏa thuận được thi hành hoặc bởi
người đại diện được ủy nhiệm chính thức. Thỏa thuận này được làm thành ba (3) bản
bằng tiếng Anh và ba (3) bản bằng tiếng Việt trong đó bản Tiếng Anh phải có giá trị
áp dụng trong trường hợp mâu thuẫn nhau. Mỗi Bên phải giữ một (1) bản của cả hai
ngôn ngữ, Công ty phải giữ lại một (1) bản của cả hai ngôn ngữ để sau đó nộp cho Cơ
Quan Cấp Phép, nếu cần thiết.
