MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement is entered into this ___ day of March 2019 in the
__________________, Philippines by and between:

yyy represented in this instance by xxx of legal age, single, a Filipino Citizen and a
resident of Brgy. ________________, hereinafter referred to as the FIRST PARTY;

- and -

ddd., represented in this instance by __________________, of legal age, single/married,

a Filipino citizen and a resident of __________________, Philippines, hereinafter referred to as
the SECOND PARTY;

WITNESSETH That:

WHEREAS, the FIRST PARTY is a corporation engaged in the Information and

Communication Technology;

WHEREAS, the SECOND PARTY is a corporation engaged in the Information and

Communication Technology ;

WHEREAS, the FIRST PARTY, subject to the terms and conditions hereinafter stipulated,
has agreed to supply and install the local materials with regard the structured cabling for the wi-fi
system of LTO Central Visayas with SECOND PARTY;

WHEREAS, the SECOND PARTY, subject to the terms and conditions hereinafter
stipulated, has agreed to engage the FIRST PARTY;
 NOW, THEREFORE, the FIRST PARTY hereby covenants with the SECOND PARTY to
SUPPLY AND INSTALL THE LOCAL MATERIALS WITH REGARD THE STRUCTURED
CABLING FOR THE WI-FI SYSTEM OF LTO CENTRAL VISAYAS of the latter, under the
following terms and conditions:

1. The FIRST PARTY shall be a SUBCONTRACTOR of the SECOND PARTY for the
LTO Central Visayas wi-fi system project, the project proposal attached as ANNEX
“A”;

2. The FIRST PARTY will provide all the local materials while the SECOND PARTY
will provide for all the imported materials and active devices;

3. The FIRST PARTY upon its installation of the said local materials with the consent
and approval of the SECOND PARTY will get power source from the nearest
convenient outlet;

4. The SECOND PARTY further agrees that in cases where the installation shall be
made inside a mall the grounding system shall be tapped to the electrical ground;

5. That both PARTIES agree that in cases where the LTO management would
complain regarding the said scope of work as stated in nos. 3 and 4, the FIRST
PARTY shall not be obliged to re-install the above stated work;

6. That if SECOND PARTY would request for the re-installation of the said work in
accordance with the proper standards the FIRST PARTY shall be given the right
to reassess the cost of reinstallation and submit their own quotation;

7. Either PARTY may terminate this agreement for any reason whatsoever; provided
that written notice shall be served to the other party thirty (30) days prior to such
termination;

8. The FIRST PARTY and the SECOND PARTY shall endeavor and undertake to
comply in good faith with their respective obligations as stipulated herein. The
FIRST PARTY and the SECOND PARTY also agree that in case of any dispute,
the exclusive venue of any court action arising out of this contract shall pertain and
belong with the courts of Ormoc City alone, to the exclusion of all others.

This instrument refers to a MEMORANDUM OF AGREEMENT and consists of two (2)
